1 BE IT RESOLVED, that, upon the petition of K/B Fund III, as documented in Finance Department
2 File Number 13-1996, public properties hereinafter described are hereby vacated and discontinued as
3 public property: and, subject to the herein stated exceptions, the easements within those public
4 properties are hereby released.
5 The property to be vacated, as shown in Exhibit A, pages 1, 2 and 3, is described as follows:
6 Tracts D, P, R, ZZ, and, FFF, Registered Land Survey No. 518, together with that portion of
7 Tract BBB, Registered Land Survey No. 518, lying between elevations 100.42 feet and 104.76
8 feet and lying within the following described boundaries:
9 Commencing at Point L shown on said Tract BBB; thence N54° 51' 16"E along the
10 common tract line of Tracts BBB and CCC, Registered Land Survey No. 518, a
11 distance of 2.93 feet to the actual point of beginning of the parcel to be described;

�E 6. That the petitioners, their successors and assigns should provide all reasonably requested
financial documentation prior to the receipt of any deeds.
1 2. That the petitioner's their successors, and assigns agree to indemnify, defend and save
2 harmless the City of Saint Paul, its officers, and employees from all suits, actions, or claims of
3 any character brought as a result of injuries or damages received or sustained by any person,
4 persons, or property on account of this vacation or petitioner's use of this property, including
5 but not limited to a claim brought because of any act of omission, neglect, or misconduct of
6 said petitioner or because of any claims or liability arising from any violation of any law or
7 regulation made in accordance with the law, whether by the petitioner or any of their agents or
8 employees
9 3. That, to accommodate pedestrian access and circulation, the petitioner shall, on or before July
10 1, 1997 or such later date as may be agreed to in writing by the City, dedicate skyway
11 easements, to be described when the survey is completed after construction, as shown on
12 Elchibit B, pages 1 and 2.
13 4. That the skyway easements so dedicated shall be operated and maintained by K/B Fund III in

19 BE IT F[7RTHE�F RESOLVED, that, for the sum of$161,000 representing the value of the City's
20 interest in the properties herein vacated as established by an independent appraisal, the proper City
21 officials shall convey the said City interest to K/B Fund III, as provided in Chapter 51.01(8) of the
22 Administrative Code.
23 BE IT FCJRTHER RESOLVED, that the proper City officials are hereby authorized and directed to
24 accept, on behalf of the City of Saint Paul, the skyway easements, as shown in Exhibit B, pages 1 and
25 2, to be dedicated by K/B Fund III.
26 BE IT F[JRTHER RESOLVED, that the City shall dedicate an easement, to be described when the
27 survey is completed after construction, through that part of the Loft Level of Town Square occupied
28 by Town Squaze Park, to accommodate exhaust ducting from the Skyway Level retail area.

street level and skyway level of Town Square. Plans to reconf'igure these three levels in order
to revitalize Town uare will uire the reconve ance of the common areas.

TLe owners of Town Square hope to more efficiently and effectively utilize the space, thereby
improving the visbility of the property and contributing to the revitalization of the downtown
community. In return, K/B �nd III would dedicate skyway easements to provide pedestrian

4 2. That the petitioner's their successors, and assigns agree to indemnify, defe and save
5 harmless the City of Saint Paul, its officers, and employees from all suit actions, or claims of
6 any character brought as a result of injuries or damages received or su 'ned by any person,
7 persons, or property on account of this vacation or petitioner's use o is property, including
8 but not limited to a claim brought because of any act of omission, glect, or misconduct of
9 said petitioner or because of any claims or liability arising from y violation of any law or
10 regulation made in accordance with the law, whether by the tioner or any of their agents or
11 employees
12 3. That, to accommodate pedestrian access and circulation, petitioner shall, on or before July
13 1, 1997 or such later date as may be agreed to in writin y the City, dedicate skyway
14 easements, to be described when the survey is comple after construction, as shown on
15 Exhibit B, pages 1 and 2.
16 4. That the skyway easements so dedicated shall be o rated and maintained by K/B Fund III in
17 accordance with Skyways Chapter 140 of the S '�t Paul Legislative Code.
18 5. That the petitioner's their successors, and assi s, shall within 60 days of the effective date of
19 this resolution, file with the City Clerk an eptance in writing of the conditions of this
20 resolution and shall within the period(s) cified in the terms and conditions of this
21 resolution, comply in a11 respects with se terms and conditions.
22 BE IT F[TRT�IER RESOLVED, that the pr er City officials shall dispose of the properties herein
23 vacated as provided in Chapter 51.01(8) of e Administrative Code.
24 BE IT F[JRTHER RESOLVED, that proper City officials are hereby authorized and directed to
25 accept, on behalf of the City of Saint 'ul, the skyway easements, as shown in E�chibit B, pages 1 and
26 2, to be dedicated by K/B Fund III.
27 BE IT FURTHER RESOLVED at the Ciry shall dedicate an easement, to be described when the
28 survey is completed after const ction, through that part of the Loft Level of Town Square occupied
29 by Town Square Park, to acc odate exhaust ducting from the Skyway Level retail area.

RE: Town Square Vacation
Dear Council President Thune,
We recently received notice from the Department of Finance and Management Services that Koll Real Estate Services
Company owner of Town Square would like to convert a portion of public park space,which is now common area,to office
rental space. We understand this proposal to be part of a conversion of the property from retail to office use.
While we appreciate the efforts of the owners to improve the property,we are concerned that the use of the property is
being changed without addressing the park on the third level and the special service district that funds its operation and
maintenance. Ultimately,the third level park will become an upstairs lobby for the building tenants,thereby losing its public
purpose. Further,we understand that the owner has proposed to proceed with a time-schedule that is detrimental to the
present tenants.
The Town Square proposal was reviewed by our Development and Review Committee and the Board of Directors. We
passed the following resolution pertaining to this matter:
MOTION: 'The CapitolRiver Council Board of Directors approve of the proposal for the City of Saint Paul to convey a
portion of the common area of Town Square to the owner of the property, conditioned upon the following:
A. The Town Square special service district for operating and maintenance be terminated, except for the office and
retail tenants of the Town Square property itself;and
B. The transition be timed to pe�mit the retailers presently occupying Town Square to complete the1996 Holiday
season." MSA

convey the City' s interest in Tracts D, P, R, AAA, BBB, CCC, FFF,
and ZZ, Registered Land Survey No. 518 to Town Square to allow
reconfiguration for more efficient and economic use of Town Square
space, as more particularly shown on the plat attached to the
petition, has been ordered filed in the Office of the City Clerk of
the City of St . Paul, Minnesota, by the Saint Paul City Council,
and said petition will be heard and considered by the City Council
at a meeting thereof to be held in the Saint Paul City Council
Chambers in the City Hall and Court House on the llth day of
December, 1996 at 4 : 30 P.M.
