i WHEREAS, the acquisition of a parcel of property located northwesterly of Maryland Avenue and
z Clarence Street and east of the old Burlington Northern right-of-way is necessary for The Phalen
s Wetland Restoration Project, said pazcel being described as follows:

s Lots 1 through 4, Brenner Addition Number 2; and

� WHEREAS, the acquisition of this property was approved with Council File No. 96-544, dated May
s 22, 1996; and

io WHEREAS, the City of Saint Paul, acting through its Right-of-Way Engineer, has secured an
�i agreement to purchase said property for the agreed upon sale price of$27,000 , it being a fair and
i2 reasonable price for the subject property; and

ia WHEREAS, the Right-of-Way Engineer has recommended the purchase of said property at the price
�s stated above;

�� NOW THEREFORE BE IT RESOLVED, that the proper City Officials are hereby authorized and
is directed to pay Robert P. Schneider and Marjorie B. Schneider, owners of record, the sum of
i9 $27,000. The conditions of sale are contained in the attached copy of the Purchase Agreement.
Zo Purchase Agreement is attached hereto and incorporated herein by reference. Purchase price of said
Zi property to be financed by the Parkland Replacement Fund, under Funding Code CPL C96-2S150-
az 0788-00000.

PURCHASE AGREEMENT

5. Purchase price accepted by Seller: $30.000 consisting of $27.000 in cash to seller. $3.000

6. Real Estate Taxes: Seller shall pay all taxes payable in 1996, as well as any delinquent taxes not
yet paid. Seller shall provide buyer with proof of payment of taxes. Any assessments, taxes, and
liens not paid as of the date of closing, will be withheld from the purchase price. Buyer shall pay
all taxes payable after 1996.
� 7. Seller shall pay all assessments levied against said property as of the date of closing. Seller shall
provide buyer with proof of payment of assessments.

9. Seller shall provide the Buyer, within seven days of signing this Purchase Agreement, an updated
Abstract of Title and/or an Owner's Certificate of Title. Seller agrees, at Sellers's cost and
expense, to correct or remove any exceptiori or "clouds" on the title as shown on the Buyer's
"Commitment to Insure" title examination report. '
10. Closing shall occur within 60 days following execution of this Purchase Agreement, at which time
' the title to the preniises shall be conveyed to the City. The Closing date may be postponed and
rescheduled by mutual agreement of the parties hereto. Buyer shall pay all closing costs.
. 11. Seller shall provide an affidavit on the date of closing, indicating that the Seller has not used or
permitted the use of the subject property as a hazardous waste disposal facility as defined in
section 115A.03 Subd. 10 of Chapter 121 of the Laws of Minnesota of 1983, and that there is no
basis to conclude that this property has been subject to or co:�taminated by the release of any
hazardous substance, hazardous waste, pollutants of contaminants as defined in Section 115B.02
of the Minnesota Statutes.
�12. All warranties and representations made in this Purchase Agreement shall survive the closing and
the com�eyance of title to the property. This Purchase Agreement and all obligations provided
shall, to the eztent not fully satisfied and performed by or through the Closing, survive the closing
and the conveyance of title to the property.
