1 WHEREAS, the City of Saint Paul supports analysis of infant deaths and the reporting
2 of findings to the Minneapolis Department of Health; and

4 WHEREAS, the City will administer Project LID (Lower Infant Deaths) for Saint Paul
5 and Suburban Ramsey County, convening a Case Review Team; and
6
7 WHEREAS, a copy of the contract which is to be kept on record and on file in the
8 Department of Finance and Management Services; and
9
10 THEREFORE, BE IT RESOLVED, that the proper City Officials are hereby authorized
11 and directed to execute an agreement with the Minneapolis Department of Health and
12 Family Support.

The City of Mfnneapolis is the fiscal agent for Project LID (Lower Infant Deaths) . Work on
this project is split between a number of public health agencies. Saint Paul Public Health
has taken a larger role in the project for planning the pro�ect, reviewing infant deaths and
reporting results. Home visits will be subcontracted to Ramsey County Public Health.

AGREEMENT made this lst day of June 1996, between the City of Minneapolis, Minnesota, a
home rule charter city, hereinafter referred to as The City of St. Paul, acting through its public
Health Department, hereinafter referred to as Contractor.
In consideration of the following terms, conditions and mutual promises, the parties herein agree
as follows:
1. Scope of A�reement.
Contractor agrees to perform the following services for the City:
A. Convene a St. PauURamsey County Case Review Team to review infant
deaths.
B. Conduct home interviews with families experiencing an infant death in St.
Paul and Ramsey County.
C. Providing staff to plan implementation of Project LID and reporting results
to the MDH.
2. Compensation.
Contractor shall be compensated at a rate of $100 per home visit and $25 per
review of transcribed summarv of home interview. Total compensation under this
agreement shall not exceed 24 300. Contractor shall submit itemized invoices
for services rendered. If expense reimbursement has been agreed upon,
paragraph 3 herein shall govern.
3. Expense Reimbursement.
Reimbursable expenses shall be paid upon submission of itemized invoices to the
department head signing this agreement, and shall include the following:
Home visit expenses up to $ 5,000
Meeting expenses up to $ 1,300
Planning staff $18,000
TOTAL $24,300

The City agrees to pay for reimbursabie expenses, if reasonabiy and necessarily
incurred and as set forth in this paragraph. The parties agree that in no event
shall the total amount for compensation and reimbursable expenses exceed the
amount specified in paragraph 2 of this agreement.
4. Substitution and Assiqnments.
Services by the Contractor will be performed by the following persons:
Cheryl Fogarty and other St. Paul/Ramsey Public Health Nurses
Upon approval by the City, the Contractor may substitute other persons to perform
the services. If substitution is permitted by the City, the Contractor shall furnish
information to the department head signing this agreement to allow a proper
review of the qualifications of the substituted person. No assignment of this
agreement shall be permitted,except for substitution hereunder,without the written
approval of the Mayor and City Council.
5. Contract Administration.
All provisions of this agreement shall be coordinated and administered by the
department identified herein under the direction of the department head signing
this agreement.
6. Amendments.
No amendments may be made to this agreement after execution by the parties,
except for extensions of time, increases in compensation or increases or reduction
of the services to be performed so long as the limit of $25,000 is not exceeded,
unless the amendment is approved by the Mayor and City Council in writing.
7. Independent Contractor.
The Contractor and its employees shall not be an employee of the City, the
department, or the department head. It is agreed that the Contractor and its
employees will act hereunder as an independent contractor and acquires no rights
to tenure,workers' compensation benefits, unemployment compensation benefits,
medical and hospital benefits, sick and vacation leave, severance pay, pension
benefits or other rights or benefits offered to employees of the City, its
departments or agencies. The parties agree that the Contractor and its employees
will not act as the agent, representative or employee of the City, its departments,
or department heads.
8. Liability and Indemnification.
The Contractor agrees to defend, indemnify and hold the City, its officials, officers,
agents, and employees harmless from any liability, claims, damages, costs,
judgments, or expenses, including reasonable attorney's fees, resulting directly or
indirectly on account of any product, or any act or omission (including, without
limitation, professional errors and omissions) of the Contractor, its officers, agents,
employees, contractors and anyone for whose product, or acts or omissions, any
of them would be liable in the performance of the services provided by this
agreement and against all loss by reason of the failure of the Contractor fully to
perform, in any respect, all obligations under this agreement. In no event shall the
liability of the contractor exceed the limits set forth in Minnesota Statutes 466.
9. Contractor's Insurance. �(� — l S b�
The Contractor is a self insured unit of government. Requirement for insurance
verification has been waived by the City of Minneapolis Risk Management Office.
Acceptance of the insurance by the City shall not relieve, limit or decrease the
liability of the Contractor. Any policy deductibles or retention shall be the
responsibility of the contractor. The Contractor shall control any special or unusual
hazards and be responsible for any damages that result form those hazards. The
City does not represent that the insurance requirements are sufficient to protect
the Contractor's interest or provide adequate coverage.
10. Effective Date and Termination.
This agreement shall be in full force and effect from 6/1/96 to 5/31/97 unless
otherwise extended by the department head signing this agreement or terminated
earlier than the termination date under paragraph 15 on cancellation by the City.
11. Data Practices.
The Contractor agrees to comply with the Minnesota Government Data Practices
Act and all other applicable state and federal laws relating to data privacy or
confidentiality. The Contractor will immediately report to the department head
signing this agreement any requests from third parties for information relating to
this agreement. The City agrees to promptly respond to inquiries from the
Contractor concerning data requests. The Contractor agrees to hold the City, its
officers, department heads and employees harmless from any claims resulting
from the Contractor's unlawful disclosure or use of data protected under state and
federal laws.
12 Audits.
The Contractor agrees that the City, the State Auditor or any of their duly
authorized representatives, at any time during normal business hours and as often
as they may reasonably deem necessary, shall have access to and the right to
examine,audit,excerpt and transcribe any books,documents,papers,and records
that are relevant and involve transactions relating to this agreement.
13 Applicable Law.
The law of the State of Minnesota shall govern all interpretations of this contract,
and the appropriate venue and jurisdiction for any litigation which may arise
hereunder will be in and under those courts located within the County of Hennepin,
State of Minnesota, regardless of the place of business, residence or incorporation
of the Contractor.
14. Cancellation and Default.
Either party to this agreement may cancel this agreement upon thirty (30) days
written notice, except that if the Contractor fails to fulfill its obligations under this
agreement in a proper and timely manner, or otherwise violates the terms of this
agreement, the department head shall have the right to terminate this agreement,
if the Contractor has not cured the default after receiving seven (7) days written
notice.

Notwithstanding the above, the Contractor shall not be relieved of liability to the
City for damages sustained by the City as a result of any breach of this agreement
by the Contractor. The city may, in such event, withhold payments due to the
Contractor for the purpose of set-off until such time.as the exact amount of
damages due to the City is determined. The rights or remedies provided for herein
shall not limit the City, in case of any default by the Contractor, from asserting any
other right or remedy allowed by law, equity, or by statute.
15. Notices.
Any notice or demand, authorized or required under this agreement shall be in
writing and shall be sent by certified mail to the other party as follows:
