W:-iEREAS� pursuant to the directives of Chapter 764 Laws of
Minnesota 1973, the City of Saint Paul� the Housing and Redevelop-
ment Authority, the Science Museum of Minnesota and Sherman-
Antler Joint Venture entered into a Development Agreement, dated
October 7, 1975 providing for the purchase from the Author3ty
and the redevelopment of Block 7A by the construction of a public
Parking Ramp by the City, the construction of a Science Museum
by the Science Museum, and the construction of an apartment
building, medical office building, and an enclosed public area
(Gallery) by Sherman-Antle�t and
WHEREAS, by Amended Agreement between the parties in February,
1977, Fountain Development was substituted for Sherman-Antler as
Developer under the Development Agreement of October 7, 1975, and
the cantract for Airspace over a portion of the parking facility
on July I5� 1976; and
WHEREAS, the Housing and Redevelopment Authority, owner of
the airspace above the ramp designated for the construction of an
apartment tower, has requested that the City of Saint Paul enter
into a vertical Easement Agreement with the Authority in order to
provide for the efficient construction, operation and maintenance
of the Apartment Tower and the Rampf and
WHEREAS, after the execution of said Agreement and subject
to the limitations imposed by the Easement Agreement, it is
presently contemplated that the Housing and Redevelopment Authority
intends to convey the airspace for the apartment building to the
Port Authority in fee with a lease to Fountain Development for the

WHEREAS, the City of Saint Paul as owner of the ramp has
entered into separate easement agreements relating to the Medica�l
Office Building and Gallery� and the Science Museum� and
WHEREAS, the Director of Planning and Economic Development
deems such a request made by the Aousing and Redevelopment
Authority as being in the best interest of the City of Saint Paul
and the redevelopment of Block 7A,
NOW THEREFORE BE IT RESOLVED� that the proper City officials
are hereby authorized and directed to execute on behalf of the
City of Saint Paul a vertical Easement Agreement between the City
of Saint Paul and the Housing and Redevelopment Authority in
accordance with the terms and canditions on file in the office
of the City Attorney.
BE IT FURTHER RESOLVED that, the vertical Easement Agreement
shall relate to the Ramp and the Apartment Tower.
