SERVICE AND EQUIPMENT AGREEMENT
THIS AGREEMEIQT is made and entered into this first day of January 2001, by and
beh�+een the 1�TERRICK COMDIUi�'ITY SERVICES, a non-profit 501(C) 3 located at 715
Edgerton Street, Saint Paul, Minnesota 55101, hereinafter called " MERRICK" and the SAINT
PAUL POLICE DEPARTMENT whose address is 101 East 11`� Street, Saint Paul, MIv, 55101
hereinaRer called "POLICE".
WITNESSETH:
In consideration of the mutual terms and conditions, promises, covenants, and payments
hereinafter set forth, MERRICK and POLICE agree as follows:
Section 1. Scope of Services. The POLICE a�ee to purchase department
equipment, as approved by the Railroad Island Steering Committee and detailed on the attached
list, for use in the Railroad Island Weed and Seed site and surrounding areas as recognized and
defined in the b ant awarded by the State of Minnesota.
The POLICE will be responsible for formulating reports, gathering statistics for
evaluations, and/or other information necessary to assess progress or sustainment efforts of the
�roject's strategy as it pertains to the wark of the POLTCE, and/or as a condition of the �
award.
Section 2. Equipment. The equipment purchased under this agreement will be
used for the Railroad Island Weed and Seed Project. At the termination of this project this
property will become the property of the St. Paul Police Department.
Section 3. Time for Completion. The services rendered by the POLICE shall
commence on 3anuary 1, 2001 and be completed by March 31, 2001. The POLICE shall consult
with or report to MERRICK and/or members of the Steering Committee as needed to ensure
forward progress of the Weed and Seed �trategy ar.d to comrlete the ten*:s of this contract.
Section 4. Changes in Scope of Services. The RAILROAD ISLAND STEERING
COMMITTEE or the POLICE may request changes that would increase, decrease, or otherwise
modify the `Scope of Services". MERRICK must be informed in advance of such changes.
Section 5. Billings and Pavment. That for the faithful performance of the POLICE
to this AGREEMENT, MERRICK hereby agrees to reimburse the POLICE up to $10,000, based
on the availability of funding for equipment purchases. Upon receipt of the invoice and
verification of the charges, payment shall be made by MERRICK to the POLICE within thirty
(30) days.
Section 6. Discrimination Policv. At all times, the POLICE shall abide by chapter
183 of the Saint Paul Legislative Code in any personnel related policies.

Section 7. Termination. Either party to this AGREEMENT may terminate it by
giving no less than thirty (30) days written notice, unless othenvise a�eed by both parties, of the
intent to terminate to the other day. In the event of termination, the POLICE will be reimbursed
by MERRICK for all equipment purchases actually, timely, and faithfully made up to receipt of
the notice to termination and thereafter until the date of termination.
Section 8. Independent Contractor Status. The POLICE are at all times hereafter
an independent contractar and shall save and hold harmless MERRICK from any claim arising
out of its hiring, supervision, and performance hereunder.
Section 9. This AGREEMENT may be amended by further mutual written a�reement
of the parties thereto.
IN WITNESS WHEREOF, the parties hereto have executed this agreement, the day and
the year first above written.

by MERRICK for all equipment purchases actually, timely, and faithfully made up to receipt of
the notice to termination and thereafter until the date of termination.
Section 8. Independent Contractor Status. The POLICE are at all times hereafter
an independent contractar and shall save and hold harmless MERRICK from any claim arising
out of its hiring, supervision, and performance hereunder.
Section 9. This AGREEMENT may be amended by further mutual written a�reement
of the parties thereto.
