WF3EREAS, the City of Saint Paul vwns certain lands on Randalph Street
between Webster Street and Erie Street; and
WHE.REAS, the Metalcate Grease and Oil Company has requested permission
to lease a portion of sa,id City owned land described as follaws:
All �hat part of Randolph Street as originally located
and that part of Blocks 27 and 30, Stinson, Brown and
Ramsey's addition to St. Pa,u1, southerly of Randolph
Street as relocated..
RESOLVED, that the proper City officials are hereby authorized. to enter
into an agreement for a five and a half years period with Metalcote Grease
and Oil Compar�y; monthly rental for said property sha.11 be $100.00 per morith.
The agreement should also provide that the Metalcote Grease and Oi1 Compar.�y
flarnish a liability insurance contract in which the City of Saint Pau1 is
also named insurer, the limits of which axe to be no less than the general
statutory liability for a municipality as limited by Minnesota State Statutes.

by and between the CITY OF SAINT PAUL, PJffNPlESOTA, hereinafter called the
"Lessor", and METAI,COTE GREASE AND OIL COP�'ANY, hereinafter called the
"Lessee";
The Lessor, for and in consideration of the covenants and agreements
hereinafter contained as .made on the part of Lessee, does hereby demi.se
and lease to Lessee for use by Lessee, the premises as shocvn in red on
Exhibit A, which said Exhibit A is hereunto attached and made a part
hereof by reference and described as follaws, to t�.t:
All that part of Randolph Avenue as ori�inally platted in
Stinsori, Brown and Ramsey's Addition, and as opened, per
City of St. Pau1 Public Works drati�rin� No. 1110, dras,rer
No. �+, dated Anril 3, 1956, and that part of Erie Street
as opened per City of St. Paul Public Works Opening, old
series book 3, page 19, dated May 2�+, 1886, and that part
of Block 27, Stinson, Broem and Ramsey's Addition described.

Co.mmencing at the southeast corner of Block 30,
Stinson; Brown and Ramsey's Addition to St. Paul
as originally platted, thence westerly along the
south line of said Block 30 a distance of 163
feet, more or less, to a point; thence south at
right angles to the last described line a distance
of 66 feet more or less to a point on the south
line of Randolph Avenue which is the point of
beginning of a line to be described; thence
northeasterly along a line 37 feet southeasterly
of and t�arallel to the centerline of relocated
Randolph Ave., as shown on City of St. Paul Fublic
Works construction contract No. 58-P-209 sheet 3,
to its intersection with the east line of Erie
Street; thence sauth along said east line of Erie

�+. Lessee agrees that it will protect and save and keep the Lessor,
forever harmZess and indemnified against and from any penalty or dama�e or
charges imposed for any violation oi any Iaws or ordinances, whether
occasioned by the neglect of Lessee or those holding under Lessee, and that
I,essee will at al]_ times protect, ind�mnify and save and keep harmless the
Lessor abainst and from any and all loss, cost, damage or expense arisin� ,
out of or from any accident or other occurrence on or about said pre.mises
causing injury to any persor_ or property whomsoever or whatsoever, and tnll
protect and indeannify and save and keep harmless the I,essor against and from
any and all claims and against and from any and a11 Ioss, cost, damage or
expense arising out of any failure of the Lessee in any respect to comply
with and perform all the requirements and provisions hereof.
5• That said Lessee sha11 flirnish and maintain during the term of this
lease agreement a certificate of public liability insuranc e wherein the City
of Saint Paul shall be designated as a co-insured, said insurance coverage
to be in the following amounts: for personal injuries, Fifty Thousand Dollars
• (�50,000,00) for each person, Three Hundred Thousand Dollars (�300,Qpp.pp) for
each occurrence; property damage to the extent of Three Hundxed Thousand
Dollars ($300,000.00), tahich public liability insurance certificate shall
be subject to approval by the City Attorney.
6. Upon termination of this lease, all imnrovements made by the Lessee
upon the demise3 �r�mises s:~�all become the property of the Zessor.
7. Lessee shall not assi�n this lease.
