The Saint Paul Police Department will need to train the 2001-4 Recruit Academy in Mobile Field Force Tactics to prepare fox
: possible civil unrest. The training requires a very lazge field, building, and roadways away from populated azeas due to the use
of suens and blanks being fued.

LEASE AGREEMENT
This lease, made this 1st day of November, 2001 is by and between
Washington County Agricultural Society, a non-profit corporation, herein after
called the LESSOR and St. Paul Police Dept. Training Unit herein after
called the LESSEE. Failure to return this lease agreement within thiity (30) days
of 1he above date wiA result in its termination.
1. LESSOR hereby ieases to LESSEE the Washington County
Fair�rounds, located in the Town of Baytown, Washington County, Minnesota.

1.To fiave and to hold the leased premises unto the LESSEE for a term of

shall comply with all {aws, ordinances and regulations affectinq the leased
property, and promulgated by any duly constituted governmental authority.
LESSEE shall also comply with any insurance company requiremEmts affecting

expUation of the term the buildings and grounds must be cleaned and vacated in
the s8me condiNon as �t the beginning of the term. This includes but is not
limked to, removing and dlsposing of all trash. Any repairs or replacements
neoessary to restore the property to the condition at the beginning of the term
shall be paid by the i.ESSOR and the LESSOR shall be fully reimbursed by the
LESSEE.

IND�MNITY
1.The LESSEE will indemnity the LESSOR, its officers, agents, and
emp�yees from any dameges it may be r�quired to pay as a result of suits,
clalms, or judaments arieing out of the City's use of the premises which are
atMbutable to �eplipent acts or om�ssions by the LESSEE, its emp�ayees, agents
0� �n�actois. 1'his itldemnification shall not be construed as a waiver of the
munkipal tort liabillty limits set foRh in Minn. Stat Sec.466.01 et seq. Also, this
irtdemnification does not indude injuries or damages arising from hidden traps or
dat�gsrous conditions of the premises itself as to which the LESSO�R had actual
or cottatructive no6ce; and damages or inJuries arising out of occurrences or
events which are not part of the authorized use of the premises or which do not
taks plt�ce on Me ptemfies.
l,MINENt DOINAIN
1.If the leased prem(ses shall be taken under the power of eminent
dorr�ln, then the term of this lease shall cease as of the day possession shall be
talcen by the cond�mning authority, and the rent shail be paid up to that date.
2.All damagas awaMed for any such taking under the power of eminent
domain shall be that property of LESSOR, whether such damages shall be
awarded as compeosation for diminution in value of the leasehold or to the fee of
tl�e Mssed premisas.

tn case the Isased premises shafl be partiatly or totaliy destroyed by fire
casuaity so as to become partially or totally unattainable, Yhe same shali be
repaired as speedily as possible at the expense of LESSOR unless LESSOR
shall elect not to rebuiid, in which case by notice in writing LESSOR may
terminate this lease, and a just and proportionate part of the rent shail be abated
until 8o repaired based upon the time and to the extent the leased premises are
untenarrtable.
AES16MlMENT AND SUBLETTING
1.LESSOR shail not assign or in any manner transfer this lease or any
interest therein, nor sublet said leased premises or any part thereof, nor permit
oCCUpency by anyone with, through or under it, without the previous written
con�ent of LESSOR.
2.Nekher this lease nor any interest therein, nor any estate thereby
ereated, shall pass to any trustees or receiver in bankruptcy, or any assignees for
the ber�fit of creditors, or by operation of law.
ACCESS TO PREMISES
1.LE550R shali have the right to enter the leased prernises at ali
reasonable hours, upon written notice, for the purpose of inspecting the same or
of making repairs, addit'tons or alterations thereto.
stlRREND6R OF POSSESSION
'1.At the expiration of the tenancy created hereunder, whether by lapse of
time or otherwise, LESSEES shall surrender the leased premises in good
condition and repair. tf the leased premises are not surrendered at the end of the
term or the sooner termination thereof, LESSEE shall indemnify LESSOR against
loss or liability resulting from delay by LESSEE in so surrendering the leased
premises, inciuding, wkhout limitation, claims made by any succeeding tenant
founded on such delay.
2.In the event LESSEE remains in possession of the leased premises
after the expiration of the tenancy created hereunder, and without the execution
of a new lease, it shall be deemed to be occupying the leased premises as a
tenant from day to day, at twice the stated rent, subject to all the other conditions,
provisions and obligations of this Iease insofar as the same are applicable to a
day to day tenancy, provided said possession is with LESSOR's consent.
NOTlCE$
1.Whenever under this Iease provision is made for notice of any kind, such
notice shall be in writing and shall be deemed sufficient notice and service
thereof if such notice to LESSEE is actually delivered to LESSEE or sent by
regtatered or certified mail, return receipt eequested, postage prepaid, to the tast

registered or cert�ed mail, return receipt requested, postage prepaid, to the
LESSOR at the address fumished for such purpose, or to the place then fixed for
the payment of rent.
6ENERAL
'f.Nothing corrtained herein shall be deemed or construed b�� the parties
hereto, nor by any th�rd party, as creating the relationship of principal and agent
or of partnership or of joint venture between the parties hereto.
2.One or more walvers of any term of this lease by either party shall not
be construed by the other party as a waiver of subsequent breach of the same
term. The consent or approval by either party to or of any act by the other party
of e nature requiring consent or approval shall not be deemed to waive consent
to or approval af any subsequent similar act.
3.The headirZgs of the several articles contained herEin are for
convenience only and do not limit the contents of such articles. All negotiations,
conaiderations, representations and understandings between the parties are
incorporated herein, and rnay be modified or altered only by agreement in writing
betweer� the parties.
4.The covenants and obligations herein shall extend to, bind and inure to
the beneflt of not only the parties hereto, but their respective personal
repreaentative3, heirs, successors and assigns.
S.Unenforceabiiity of any provision contained in this fease shalf not affect
or impair the validity of any other provision of this lease.
6.The laws of the State of Minnesota shall govern the validity,
peAormance and en4orcement of this lease.
