I represent Criss �ss Investments , Inc . which , prior to February
1 , 1978 was negotiat��g wi-th Arend-Krone , Inc. to purchase a bar
and on-sale liquor license at 1174 W. 7th Street , St . Paul , Minn .
' A condition of the purchase was that Criss Cross Investments , Inc.
would be able to purchase the real estate in which the bar is
located from another party.
The matter came before the License Committee on February 1 , 1978 at
which time it was not acted upon because of a claim by a union re-
preser:tative against Arend-Krone , Inc. for pension and health and
welfare payments which were due .
' Subsequently , because of financing problems as to the real estate
and problems with the lease as an alternate to the purchase of the
� building , the entire transaction failed to materialize.
On January 23 , 1978 , at the suggestion -of the License Inspector,
Criss Cross Investments , Inc. made the following payments to the
City Licensing Division in anticipation of a possible transfer of
the license :
1 . Application #P21048 for transfer of the on-sale
liquor license -------------------------------- $437. 50
2 . Application #P21049 for the on-sale liquor
license fee -----------------------------------1 ,057. 50
3. Application #P21061 for a Sunday on-sale
liquor license -------------------------------- 200. 00
4. Application #P21062 for a restauran�..license -- 45. 00
5. Application �P21062 for a cigarette license --- 12 . 00
In view of the fact that the above payments have not been returned to
Criss Cross Investments , Inc . even though verbal requests have been
made to the City License Office , R. Robert Mattson , President , Criss
Cross Investments , Inc. on April 3 , 1978 directed a letter to the

License Inspector , a copy of which is attached. This letter has
not been formally ac.knowledged , but on April 13, 1978, the City
Council adopted a resolution , a copy of which is attached , trans- �
ferring License No. 9456 which had been erroneously granted to �
Criss Cross , Inc . to Arend-Krone , Inc.
Mr. Mattson and I have been advised by Ms . Beryl Nord , Assistant
St . Paul City Attorney , that William Arend. represented to her
when requesting transfer of the license from Criss Cross , Inc. to
Arend-Krone , Inc . that Criss Cross , Inc. had agreed to forfeit the
license fee to Arend-Krone , Inc . Actually , this is not true in
that Criss Cross , Inc. did not agree to a forfeiture of any kind.
Apparently the City Attorney ' s Office or the License Division made
no contact with Criss Cross In�estments; Inc. to verify the state-
ment of William Aren� prior to the Council resolution on April 13,
1978.
In addition to the above, . Criss Cross Investments , Inc. has paid
$2 ,000 . 00 in earnest money to Arend-Krone , Inc . which has not been
returned but this amount has been placed in e.scrow with Neill J .
0 ' Neill , who also is an attorney for Criss Cross Investments , Inc . ,
pending resolution of the claim of Criss Cross Investments , Inc .
that its purchase contract obligations were fulfilled and that the
contingencies requiring return of the earnest money had come about.
Mr. Mattson and I intend to appear personally at the Council meet-
ing on May 23, 1978 at which time the matter of a new transfer of
- the license from Arend- Krone , Inc. to a new buyer is scheduled to
be heard and at that time we intend to .make a request of payment by
the city to Criss Cross Investments , Inc. of all of the payments
to the license -division referred to above. In this� case , it should �
be noted that the License Division has advised it will refund all
payments except the $1 ,057. 50 fee .
