WHEREAS, the Saint Paul Police Department has entered into an agreement with Collabora6ve Movement for
ImprovementlNew Beginniugs Center(CNIIlNBC� for police services provided at the Summit University Weed
and Seed site (Agreement # 02-11853-C�; and
WHEREAS, CNII/NBC will reimburse up to $18,000 for Saint Paul Police Department police services to strengthen
police/community relations and improve the community quality of life; and
WHEREAS, a 2001 financing and spending plan needs to be established for the police services provided at
the Summit iTniversity Weed and Seed site; and
Wf�REAS, the Mayor pursuant to Sec6on 10.07.1 of the Charter of the City of Saint Paul, does certify that
there are available for appropriafion funds of $18,000 in egcess of those estimated in the 2001 budget; and

SUBCONTRACT
THIS 5UBCONTRACT is entered into this 1�` day of May 1, 2001, by and between Collaborative
Movement for Improvement/New Beginuings Center, a Miunesota nonprofit corporation
(CMUNBC) and the St. Paul Police Department (Subcontractor).
RECITALS
A. CMIlNBC, acting as the fiscal agent for Summit-University Weed & Seed program, shall
enter into a Contract with the Subcontractor.
B. The purpose of the Weed & Seed Contract, is to have CMi/NBC enter into a Contract witl�
the Subcontractor to provide police overtune to the Stunmit-University azea.
C. In order to cazry out its obligations under the Weed & Seed Contract, CMI/NBC desires to
engage the services ofthe Subcontractor, and the Subcontractor desires to provide such
services pursuant to the terms and conditions set forth herein.
NOW, TF3EREFORE, in consideration of the mutual promises, covenants, and conditions set
forth herein the parties hereby agree as follows:
SECTION 1: Services
A. Duiiug the term of this Subcontract, the Subcontractor agrees to provide project
coordination of Police Department Issues, and any related services, above and beyond the regular
scope of duty, to the Summit-University Weed & Seed site, as recognized and defined in the grant
awarded by the State of Minnesota.
B. Such services shall include, but not limited to attendance at Steering Co�nittee
meetings, whenever possible, sufficient staff and/or overtime hours to increase Police presence,
good faith efforts toward strengthened police/community relations, and works towazd improved
community quality of life, as pernutted by funds allowed. The Subcontractor shall consult with or
report to the Weed & Seed Coordinator and/or members of the Steering Committee as needed
increased forward progress of the Weed & Seed strategy.
SECTION 2: Payment and Reimbursement
In exchange for the Services to be performed hereunder by the Subcontractor, CNII/NBC
shall pay the Subcontractor a maX;mum of $18,000.00 on a reimbursable basis. Such payments
sha11 be accepted by the Subcontractor as payment in full for the Services. All payments aze
conditional upon compliance by the Subcontractor in accordance with Minu. Stat. *245.485 to
*245.4888 and all other applicable laws, rules and standards.
SECTION 3: Books and Records
The Subcontractor agrees to n�iutain books, records, documents and other evidence of
this Subcontractor in the manuer prescribed from tixne to time by CNII/NBC or the Weed & Seed
program. The Subcontractor shall provide access to such books and records from time to time as
reasonably requested by CMIlNBC or the Weed & Seed program

5ECTION 4: Terms
The terms of the Subcontract shall be for the period May 1, 2001 to December 31, 2001
provided that either the 5ubcontractor CMUNBC may terminate this Contract upon thirty (30)
days notice to the other party, and provided farther that this Subcontractor shall terminate
immediately and without notice in the event the Weed & Seed Contract with CMI/NBC is
terminated.
5ECT'ION 5: Representations and Warranties of the Subcontractor
(a) Compliance with Laws: Licensure. The Subcontractor agrees to comply with all
federal, state, county and local laws, regulations, ordinauces, rules and certifications as pertaining
to the facilities, programs, and staff for which the 5ubconlractor is responsible during the term of
tivs Contract. This will include, but not be limited to, current health, fire marshall and program
licenses, zoning standards, staff certification requirements, and all other applicable laws,
regulations, ordinances, rules, and certifications which are effective or will become effective
duriug the term of this Contract. Any failure of the Subcontractor to comply with the
requirements of this paragraph 5(a) shall constitute cause for cancellation of this Contract by
CMI/NBC. Not withstanding any other provision of this Contract, such cancellation may be
effective, in the sole discretion of CMUNBC, as of the date of failure.
(b) Compliance with Contract. The Subcontractor agrees to compiy with all of the
provisions ofthe Weed & Seed Contract, including, without lnnitation, the provisions relating (1)
to an annual certified audit contained in Section III.H, (ii) to statutory and organizational
requirements contained in Section N, and (iii) to equal employment upon family and civil rights
contained in Section V.
SECTION 6: Independent Contractor Status
It is agreed that nothing contained in this Contact is intended or should be construed as
creating the relationship of co-partners, joint venturers, or an association with CMI/NBC and the
Subcontractor. The subcontractor is an independent contractor and neither it, its employees,
agents nor representatives shall be considered employees, agents or representatives of CMI/NBC.
Except as otherwise provided herein, the Subcontractor sha11 inaintain in all respects the personnel
by wluch this Contract is performed. From any amounts due the Subcontractor, there will be no
deductions for federai income taY or FICA payments, or for any state income tax, nor for any
other purposes which aze associated with any employer/exnployee relationship unless required by
law. Payment of federal income ta�c, FICA payments and state income t� are the responsibility of
the Subcontractor.
SECTION 7: Indemnification CNIUNBC
Except when caused by the negligence of CMI/NBC the Subcontractor agrees to defend,
indenmify, and hold lianvless CMUNBC, its directozs, officers, employees, and agents against any
and all liabilities, losses, damages, costs, and eapenses, including attorney's fees, which CM7/NBC
any sustain, incur or be required to pay by reason of any act or omission of the Subcontractor, its
agents, directors, officers, ar employees during the performance under this Contract.

SECTION 8: Confidenfiality
(a) The parties acknowledge that certain confidential anformation may be transmitted
or disclosed by the parties to each othet in connection with their perfoiv»uce
under this Contract. For purposes of this Contract, "confidential information"
includes financial information, patient records and accounts, trade secrets, and all
other information designated by the Weed & Seed program, CMI/NBC or the
Subcontractor (and communicated to the other parties) as confidential. Generic
knowledge or infoimation publicly known that is generally employed by the trade
shall not be deemed part of he confidential information.
(b) The parties shall not, at any time, directly or indirectly, use, copy, reveal, report,
memoria7ize, publish, duplicate or otherwise disclose to any third pariy in any way
whatsoever any confidential infozmation without the written consent of the other
party, wluch consent shall be exercised in the sole discretion of such party. The
parties shall receive, maintain and sue the confidential information in the strictest
of confidence and use best efforts to keep the confidential information strictly
confidential and to preserve disclosure thereof.
SECTION 9: Miscellaneons
(a) Assi ent. The rights, interests and obligations of the Subcontractor under the
provisions of this Contract shall not be assignable without the prior written consent of CMI/NBC.
(b) Notices. Any notice or other connnunication required or permitted to be given or
served upon any of the parties under this Contract shall be sufficiently delivered, given or served if
delivered personally to such party as set forth below or at such other address as such party shall
designate, by giving written notice to the other parties as follows:

(c) Amendments. Any alteration, modification, waiver or amendment of the provisions of
this contract shall be valid only when reduced to writing, as an amendment and signed by both
parties.
(d} No Waiver. Failure of either pariy hereto to enforce any term or provision of this
Contract shall not be construed as a waiver of such term or provision or of the right to enforce
such term or provision.
(e) Entire AQreement: Severabilitv. It is understood and agreed that the entire Contract of

B. 7erms of Payment
1. Payments shall be made by the STATE promptly after GRANTEE's presentation of invoices tor
services performed and'acceptance of such services by the STATE'S Authorized Agent pursuant
to Clause 6., of this grant contract. Invoices shall be submirted in a form prescribed by the
STATE and according to the following schedule:

IV. TERM OF GRANT CONTRACT This grant contract shall be effectroe on or'upon the�da2etli�
the final required signature is obtained by the STATE, pursuant to Minn. Stat. § 16C.05., Subd 2.,
whichever occurs Iater, and shall remain in effect until 12l37/2001, or until all obligations set forth in this

dates. No cost incurred prior to or after the end of the grant period will be compensated by the STATE.
V. CANCELLAT(ON
A. Commencement of project. If the project is not operaiional within 60 days ofi the original start date of
the grant period, the CaRANTEE must report by letter to the STATE the steps taken to initiate the
project, the reasons for delay, and tfie expected start date. If a project is not operational within 90
days of the original state date of the grant period, the GRA[�ITEE must submit a second statement to
th.e S7ATE explaining the implementation delay.
B. 7his grant may be canceled by the STATE or GftANTEE at any time, with or without cause, upon
thirty (30) days notice to the_ other party. In the event of such a cancellation GRAN7EE shall be
entitled to payment, determined on a pro rata basis, fos work or services satisfactorily pe�formed.
The STATE may cancel this grant contract immediately if the STATE finds that there has been a
faifure to compVy with the provisions ofi tfiis grant contract, that reasonabte progress hasnot 6een
macle, or that the purposes #or which xhe funds were granted have not been or will not be fulfilled, the
STATE may take action to' protect the, interests of the State ofi Minnesota, including the refusal to
