12 (a) Minnesota Statutes, Chapter 462C (the "Act) confers upon cities, or housing and
13 redevelopment authorities or port authorities authorized by ordinance to exercise on behalf of a
14 city the powers conferred by the Act, the power to issue revenue bonds to finance a progam for
15 the purposes of planning, administering, making or purchasing loans with respect to one or more
16 multi-family housing project developments within the boundaries of the city;
17 (b) The Housing and Redevelopment Authority of the City of Saint Paul, Minnesota
18 (the "HRA") has been designated, by ordinance, to exercise, on behalf of the City of Saint Paui,
19 Minnesota (the "City") the powers confened by Minnesota Statutes, Section 462C.01 to
20 462C.081;
21 (c) The Housing and Redevelopment Authority of the City of Saint Paul, Minnesota
22 (the °HRA"), has received a proposal from Arbor Pointe Limited Partnership, a limited
23 partnership arganized under the laws of Minnesota (the "Partnership"), that the HRA undertake a
24 program (the °Housing Program") to finance a Project hereinafter described, through the
25 issuance of revenue bonds (the "Bonds") pursuant to the Act;
26 (d) The Project to be financed by the Bonds is the acquisition, construction and
27 equipping of an independent senior rental housing facility containing approximately 44 housing
28 units located at Dale Street and Maryland Avenue in the City of Saint Paul (the "Project");
29 (e) The proposal calls for the HRA to loan the proceeds realized upon the sale of the
30 Bonds to the Partnership pursuant to a revenue agreement or agreements wherein the Parinership
31 will be obligated to make payments at the times and in amounts sufficient to provide for the
32 prompt payment of principal of, premium, if any, and interest on the Bonds and all costs and
33 expenses of the HiZA and the City incident to the issuance and sale of the Bonds;

(� The City desires to facilitate the acquisition and construction of a multifamily
housing facility within the City; and the Project will assist the City in achieving these objectives;
(g) A public hearing on the Housing Program and the Project was held on this date
following duly published notice, at which time all persons that desired to speak were heazd;
5 (h) No public official of the City has either a direct or indirect financial interest in the
6 Project nor will any public official either directly or indirectly benefit financially from the
7 Project; and
8 (i) A form of Memorandum of Understanding has been prepared between the HRA
9 and the Partnership, which sets forth certain understandings by and between the I-IR A and the
10 Parinership pertaining to the Project, and the financing therefor.
11 NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Saint
12 Paul, Minnesota, as follows:

1. The City hereby gives preliminary approval to the proposal of the
Partnership that the City undertake the Proj ect, described above, and the program of financing
therefor, pursuant to Minnesota Statutes, Chapter 462C, consisting of the acquisition,
construction and furnishing of a multi-family rental housing facility within the City pursuant to
the Parinership's specifications and to a revenue agreement between the HRA and the Partnership
on such terms and conditions with provisions for revision from time to time as necessary so as to
produce income and revenues sufficient to pay, when due, the principal and interest on the Bonds
in the total principal amount of approximately $4,000,000 to be issued pursuant to the Act to
finance the acquisirion and construction of the Project; and said agreement may also provide for
the entire interest of the Partnership therein to be mortgaged to the purchasers of the Bonds, or a
trustee for the holder(s) of the Bonds; and the City, acring by and through the HRA hereby
undertakes preliminarily to issue its revenue bonds in accordance with such terms and
conditions;
2. On the basis of inforruation available to the City it appears, and Yhe City
hereby finds, that the Project constitutes a multi-family housing development within the meaning
of subdivision 5 of Section 462C.02 of the Act; that the availability of the financing under the
Act and the willingness of the City to fizrnish such financing will be a substantial inducement to
the Partnership to undertake the Proj ect, and that the effect of the Proj ect, if undertaken, will be
to encourage the provision of multi-family rental housing opportunities to residents of the City,
and to promote more intensive development and use of land within the City;
33 3. The Proj ect, and the program to finance the Project by the issuance of the
34 Bonds, is hereby given preliminary approval by the City subject to final approval by the HRA,
35 the Partnership and the purchasers of the Bonds as to ul6mate detaiis of the financing of the
36 Project,
37 4. Pursuant to Chapter 72, Saint Paul, Minnesota Administrative Code, the
38 City hereby authorizes and directs the Housing and Redevelopment Authority of the City of
39 Saint Paul, Minnesota (the "HItA") to issue the Bonds to finance the Project and to take ali
40 actions necessary or desirable in connection therewith, and no further approval or authorization

1 of the City shall be required; provided that the HRA may, in its discretion, authorize the Board to
2 issue the Bonds and to implement the program approved hereby, and the City hereby consents
3 thereto;
4 5. The Partnership has agreed and it is hereby deternuned that any and all
5 costs incurred by the City or the HRA in connection with the financing of the Project whether or
6 not the Project is carried to completion and whether or not approved by HRA will be paid by the
7 Partnership:
8 6. Briggs and Margan, Professional Association, acting as bond counsel, and
9 such investment bankers as may be selected by Parinership, with the consent of the HRA, are
10 authorized to assist in the prepazation and review of necessary documents relating to the Project
11 and the financing prog�am therefor, to consult with the City Attomey, Partnership and the
12 purchaser of the Bonds as to the maturities, interest rates and other terms and provisions of the
13 Bonds and as to the covenants and other provisions of the necessary documents and submit such
14 documents to the HRA for final approval;

7. Nothing in this Resolution or the documents prepared pursuant
hereto shall authorize the expenditure of any municipal funds on the Project other than the
revenues derived from the Project or otherwise granted to the City or the HRA. The
Bonds shall not constitute a charge, lien or encumbrance, legal or equitable, upon any
property or funds of the City or the HRA except the revenue and proceeds pledged to the
payment thereof, nor shall the City or the HRA be subject to any liability thereon. The
holders of the Bonds shall never have the right to compel any exercise of the taxing power
of the City or HRA to pay the outstanding principal on the Bonds or the interest thereon,
or to enforce payment thereon against any property of the City or the HRA. The Bonds
shall recite in substance that Bonds, including the interest thereon, are payable solely from
the revenue and proceeds pledged to the payment thereo£ The Bonds shall uot constitute a
debt of the City or HRA within the meaning of any constitutional or statutory limitation.
8. In anticipation of the issuance of the Bonds to finance all or a portion of
the Project, and in order that completion of the Project will not be unduly delayed when
approved, the Partnership is hereby authorized to make such expenditures and advances toward
payment of that portion of the costs of the Proj ect to be financed from the proceeds of the Bonds,
as the Parinership considers necessary, including the use of interim, short-term financing, subj ect
to reimbursement from the proceeds of the Bonds if any when delivered but otherwise without
liability on the part of the City or the IIRA.
9. The form of the Memorandum of Understanding is hereby approved and
the Executive Director of the HRA is hereby authorized to execute the same.

REGARDING: PUBLIC HEARING - Resolufion Reciting a Pzoposal for a
Financing Program for a Multi-Family Rental Housing Development,
Giving Preliminary Approval to the Project and Program Pursuant to Minnesota
Statutes, 462C, Authorizing the Housing and Redevelopment Authority of
the City of Saint Paul to Issue Housing Revenue Bonds and Authorizing the
Preparafion of Necessary Documents and Materials in Connection with the said
Project and Program.
PURPOSE
The Housing and Redevelopment Authority of the City of Saint Paul (HRA) has received an
application from Frisch Properties, LLC., Mr. Gerald E. Frisch sole member, requesting the IIRA to
issue up to $4,000,000, of T� Exempt Multifamily Revenue Bonds ("Bonds") and for assistance to
fund the $1,386,750 financing gap for the purpose of constructing the Arbor Pointe Apartments,
independent senior housing project ("Project") located in District 10.
The purpose of this report is to request the City Council to consider adopting the attached preliminary
(inducement) resolution which would approve the following:
Authorize the Executive Director of the HRA to enter into a Memorandum of Understanding
(MOU) with Mr. Frisch to work towards possible issuance of the Bonds. The MOU also
stipulates the terms and conditions for issuance of the Bonds should the IIRA decide to issue
the Bonds; and
2. Authorize HRA to issue up to $4,000,000 of t� exempt, multifasnily rental revenue bonds for
the Project; and
3. Authorize City staff to prepare a Housing Program for financing the Project prepazed in
accordance with the provisions of Minnesota Statutes, secfion 462C.03; and
4. Retain Briggs & Morgan as bond counsel and Miller, Johnson, Steichen & Kimiazd as
investment banker for said Bonds, authorize them to assist in the preparation and review of
necessary documents relating to the Project and Housing Program and consult with the HRtl,
City Attorney, Owner, and purchasers of the proposed Bonds.
Approval of the inducement resolution and execution of the Memorandum of Understandin¢ does not
re�c uire or obligate the Citv or HRA to issue bonds or cause any acrion against the Citv or HRA arising
from any failure or refusal by the Citv or HRA to approve the project or issuance of the Bonds.
With respect to multifamily housing bonds, Section 72.04 of Chapter 72 of the City's Administrative

Code provides that the I3RA be designated to exercise on behalf of the City the powers conferred by
Minnesota Statutes 462C (housing programs and revenue bonds) but only unless directed and
authorized to do so by resolution adopted by the City Council. Thus the reason, this proposal is
initiated before the City Council rather than the I IRA.
PROJECT
Frisch Properties, LLC., purchased the vacant Dey Bros. Nursery properly on July 18, 2000 with fixnds
borrowed from the IIIZA. The project is to be built using tax-exempt housing revenue bonds insured by
FHA. The Project consists of a three story apartment building contanung 44 independent senior
housing rental units. Amenities include larger living units, underground pazking, elevator, laundry
facility and common space. The Project will comply with the City's rental affordability requirement of
10% of the units affordable at 30% of inedian income and 10% of the units affordable at 50% of
median income. The estimated unit breakdown is listed below.

The Project will be fixnded by a combination of multifamily tax exempt bonds and federal Low Income
Housing Tas Credit Program. The taac credits are not from the City's annual allocarion but aze 4%
credits eligible for use with taY exempt bonds. (The maximum rents must be affordable at no more
than 60 percent of azea median income.) The estimated sources and uses of funds statement is as

Mr. Frisch has requested subordinate financing from the IIIZA and Ramsey CounTy Housing
Endowment Fund. The HItA cannot loan CDBG funds directly to a private developer for new
construction but may grant funds to a neighborhood nonprofit for their participarion in the project. It
will be recommended that the IIRA grant CDBG funds to the NEAR organization after which they will
1oan CDBG funds to the project. The Ramsey County HRA Endowment Funds will be loaned at
similaz terms to the CDBG financing. The deferred developer fee would be taken from project
cashflow.

The Bonds are structured to accommodate level debt service amortization schedule. The Project's
operations support the annual debt service payments by a 1.05 debt service coverage ratio.
FEES
The non-refundable application fee of $5,000 has been received. Should the Bonds be issued, the IIRA
will receive an administrative fee at closing equal to 0.5% of the principal balance of the Bonds. On
the second anniversary date of the Bonds the HRA will receive an additiona10.5% fee. Every year
thereafter that the Bonds remain outstanding the HRA will receive an annual admimstrafive fee equal
to 0.01% of the outstanding principal balance of the Bonds.
BUSINESS PROFILE
Mr. Gerald Frisch has been in business since 1961 and has owned or developed over 500 housing units
in the Saint Paul area. The Frisch Properties, LLC., was arganized in 1998 to develop new real estate
projects. Experience with the HRA includes :the New York Bingo Palace and Embers Restaurant
(formerly Payne Reliever location) and the River Town Homes, LLC., a Minnesota Limited Liability
Company forxned by Gerald E. Frisch and David R. Engfer. River Town Homes has been in existence
for approximately four yeazs.

ADVERSE LENDING
Mr. Frisch ar Frisch Properties LLC., does not have an adverse lending relationship with the fIRA or
the City of Saint Paul.
REPAYMENT CAPACITY
The ProjecYs 15 yeaz Income Projections-Cash Flow appears to be a reasonable projection and will
attain a 1.05 debt coverage ratio. Operating expenses appeaz to be reasonable.
SUPPORT
Mr. Frisch has received support from the District 10 Community Council.
PUBLIC PURPOSE
The following public purposes will be met:
1. Project will provide housing opportunities for a variety of incomes.
2. Project meets objectives of The Housing Pdan, adopted as part of the City's Comprehensive
Plan, Section 6.0, Strategy 3: Ensure Availability of Affordable Housing.
BOND AUTHORITY; ALLOCATION PROCESS
For the past several years, the entitlement has been used for housing projects and mortgage revenue
bonds or mortgage credit certificates to finance the City's singie family mortgage program. Because
the Arbor Pointe Apartments will be owned by a for-profit entity, the proposed bonds will count as part
of the City's entitlement bond allocation. However, staff believes that the single family mortgage
program is amply funded far 2001. Therefore, issuance of rental revenue bonds would not diminish
the City's single family mortgage program.
Upon adoption of the inducement resolution staff will proceed to prepare a housing program to finance
the proposed project. Furthermore, sta£f will present to the HRA a report detailing the financing of the
Project and request the HRA to consider adoption of a resolution to issue and sell revenue bonds to
finance the project and development gap financing assistance.

8 AND AUTHORIZING THE PREPARATION OF NECESSARY
9 DOCUMENTS AND MATERIALS IN CONNECTION
10 WITH THE SAID PROJECT AND PROGRAM
11 (ARBOR POINTE Al'ARTMENTS PROJECT)
12 (a) Minnesota Statutes, Chapter 462C (the "Act) confers upon cities, or housing and
13 redevelopment authorities or port authorities authorized by ordinance to exercise on behalf of a
14 city the powers conferred by the Act, the power to issue revenue bonds to finance a progam for
15 the purposes of planning, administering, making or purchasing loans with respect to one or more
16 multi-family housing project developments within the boundaries of the city;
17 (b) The Housing and Redevelopment Authority of the City of Saint Paul, Minnesota
18 (the "HRA") has been designated, by ordinance, to exercise, on behalf of the City of Saint Paui,
19 Minnesota (the "City") the powers confened by Minnesota Statutes, Section 462C.01 to
20 462C.081;
21 (c) The Housing and Redevelopment Authority of the City of Saint Paul, Minnesota
22 (the °HRA"), has received a proposal from Arbor Pointe Limited Partnership, a limited
23 partnership arganized under the laws of Minnesota (the "Partnership"), that the HRA undertake a
24 program (the °Housing Program") to finance a Project hereinafter described, through the
25 issuance of revenue bonds (the "Bonds") pursuant to the Act;
26 (d) The Project to be financed by the Bonds is the acquisition, construction and
27 equipping of an independent senior rental housing facility containing approximately 44 housing
28 units located at Dale Street and Maryland Avenue in the City of Saint Paul (the "Project");
29 (e) The proposal calls for the HRA to loan the proceeds realized upon the sale of the
30 Bonds to the Partnership pursuant to a revenue agreement or agreements wherein the Parinership
31 will be obligated to make payments at the times and in amounts sufficient to provide for the
32 prompt payment of principal of, premium, if any, and interest on the Bonds and all costs and
33 expenses of the HiZA and the City incident to the issuance and sale of the Bonds;

(� The City desires to facilitate the acquisition and construction of a multifamily
housing facility within the City; and the Project will assist the City in achieving these objectives;
(g) A public hearing on the Housing Program and the Project was held on this date
following duly published notice, at which time all persons that desired to speak were heazd;
5 (h) No public official of the City has either a direct or indirect financial interest in the
6 Project nor will any public official either directly or indirectly benefit financially from the
7 Project; and
8 (i) A form of Memorandum of Understanding has been prepared between the HRA
9 and the Partnership, which sets forth certain understandings by and between the I-IR A and the
10 Parinership pertaining to the Project, and the financing therefor.
11 NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Saint
12 Paul, Minnesota, as follows:

1. The City hereby gives preliminary approval to the proposal of the
Partnership that the City undertake the Proj ect, described above, and the program of financing
therefor, pursuant to Minnesota Statutes, Chapter 462C, consisting of the acquisition,
construction and furnishing of a multi-family rental housing facility within the City pursuant to
the Parinership's specifications and to a revenue agreement between the HRA and the Partnership
on such terms and conditions with provisions for revision from time to time as necessary so as to
produce income and revenues sufficient to pay, when due, the principal and interest on the Bonds
in the total principal amount of approximately $4,000,000 to be issued pursuant to the Act to
finance the acquisirion and construction of the Project; and said agreement may also provide for
the entire interest of the Partnership therein to be mortgaged to the purchasers of the Bonds, or a
trustee for the holder(s) of the Bonds; and the City, acring by and through the HRA hereby
undertakes preliminarily to issue its revenue bonds in accordance with such terms and
conditions;
2. On the basis of inforruation available to the City it appears, and Yhe City
hereby finds, that the Project constitutes a multi-family housing development within the meaning
of subdivision 5 of Section 462C.02 of the Act; that the availability of the financing under the
Act and the willingness of the City to fizrnish such financing will be a substantial inducement to
the Partnership to undertake the Proj ect, and that the effect of the Proj ect, if undertaken, will be
to encourage the provision of multi-family rental housing opportunities to residents of the City,
and to promote more intensive development and use of land within the City;
33 3. The Proj ect, and the program to finance the Project by the issuance of the
34 Bonds, is hereby given preliminary approval by the City subject to final approval by the HRA,
35 the Partnership and the purchasers of the Bonds as to ul6mate detaiis of the financing of the
36 Project,
37 4. Pursuant to Chapter 72, Saint Paul, Minnesota Administrative Code, the
38 City hereby authorizes and directs the Housing and Redevelopment Authority of the City of
39 Saint Paul, Minnesota (the "HItA") to issue the Bonds to finance the Project and to take ali
40 actions necessary or desirable in connection therewith, and no further approval or authorization

1 of the City shall be required; provided that the HRA may, in its discretion, authorize the Board to
2 issue the Bonds and to implement the program approved hereby, and the City hereby consents
3 thereto;
4 5. The Partnership has agreed and it is hereby deternuned that any and all
5 costs incurred by the City or the HRA in connection with the financing of the Project whether or
6 not the Project is carried to completion and whether or not approved by HRA will be paid by the
7 Partnership:
8 6. Briggs and Margan, Professional Association, acting as bond counsel, and
9 such investment bankers as may be selected by Parinership, with the consent of the HRA, are
10 authorized to assist in the prepazation and review of necessary documents relating to the Project
11 and the financing prog�am therefor, to consult with the City Attomey, Partnership and the
12 purchaser of the Bonds as to the maturities, interest rates and other terms and provisions of the
13 Bonds and as to the covenants and other provisions of the necessary documents and submit such
14 documents to the HRA for final approval;

7. Nothing in this Resolution or the documents prepared pursuant
hereto shall authorize the expenditure of any municipal funds on the Project other than the
revenues derived from the Project or otherwise granted to the City or the HRA. The
Bonds shall not constitute a charge, lien or encumbrance, legal or equitable, upon any
property or funds of the City or the HRA except the revenue and proceeds pledged to the
payment thereof, nor shall the City or the HRA be subject to any liability thereon. The
holders of the Bonds shall never have the right to compel any exercise of the taxing power
of the City or HRA to pay the outstanding principal on the Bonds or the interest thereon,
or to enforce payment thereon against any property of the City or the HRA. The Bonds
shall recite in substance that Bonds, including the interest thereon, are payable solely from
the revenue and proceeds pledged to the payment thereo£ The Bonds shall uot constitute a
debt of the City or HRA within the meaning of any constitutional or statutory limitation.
8. In anticipation of the issuance of the Bonds to finance all or a portion of
the Project, and in order that completion of the Project will not be unduly delayed when
approved, the Partnership is hereby authorized to make such expenditures and advances toward
payment of that portion of the costs of the Proj ect to be financed from the proceeds of the Bonds,
as the Parinership considers necessary, including the use of interim, short-term financing, subj ect
to reimbursement from the proceeds of the Bonds if any when delivered but otherwise without
liability on the part of the City or the IIRA.
9. The form of the Memorandum of Understanding is hereby approved and
the Executive Director of the HRA is hereby authorized to execute the same.

REGARDING: PUBLIC HEARING - Resolufion Reciting a Pzoposal for a
Financing Program for a Multi-Family Rental Housing Development,
Giving Preliminary Approval to the Project and Program Pursuant to Minnesota
Statutes, 462C, Authorizing the Housing and Redevelopment Authority of
the City of Saint Paul to Issue Housing Revenue Bonds and Authorizing the
Preparafion of Necessary Documents and Materials in Connection with the said
Project and Program.
PURPOSE
The Housing and Redevelopment Authority of the City of Saint Paul (HRA) has received an
application from Frisch Properties, LLC., Mr. Gerald E. Frisch sole member, requesting the IIRA to
issue up to $4,000,000, of T� Exempt Multifamily Revenue Bonds ("Bonds") and for assistance to
fund the $1,386,750 financing gap for the purpose of constructing the Arbor Pointe Apartments,
independent senior housing project ("Project") located in District 10.
The purpose of this report is to request the City Council to consider adopting the attached preliminary
(inducement) resolution which would approve the following:
Authorize the Executive Director of the HRA to enter into a Memorandum of Understanding
(MOU) with Mr. Frisch to work towards possible issuance of the Bonds. The MOU also
stipulates the terms and conditions for issuance of the Bonds should the IIRA decide to issue
the Bonds; and
2. Authorize HRA to issue up to $4,000,000 of t� exempt, multifasnily rental revenue bonds for
the Project; and
3. Authorize City staff to prepare a Housing Program for financing the Project prepazed in
accordance with the provisions of Minnesota Statutes, secfion 462C.03; and
4. Retain Briggs & Morgan as bond counsel and Miller, Johnson, Steichen & Kimiazd as
investment banker for said Bonds, authorize them to assist in the preparation and review of
necessary documents relating to the Project and Housing Program and consult with the HRtl,
City Attorney, Owner, and purchasers of the proposed Bonds.
Approval of the inducement resolution and execution of the Memorandum of Understandin¢ does not
re�c uire or obligate the Citv or HRA to issue bonds or cause any acrion against the Citv or HRA arising
from any failure or refusal by the Citv or HRA to approve the project or issuance of the Bonds.
With respect to multifamily housing bonds, Section 72.04 of Chapter 72 of the City's Administrative

Code provides that the I3RA be designated to exercise on behalf of the City the powers conferred by
Minnesota Statutes 462C (housing programs and revenue bonds) but only unless directed and
authorized to do so by resolution adopted by the City Council. Thus the reason, this proposal is
initiated before the City Council rather than the I IRA.
PROJECT
Frisch Properties, LLC., purchased the vacant Dey Bros. Nursery properly on July 18, 2000 with fixnds
borrowed from the IIIZA. The project is to be built using tax-exempt housing revenue bonds insured by
FHA. The Project consists of a three story apartment building contanung 44 independent senior
housing rental units. Amenities include larger living units, underground pazking, elevator, laundry
facility and common space. The Project will comply with the City's rental affordability requirement of
10% of the units affordable at 30% of inedian income and 10% of the units affordable at 50% of
median income. The estimated unit breakdown is listed below.

The Project will be fixnded by a combination of multifamily tax exempt bonds and federal Low Income
Housing Tas Credit Program. The taac credits are not from the City's annual allocarion but aze 4%
credits eligible for use with taY exempt bonds. (The maximum rents must be affordable at no more
than 60 percent of azea median income.) The estimated sources and uses of funds statement is as

Mr. Frisch has requested subordinate financing from the IIIZA and Ramsey CounTy Housing
Endowment Fund. The HItA cannot loan CDBG funds directly to a private developer for new
construction but may grant funds to a neighborhood nonprofit for their participarion in the project. It
will be recommended that the IIRA grant CDBG funds to the NEAR organization after which they will
1oan CDBG funds to the project. The Ramsey County HRA Endowment Funds will be loaned at
similaz terms to the CDBG financing. The deferred developer fee would be taken from project
cashflow.

The Bonds are structured to accommodate level debt service amortization schedule. The Project's
operations support the annual debt service payments by a 1.05 debt service coverage ratio.
FEES
The non-refundable application fee of $5,000 has been received. Should the Bonds be issued, the IIRA
will receive an administrative fee at closing equal to 0.5% of the principal balance of the Bonds. On
the second anniversary date of the Bonds the HRA will receive an additiona10.5% fee. Every year
thereafter that the Bonds remain outstanding the HRA will receive an annual admimstrafive fee equal
to 0.01% of the outstanding principal balance of the Bonds.
BUSINESS PROFILE
Mr. Gerald Frisch has been in business since 1961 and has owned or developed over 500 housing units
in the Saint Paul area. The Frisch Properties, LLC., was arganized in 1998 to develop new real estate
projects. Experience with the HRA includes :the New York Bingo Palace and Embers Restaurant
(formerly Payne Reliever location) and the River Town Homes, LLC., a Minnesota Limited Liability
Company forxned by Gerald E. Frisch and David R. Engfer. River Town Homes has been in existence
for approximately four yeazs.

ADVERSE LENDING
Mr. Frisch ar Frisch Properties LLC., does not have an adverse lending relationship with the fIRA or
the City of Saint Paul.
REPAYMENT CAPACITY
The ProjecYs 15 yeaz Income Projections-Cash Flow appears to be a reasonable projection and will
attain a 1.05 debt coverage ratio. Operating expenses appeaz to be reasonable.
SUPPORT
Mr. Frisch has received support from the District 10 Community Council.
PUBLIC PURPOSE
The following public purposes will be met:
1. Project will provide housing opportunities for a variety of incomes.
2. Project meets objectives of The Housing Pdan, adopted as part of the City's Comprehensive
Plan, Section 6.0, Strategy 3: Ensure Availability of Affordable Housing.
BOND AUTHORITY; ALLOCATION PROCESS
For the past several years, the entitlement has been used for housing projects and mortgage revenue
bonds or mortgage credit certificates to finance the City's singie family mortgage program. Because
the Arbor Pointe Apartments will be owned by a for-profit entity, the proposed bonds will count as part
of the City's entitlement bond allocation. However, staff believes that the single family mortgage
program is amply funded far 2001. Therefore, issuance of rental revenue bonds would not diminish
the City's single family mortgage program.
Upon adoption of the inducement resolution staff will proceed to prepare a housing program to finance
the proposed project. Furthermore, sta£f will present to the HRA a report detailing the financing of the
Project and request the HRA to consider adoption of a resolution to issue and sell revenue bonds to
finance the project and development gap financing assistance.

1 BE IT RESOLVED, that, upon the petition of David and Julia Hrbacek, as documented in Technology
2 Department File Number 2001-02, public properties hereinafter described ate hereby vacated and
3 discontinued as public property: and, subject to the herein stated exceptions.

6 The properiy to be vacated is described as follows:

1Q This vacation shall be sub}ect to the terms and condition of Chapter 13�, codified March 1, 1981, of the
i l Saint Paul Legislative Code as amended, and to the following conditions:

That the petitioner's, their successors and assigns shall pay $500.00 as an administrative fee for
this vacation which is due and payable within 60 days of the effective date of this resolution.
That a permanent utility easement shall be retained within the vacated azea to protect the interest
of AT&T Broadband .
That a permanent utility easement shall be retained within the vacated azea to protect the interest
of Qwest and any of its existing facilities in the vacated area..
That a permanent utility easement shall be retained within the vacated azea to protect the interest
of Xcel Energy to maintain its facilities in the vacated area
That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
the City of Saint Paul, its officers and employees from all suits, actions or claims of any chazacter
brought as a result of injuries or damages received or sustained by any person, persons or
property on account of this vacation or petitioners' use of this property, including but not limited
to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
because of any claisns or liability arising from any violation of any law or regulation made in
accordance with the law, whether by the petitioners or any of their agents or employees.

4 6. 'I`hat the petitioners, their successors and assigns shall, within 60 days of the effective date of this
5 resoluuon, file with the City Clerk an acceptance in writing of the condiUons of this resolution
6 and shall, within the period(s) specified in the terms and conditions of ttus resolution, comply in
7 all respects with these terms and conditions.
