RESOLVED, That the City of St. Paul enter into an agreement with �
the Chicago, Milwaukee, St. Paul and Pacific Railroad Company and the
Commissioner of Transportation, State of Minnesota, for the installation
and maintenance of railroad crossing signals at the intersection of
Rankin Street with the tracks of the Chicago, Milwaukee, St. Paul and ,
Pacific Railroad Company in St. Paul, and appointing the Commissior�r '
of Transportation agent for the City to supervise said project and ad-
minister availabie federal funds in accordance with Minnesota Statute, ,
Section 161.36 (1976). The City's share of the cost shall be 10 percent '
of the totai cost; and be it further �
RESOLVED, That the proper City officers are hereby authorized and
directed to execute said agreement on behalf of the City of St. Paul;
and be it further
RESOLVED, That the City's estimated costs are $3,660.00 to be
charged to PIR Fund 60000 to be reimbursed from 19�'8 M.S.A.; City
Project T-1109.

THIS AGREEP1ENT, made and entere� into by and betw2en CITY OF ST. PAU�,
hereinafter called the "City", CNICAGO, MILWAUKEE, S7. PAUL AND PACIFIC RAIL-
ROAD COMPANY, Debtor, �a Railroad in reorganization, under s77 of the Bankruptcy
Act, hereinafter called the "Company", . and the COh1MISSIONER DF TRANSPORTATION,
• STATE OF MINNESOTA, hereinafter called the "State", WITNESSETH: '
� WHE�EAS, the Federal Highway Administration, when acting in �cooperation
with th� T:anspartataon Depari;ment of the State of t-linneseta, is authorizzd by
Act of Congress to make Federal Aid available �or the purpose of eliminating
hazards at railroad grade crossings within the State of P�linnesota; and
WHEREAS, the Stat�, pursuant ta Minnesota Statute, Section 161.36 (1975) ,
� is �authorized to cooperate with the United States Government as its agent i.n
supervising improvements oF public highways within the State of Minnesota not
lncluded in the trunk highway system, and to act in disbursing and accounting
for. Federal funds in connection therewith; and
' WH�REAS, Rankin Street, as now established, crosses the track of the
Gompany at grade at Stewart Avenue in St. Paul, Ramsey County, Minnesota, the
location of said crtissing and railway track being show� on the print hereta +
ettached� marked Exhibit "B", and herein referred to and made a part of this �

WHERE�5, the City and the Company desire that this grade �crossing be pro—
tec�ed by railroad cr�ssing signals, cantilever type, and the Company is
Willing to ins�all, maintain and operate such signals upon the terms and conditions
hereinaFter stated. . .
� NOW, 7HEN, IT IS RGREED:
1. The State of h1innesota, Department of Transportation, "Sf:an�iard Clauses
� for Railway Highway Agreements", dated 5eptember 22, 1977, is at�;ached here�o
� as Exhibit "A" , and her.einafi:er xeferred to as "Standard Clauses". �xcept
. as hereinafter expressly modified, all of the terms and condition� �et fortt�
' in 1;he "Standard Clauses" are herehy incorporated by r�ference and made a par�
of this agreement with the sane force and effect as though fully set forth h�z�ein.

• 2. The Company shall furnisli all material for and with its regularly
emplayed forces install a complete r.ailroad cro�sing signal syster� on Rankin
Street, as indicated on attached Exhibit "8". Said plans specifications anc�
the work to be done shall be sub�ect to the approval of the Depaltm��nt of
Transportation of the State of Minnesota. � .
Work of installing �;his signal �ystem shall be prosecuted 50 as to be
completed within 12 months aftsr the date the Cor�pany is authorized to - � '
begin work. . �
Tf the Cotnpany shall determine it impossible to complete th� work wi�:hin
the period herein specified, it shall make a written request to the State for
an extension of time for completion, setting f'orth therein the reason� for
such extension.

3. 7he �ctual costs ot' the project herein contemplated, including '

herein for nnly such items of wark and exp�nse as are proper and elic�it�le f�r

Tn the event it is determined that a change from the Poregoing sL-ate-
ment of work to be performed by the Campany is required, it shall be aut�foriz�d
only by a written change or extra work order issued by the State prior �o
the perf'ormance of the work involved in the change. .
5. The said grade crossing signal system shall be maintained and operated
by the Campany upon completi�n of its installation, b�t �his said abligation to
maintain said signal system stiall con�;inue in accordance with the law of the .
•5tate as it shall be from �ime to time in the fut;ure.
6. The sa.gnal system shall not be removed unless there has been a de�:er-
minat;ion that said signals are no longer required at this loca�ion. '
In the event that either railway ar highway improvements will necessitate

� in a satisfactory m�nner, and to that end, and as s��pl�mental to any cn�tract

�greement with the co�tractor for the performance of any extra work or work
occasioned by any necessary, advant�geous or desirable change in the plans.

mei�hocf of firiancing the project. � .
7. If the C�mpany enters into a contract or agree�nent ��i�h a c��n-
tr«ctor, to perforn all ar �ny particn cf �he Cornaany's w�rk se� f'DI'�h in this ,
_ �greeraent, the Con�any for it��?f, its assigns and successo=s in i.�teres::,
� agrees that ii; will not discrininate in its choic� of co�tractors and will
incluc�� all of i;he nondiscri�zna�icn �rovisi�ns set forth in r�PPcfJDIX "A" ,
