RESOLVED, That the Council of the City of Saint Paul does here—
by approve and authorize agreement with Ramsey County whereby the
City would purchase Home Nursing Services to be provided by the
Ramsey County Nursing Service for the period of January 1, 1978
through December 31, 1978 for the total annual sum of $15,000 to
be paid by the City, according to the terms and conditions set
forth in said agreement, a copy of which is attached to this reso-
lution, and the proper City officers are authorized and directea
to execute the agreement on behalf of the City of Saint Paul.

MEMORA1mUM OF AGREEMEIVT
The Ramsey County Nursing Service, 150 E. Kellogg Blvd. , St.
paul, Minnesota 55101, herea�'ter referred to as the "Department, "
and the Citp of St. Paul Division of Public Health, St. Paul,
Minnesota 55101, hereafter referred to as "Division, " enter into
this agreement for the period from
January 1 , 1978 through
December �1 , 1978.
WITNESSETH
Y�REAS, The Ramsey County Nursing Service is desirous of
providing personal home health care services to certain residents
of the City of St. Paul, and
WF�REAS, The Department has been determined qualified to
perform services as are necessary to accomplish such purpose, and
WHEREAS, The Department is certified by the United States
Department of Health, Education and Z�Telfare, pursuant to the Health
Insurance for the Aged Act, P.L. 89 - 97, Juiy 30, 1965, codified
in 42 U.S.C.A. Sections 1395 - 1356 d, commonly l�own and hereafter
referred to as Medicare, as a hone health agency provider of
services; and
NOW, THEREFORE, IT IS AGREID bS* and bet��reen the parties hereto
that:
1. The Department agrees to pro�Tide skilled home health care

nursing services to certain residents of the City of St. Paul in
accordance with the applicable la��:s and regulations and professional
standards of nursing as provided by the state and federal governments.
2. For specified services rendered, the Department's fee shall not
exceed $15,000 for the period of this agreement. No other compensa-
tion shall be- paid.

3. The Department agrees to maintain and furnish the Division
�uarterly progress reports regarding the responsibilities noted in
#1 above. The Department shall coordinate the performance under
this a�reement with the Division.
4. The Department shall:
A. Keep and maintain a qualified staff of home health
nursing personnel to perform the services provided
for in this agreement. The personnel must meet the
same requirements as those specified by Niedicare for
home health agency services and personnel, including
personnel qualifications, functions, supervision,
orientation, and inservice training.
B. �u°nish home health nursing service to individuals
designated by the Division as patients requiring such
services.
C. Work in con3unction with the Division under the orders
of the patient's physician to develop a plan for ad-
ministering or flirnishing services.
D. Keep records of services provided.
E. Screen all applicants for home health service�
5. The Department shall comply with all reQUirements of the
Community Health Services Act of 1976.
6. Division does not assume any responsibility or liability for
any acts or omissions of the officers, employees, or agents of the
Department. �
7. A. Either party may terminate this agreement upon giving
thirty (30) days written notice. Charges which have
accrued for services rendered shall survive any ter-

B. If for any reason the provisions of Medicare and/or the

Community Health Services Act shall change to the
extent that this agreement would not be capable of
�.ilfillment, Division or Department may terminate this
agreement by giving thirty (30) days written notice to
the other party hereto.
8. This agreement shall be governed by the laws of the State of
Minnesota, and constitute the entire agreement for furnishing
home health nursing service between the Division and Department.
9. NothiIIg in this agreement shall be construed as limiting the
ri�ht of independent operation of either the Division or the
Department or of the affiliation or contract with any other in-
stitution or agency while the agreement is in effect.
10. Any alterations, variations, modifications, or waivers of
provisions of this agreement shall be valid only when they have
been reduced to �•rriting, duly si�ned, and attached to the original
of this agreement.
11. No claim for services furnished by the Department not
specifically provided in this agreement, t�rill be allowed by the
Division unless this is approved in t�rriting by the Division. Such
approval shall be considered to be a modific�tion of the agreement.
12. Subcontractin� - The Department shall not enter into sub-
contracts for any of the wor� �comtemplated under this agreement
without written agproval of the Division.
13. Claims for payment under this contract shall be submitted
quarterly.
