RESOLVED, That the proper city officials are hereby authorized and
directed to execute an agreement with the St. Paul Winter Carnival
Assoc�ation, Inc. , said agreement providing for said association's
use of the City's parks for a period of January 6, 1979 through February
6, 1979, and conditioned upon said usage being at no cost to the City
and further providing the proper public liability insurance being
submitted to the City indemnifying said association's activities.

A G R E E M E N T
This agreement, made and entered into this � day
of , 1979, by and between the CI'PY OF SAINT PAUL� a
municipal corporation organized and existinq under the laws of the State of Minnesota,
hereinafter referred to as "Saint Paul^, and the SAINT PAUL 4�1INPER CARNIVAL
ASSOCIATION� IAIC., A Minnesota corporation hereinafter referred to as "Carnival".
WI'i'NESSETH s
Whereas, each winter season Saint Paul sponsors festivities collectively
referred to as "The Saint Paul Winter Carnival", and
Whereas, said Carnival includes, among other festivities, many activities
in City Parks, and
Whereas in order lawfully to conduct such festivities in City Park, the
Carnival desire that Saint Paul grant them the use of City Parks for Winter Carnival
Park Festivities.
. NOW, therefore, Saint Paul and Carnival agree as follows:
ARTICLE I
Saint Paul hereby pernu.ts Carnival to occupy and use City Parks for the purpose of
sponsoring a Winter Carnival Festivities.
ARTICLE II
In the event that Winter Carnival Park Festivities are held, Carnival agree to do
the following in connection thererrith: �

a� To provide all labor and equipment necessary to prepare the Parks for

Festivities;
b) To provide labor sufficient to supervise and to control properly the
orderly operation of the activities at City Parks;
c) To provide labor sufficient to clean up City Parks at the end of the
period covered by this Agreement;
d) To provide, maintain, service and keep in suitable operation, at its
sole expense, portable toilets sufficient to accommodate the General
Public.
A.RTICLE III
The use permitted by this Agreement shall commence not sooner than 12:00 a.m.,
January 6, 1979, and shall terminate by 12:00 p.m., February 6, 1979.
ARTICLE N
Carnival, its successors and assigns, agree to indemnify and hold harmless
Saint Paul, its agents, officers and employees from any and all claims, suits,
actior�s or judgments resulting from the conduct of Winter Carnival Park
Festivities.
ARTICLE V
Carnival agree to provide liability insurance, including Saint Paul as a named
insured, to the following extent: $500,000 for any and all personal injuries
suffered by any person; 51,000,000 for any and all personal injuries for each
occurrence; and $100,000 for any and all property damage for each occurrence;
provided, however, that said personal injury and said property damage arise out

of or result from the conduct,of WINPER CARNIVAL PARK FESTNITIES� the, actions
of the participants, employees and spectators at WINPER CARNNAL PARK FESTNITIES
or the activities sponsored by Carnival.
The form of said insurance shall be approved by legal counsel of Saint Paul.
