A RESOLUTION REGARDING THE DOWNTOWN PEOPLE MOVER
DEMONSTRATION PROJECT; APPROVING THE AMENDMENT OF
A SUBLEASE WITH BRW/KAISER. �
WHEREAS, The City of Saint Paul ("City") and the Metropolitan
Transit Commission ("MTC") entered into a Joint Powers Agreement on
June 21, 1977, providing for the conduct of the preliminary engin-
eering phase of the Saint Paul Downtown People Mover Demonstration
Project ("D.P.M. Project") ; and
WHEREAS, The City and the MTC on January 10, 1978, did amend
said Joint Powers Agreement to expand the scope of work; and
WHEREAS, The City and the MTC on June 22, 1978, did further
amend said Joint Powers Agreement to extend the term to March l,
1979, or until completion of the preliminary engineering phase,
whichever is earliest; and
WF�REAS, The City, as part of its local participation in the
D.P.M. Project, has participated in the space rental cost for the
D.P.M. Project in accordance with the Sublease dated March 2, 1978,
and amended October 11, 1978, between the City and BRW/Kaiser, a
Joint Venture, designated as the general engineering consultant for
the D.P.M. Project; and
WHEREAS, The City desires to extend the term of said Sublease
on a month-by-month basis to no later than March 1, 1979, at a rental
rate of $1,500.00 per month in accordance with the proposed Sublease

Amendment between the City and BRW/Kaiser; now, therefore, be it
RESOLVED, That the Council of the City of Saint Paul hereby
approves the proposed Sublease Amendment providing for the subleas-
ing of office space by the City for the D.P.M. Project as a part
of the local participation in said project, and the proper City
officials are hereby authorized and directed to execute said Sub-
lease Amendment.

SUBLEASE AMENDMENT
THIS SUBLEASE AMENDMENT, dated December , 1978, is be-
tween BRW/KAISER ENGINEERING, a joint venture, herein called
"Lessee", and CITY OF SAINT PAUL, a municipal corporation of the
State of Minnesota, herein called "Sublessee" .
LESSEE AND SUBLESSEE RECITE AS FOLLOWS:
1. Lessee and Sublessee entered into that certain sublease
agreeme.zt dated March 2, 1�7£, hert�in called "Suble�s�", pErt�ain�-
ing to the use of Room 310 of the Bremer Building in Saint Paul,
Minnesota, as more fully described therein.
2. The Sublease was subsequently amended by an agreement be-
tween the Lessee and Sublessee dated October 11, 1978, to provide
£or an extension of the term.
3. Section 3 of the Sublease, as amended, provides that the
term of the Sublease may be extended at the option of Sublessee
from month-to-month beginning on October 1, 1978, but to no later
than January l, 1979.
4. Lessee and Sublessee desire to extend the term of the Sub-
lease on a month-to-month basis to no later than March 1, 1979,
under the terms and conditions set forth herein.
LESSEE AND SUBLESSEE THEREFORE AGREE AS FOLLO'v�TS:

l. Section 3 of the Sublease, as amended, is hereby further
amended to read as follows:
SECTION 3. Term. The original term of this Sublease
shall commence on execution of this document and terminate
on October l, 1978. Thereafter, the term may be extended
at the option of Sublessee from month-to-month to no later
than March 1, 1979.
2. Except as herein modified, all terms and conditions of the
Sublease, as amended, shall remain in full force and effect.

CONSENT TO SUBLEASE AMENDMENT
Lessor does hereby consent to the foregoing Sublease Amend-
ment which provides for the continued subletting of Room 310 of
the Bremer Building, Saint Paul, Minnesota, now occupied by Lessee,
BRW/Kaiser Engineering, a Joint Venture, to the City of Saint Paul,
a municipal corporation of the State of Minnesota, for its non-ex-
clusive use and occupancy for the purpose of providing public

information and the conduct of related activities in the prepara-
tion of a preliminary engineering study of the Downtown People
Mover Project.
This consent is not a waiver of the restriction or limitation
on the subleasing of the premises by Lessee without consent of
Lessor, and Lessor reserves the right to approve any further tenant
with whom Lessee desires to make any additional sublease.
