WHEREAS, pursuant to the directives of Chapter 764 Laws of
Minnesota I973, the City of Saint Paulf the Housing and Redevelopment
Authority for the City of Saint Paul, the Science Museum of Minnesota
and Sherman-Antler soint Venture did enter into a Development Agree-
ment dated October 7, I.975 providing for the redevelopment of Block
7A� and
WHEREAS, by Amended Agre�nnent in February of 1977� Fountain
Development was substituted far Sherman-Antler as Developer under the
Development Agreementf and
WHEREAS, pursuant to the Development Agreement the Housing and
Redevelap�►ent Authority c7id convey ta the City the ground parcel of
Block 7A for the con�atructian of a public pnrking rampfto Fountain
Devel.opment certain portions of the airspaee over the r�mp for the
construction of a Medical Office and Galleryj and to the Science Mueeum
certain portions of airspace above the ramp for the construction of a
Science Museum; and

WHEREAS� the Hou:$$�� and Redevelopment Authority retains owrYership
of that certain portion of the airspace above the ramp designated for
the conatruction of an Apartment Buildingf and
WHEREA5, by Assumption Agreement the City, Fiousing and Redevelop-
ment Authority, Science Museum, Fountain Development and Part Authority
are expected to agree to the substitution of the Port Authority for
Fountain Devel.opnnent with respect to purchase of the airspace for the
construction of the Apartment Buildings and
WHEREAS, it is presently contempl.ated that the Housing and
Redevelopment Authority will convey its interest in said airspace to

Development for completion of the Apartment Buildingr and
WHEREAS, the City has been requasted ta enter into a Vertical
Easement Agreement which would allow for the joint construction,
operation, maintenance and use of the R�mp and Apartment Buildingl and
WHEREAS, the City has also been requasted by the parties to the
Development Agreement to anter into a Fiori�ontal Easement Agreement
which would allow for the joint construction, operation, maintenance
and use of the Ramp, Medical Office Building� Gallery, Science Museum
and Apartmentt and
WHEREAS, the Director of Planning and Economic Development deems
such agreements as being in the best interest of the redevelapment of
Block 7A and the City of Saint Paul,
NOW THEREFORE BE IT RESOLVED, that the proper City officers
are hereby authorized and directed to execute on behalf of the City of
Saint Paul a Vertical Eas mnent Agreement betwean the City of Saint
Paul and the Housing and Redevelopment Authority, its successors or
assigns, in a manner and form acceptable to the City Attorney;
BE IT FURTHER RESOLVED� that the proper City off icers are hereby
authorized and directed to execute on behalf of the City of Saint Paul
a Horizantal E�.sement Agreement between the City of Saint Pau 1, the
Fiousing and Redevelopment Authority, the Science Musetun of M innesota,
Fountain Development* and the Port Authority in a manner and farm
acceptable to the City Attorney.
