inTHEREAS, by its Resolution, Council File No. �F267284 ►
adopted May 27 , 1976 , the City Council approved the Park
Nursery i�edevelopment Plan, Project undertakings and activities
therein provided for and Project Financing Plan, which provided,
among other things, for the establishment of a new tax increment
district (the "Park Nursery Redevelopment Project Area") pursuant
to Minnesota Statutes, Chapter 462 ; and
WHEREAS, by its Resolution, Council File IJo . C�272157 ,
adopted December 5, 197� , tne City Council aut�orized tne issuance
and sale of $2, 065, OOA General Obligation Development Bvnds oi 1979,
Seri�es B (the "Series B Bonds") , to finance contributions of �.i�e
City to the Park Nursery Redevelopment Pro,ject undertaken by �rie
Housing and R,e�evelapme�t Authority of the City (the "Authority�°)
pursuant to Uiinnesota Statutes, Chapter 462, all in accordance with
the bond ,sale notice attached as Exhibit A to said Resolution; and
WfIEREAS, in accordanc� taith said bond sale notice, bids
for said Bonds �ere received and opened at 9 : 00 A.Nt. , Central Time,
th.is day, at the office of Bernard J. Carlson, Director, Depat�tment
of Finance and Managernent Service, and presented to the City Council
at 2: 00 P .M. , Central Time, this sam� day, as set forth in Exhibit A
attached hereto and incorporated herein by reference.

1. That the bid of Bache Halsey Stuart Shields Incorporated
to purchase $2 ,065 ,000 General Obligation Development Bonds of 1979 ,
Series B, of the City, in accordance with the notice of bond sale,
at the rates of interest hereinafter set forth, and to pay therefor
the sum of $2 ,043,497. 80 is hereby found, determined and declared
to be the most favorable bid received, and is hereby accepted and
said bonds are hereby awarded to said bidder. The City Clerk is
directed to retain the deposit of said bidd�r and ta forthwith return
the good faith checks or drafts to the unsuccessful bidders. Said
Series B Bonds shall be payable as to principal and interest at The
First National Bank of Saint Pau1, Saint Paul , Minnesota and The
Chase Manhattan Bank, N,A. , New York, New York, or any successor
paying agent duly appointed y the City.
2. The $2,065,000 negotiable coupon general obligation
bonds of the City shall be dated January 1, 1979 and shall be
issued forthwith. Sai_d _. Series B Bonds shall be 413 in number
and numbered fron 1 to 413, both inclusive, in the denomination of
$5,O�J0 each. Said Series B Bonds shall mature serially, loFrest
numbers first, on February 1 in the years and amounts as follows :
$110,000 in the year 1983;
$130, 000 in the year 1984 ;
$150,d00 in each of the years 1985 and 1986;
$160, OQ6 in each of the years 1987 and 1988;
. $175,000 in the year 1989 ;
� $190 , 000 in the year 1990; '
$200 ,000 in each of. the years 1991 and 1992; and
$220 ,�00 in each of the years 1993 and 1994.
For purposes of complying with the maturity schedule reguirements
set forth in Minnesota Statutes, Section 475. 54 , the Series S
Bonds are hereby combined with the outstandin�g general obligat.ion
bonds of the City described in E�ibit B a�tached hereto and in-
corporated herein by reference.
3. The Series B Bonds shall provide funds for contribu-
tions to a redevelopment project undertaken by the City and desig-
nated as the Park Nursery Redevelopment Project Area (the "Froject") .
The totaT cost of said Project, which shall include all costs
enumerated in Minnesota Statutes, Section 475 .65, is estimated to
b e at least equal to the ar,�ount of the Series B Bonds. tiaork on
the Project shall proceed with due diligence to completion.
4 . The Series B Bonc�s maturing in the years and bearing
the serial numbers set forth below shall bear interest, payable
August l, 1979 and semiannually thereafter on February 1 and Aug-
ust 1 of each �year, at the respective rates per annum set opposite
said maturity years and serial numbers :

5. All Series B Bonds o� this issue maturing in the years
1992 to 1994 , both inclusive (bonds numbered 236 to 413, both in-
clusive) , shall be subject to redenption and orepayment at the option
of the City in inverse order of serial numbers , on February 1 , 1987
and on any interest payment date thereafter at par and accrued
interest. Published notice of redemption shall in each case be
given in accordance with law, and rlailed notice of redemption shall
b e given to the bank where said Series B Bonds are payable.
6. The Series B Bands and interest coupons to be issued
hereunder shall be in substantiall�T the form attached 'nereto as '
Exhibit C and incorporated herein by reference.
7 . The Series B Bonds shall be executed on behalf of
the City by the facsimile or manual signature of its Nayor and
attested by the facsimile or manual signature of its Clerk and
countersigned by the facsirtile or r�anual signature of its Director
of Finance and rianageraent 5e-rvices and be sealed with the official
seal of the City; provided that the seal may be a facsirnile and
at least one such officer shall execute the Bonds manually; and
the int,erest cou�ons� pertaining thereto shall be executed by the
nYinted, engra��ed or Iithograpized racsi�ile signat��res of suc?-!
officers.
8. The .Series B Bonds when so prenared and executed
shall be delivered by the Di.rector of Finance and i�tanagement Ser-
vices to the purchaser thereof upon receipt of the purchase price,
and the said purchaser shall not b° o�lic}atea to see to the proper
application thereof.
g. There is hereby created a special fund to be .desig-
nated "Park Nursery Redevelopment Project Fund" to be held and
administered by the Director of Finance and Management Services
separate and apart from aZl other accounts of the City. In said

Fund there shall be established two separate funds, to be desig-
nated as the "Capital Accou.nt" and the "Debt Service Account" ,
respectively. Said Fund shall be funded and maintained to the
extent and in the manner herein specified until all of the Series B
Bonds and the . interest thereon have been fully paid and the City
has been fully reimbursed out of tax increments for any City wide
ad valorum taxes used for the payment of the Series B Bonds and
interest thereon_ '
a. The proceeds of the sale of the Series B
Bonds herein authorized, less accrued interest
received thereon and any additional amount paid
for said bonds in excess of $2 ,042,OQ0 , and less
capitalized interest in the aniount of $344 ,000 � ��
(subject to s.uch adjustments as are appropriate
to provide sufficient funds to pay interest due
on the Series B Bonds on or before February l,
1982) , shall be credited to the Canital Account,
from which there shall be paid all costs and ex- �
penses of said Project, including the cost of any
construction contracts heretofore let and all other f
costs incurred and to be incurred of the kind
authorized in Minnesota Statutes, Section 475 .65;
and the monies in said account shall be used for
no other purpose.
b. There is hereby pledged and there shall
be credited to the Debt Service Account (1) all
accrued interest received. upon delivery of said �
Series B Bonds, (2) all fun�s paid for the Series
B Bonds in excess of $2 ,042,Q00, (3) capitalized
interest in the amount of $344,000 (subject to such
adjustmerits as are appropriate to provide suffi-
cient funds to pa� interest due on the Series B
Bonds on or before February l, 1982} , (4) all tax
increments derived from the Project, and (5) all
funds remaining in the Capital Account after com-
pletion of the Project and payment of the costs
thereof. The Debt Service Account shall be used
solely to pay principal and interest on the Series
B Bonds issued hereunder and any other general obli-
' gation bonds hereafter issued and made payable from
said Account; except that upon discharge of said
Series B Bonds the City shall , to the extent neces-
sary, use the remaining funds in said Account to reim-
burse the City as provided in paragraph 12 beloca.
I0. Prior to issuance of the Series B Bonds , the
City and the Housing and Redevelopment Authority of the City shall

enter into an agreement (the "Tax Increment Pledge Agreement")
under the terms of which the tax increments derived from the Park
Nursery Redevelopment Project Are a shaTl be paid directly to the
City and pledged to the payment of the Series B Bonds and interest -
thereon. The .estimated collection of such tax increm�nts e.xceeds
20% of the cost of the Project within the meaninc� of Minn�sota � �
Statutes, Section 475.58.
11. The County Auditor of Ramsey County has certified
the assessed valuation of taxable real pro�erty within the Park
Nursery Redevelopment Project Area, as raost recently deter:�►ined
according to the assessment as of January 2, 1977 . Unuer the pro-
visions of i•�innesota Statutes , Section. 465. 585, Subdivision 3,
tne County Auditor has included only such original assessed valua- '
tion upon which he co:nputes the rate of all state, county, city,
school district and other taxes, but has extended anc� will con-
tinue to extend the rates so determined against the entire assessed
valuation of such real property in 1978 and each subsequent yearf
and the County Treasurer will henceforth remit to the City of
Saint Paul acting on beizalf of the Housii�g anc� hedevelopment
Authority of the City that proportion ot all taxes paia each year
on the real pro�erty in the Project area which the excess of the
assessed valuation over the original assessed valuation bears. to
such original assessed valuation.
12. Under the iax Increment Pledge Agreement the tax -
increments derived from the Project snall be sec�regated in the
Debt Service Account until payr:ient of all Series B Bonds and in-
terest thereon and reimburse�nent of the City as provided in IYiinne-
sota Statutes, Section 462. 585, Subdivision 3 . -
It is hereby found, determined and declared that the
estirnated collection of said tax increments, together with all
other existing funds pledged to the payment of the Series B Bonds�
will, if collected when due, produce at least five percent in
excess of the amount needed to meet when due the principal and
interest pa�ments on. the Series B Bonds. i�tevertheless, for the - . -
pro:npt and iull pay:nent of the princi�al of and interest on the
Series S Bonds as the same respectively become due, the full .
faith, credit and taxing powers of the City shall be and are
hereby irrevocabl.y pledged.
Notwithstanding any provision herein to tne contrary,
the City reserves the right to terminate or reduce the tax incre- ,
raents herein pledged to the payir,ent of the Series. B Bonds and in-
� terest thereon to the extent and in the manner pernitted by law so
long as such action does not preclude the City from paying when
due the debt service on the Series B Bonds or o-cher��rise i::�pair the
City' s full faith and credit pledge.
13. The City Clerk is hereby directecl t� file a cer-
tified copy of this resolution with the County Auditor of Ramsey

require, and to obtain frorn said Auditor his certificate that
tne Series B Bonds have been entered in said Auditor' s Bond Regis-
ter, and that the Tax Increment Pledge Agreement has been filed
with the County Auditor.
14 . The officers of the City are hereby authorized and
directed to prepare and furnish to the purchaser of the Series B
Bonds, and to the attorneys approving the legality of the issuance
thereof, certified copies of all proceedings and records of the
City relating to the 5eries B Bonds and to the financial condition
and affairs of the City, and such other affidavits, certificates
and information as are required to show the facts relating to the
legality and marketability of said bonds as the same appear from
the books and records under their custody and control or as other-
wise known to them, and all such certified copies, certificates
and affidavits, including any heretofore furnished, shall be deemed
representatio�s of the City as to the facts recited therein.

This bond is one of an issue in the total principal
amount of $2 ,065,000 all of like a�te and tenor, except as
to serial number, maturity and interest rate, vrhich bond
has been issued pursuant to and in full conformity with
the Constitution and laws af the State of �innesota for
the purpose of providing money for contributions to a rede-
velopment project undertaken by the H.ousing and Redevelopment
Authority of the City, designated as the P'ark Nursery
Redevelopment Project. This bond constitutes a general
obligation of the City, and to provide moneys for the prompt
and full payment of said principal and interest when the same
b ecome due, the full faith and cre�it and taxing powezs of
said City have been and are hereby irrevocably pledged.
IT IS HEREBY CERTIFIED AND RECITED that all acts,
conditions and things required by �he Constitution and laws
of the State of t�innesota to be done, to hap�en and to be
performed, precedent to and in the issuance of this bond,
have been done, have happened and have be�n perfarmed, in
