Dear
Despite any agreement to the contrary, the Sellers will not
be able to vote the stock of the Buyer corporation, in the
event of default or for whatever reason, for the purpose of
effecting a transfer of the license without the actual con-
sent at that time of the Buyer to the transfer, nor will
Sellers be able to block a transfer porposed by the Buyer
by exercising a right to vote the stock, regardless of
whether the Buyer is in default.
The license is a privilege to be accorded the Buyer, not
property or a property right, and the Sellers do not, in the
view of the Saint Paul City Council, have a security interest
in the license. The City Council retains full authority to
determine whether and who shall be transferees of Zicenses.
The City will not be bound by an agreement between the parties
which restricts the buyer's ability or right to transfer or
consent to the transfer of the license. The buyer's consent to
any future transfer will be honored by the City in the absence
of appropriate orders pertaining to that agreement, issued by
a court having jurisdiction.
This letter is written to put both Buyer and Seller on notice
that the City Council will inquire into the Buyer's actual
consent at the time of any future transfer, if attempted.
This letter will be brought to the attention of the City Council
and will be kept in the file on this license in the office of
the License Inspector. �
