1 BE IT RESOLVED, that, upon the petition of Health East Care System, as documented in Real Estate
2 Division File Number Ol-C-03, and with the accompanying Utility Easement Certificates of Intended
3 Non-Use, filed voluntarily on behaif of Qwest Communications, Incorporated, Xcel Energy Company,
4 District Energy St. Paul, Incorporated, MCI Worldcom, A.T. & T. Broadband, Saint Paul Regional
5 Water Services, and the Department of Public Works, made a part hereof by this reference and filed in
6 the office of the City Clerk of Saint Paul, the City, for itself and on behalf of these corporations and
7 departments, waives the right to the utility easements in the vacated alley in Krauch's Rearrangement

9 Release of said easements shall be subject to the following condition:

ll 1. The petitioner will beaz the cost of relocating Xcel Energy's gas service line from Burns Avenue
12 to Frank Street.

14 2. That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
15 the City of Saint Paul, its officers and employees from ali suits, actions or claims of any character
16 brought as a result of injuries or damages received or sustained by any person, persons or
17 property on account of this vacation or petitioners' use of this property, including but not limited
18 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
19 because of any claims or liability azising from any violation of any law or regulation made in
20 accordance with the law, whether by the petitioners or any of their agents or employees.
