WHEREAS, The St. Paul Grower's Association has expressed a willingness and desire
to operate and manage, under an operating agreement that land owned by the City of
Saint Paul commonly known as the City Market established in Chapter 290 of the Saint Paul
Legislative Code, as amended.
WHEREAS, The City Council has determined that the best interest of the Downtown
Business Community, including the City Market itself, and the City of Saint Paul in its
entirety wauld be served by allowing the St. Paul Grower's Association the opportunity to
operate the City Market under an operating agreement during hours as determined by the
City.
NOW THEREFORE BE IT RESOLVED, That the proper City officials are hereby
authorized and directed to execute on behalf of the City and in a form and manner approved
by the City Attorney's Office, an Operating Agreement with St. Paul Grower's Association
providing for the operation of the City Market during hours deemed appropriate by the City.

Proposal Relating to St. Paul Market Facility
This proposal is submitted in support of the Management Contract between the City and
the Growers' Association.
In general terms, the goals and objectives of this Contract will be to promote and
encourage the continued and expanded use of the City Market Facility. The Growers'
Association will seek to promote expanded use of the facility as a produce market,
and/or a handicraft products market and for such related activities as may be ap-
propriate.
The Growers' Association believes that their respective interests in the activities of the
market are highly compatible in that both groups (produce and arts and crafts) wish to
encourage and promote expanded use of the City Market.
The Growers' Association guarantee that funds generated by the operation of the
market facility will be spent in the management and promotion activities of the City
Market. All unexpended funds will be returned to the City Market Fund.
The Growers' Association will enter into an agreement with the City which will specify
the purpose and the authority. Among other things, these purposes will include the
following:
A. To direct the operations of the market facility at the City Market from April 1
through December 1 of the Agreement year, including such matters as the main-
tenance of checking and savings accounts, hiring of personnel, and such other
matters as may be necessary to operate the City Market Facility.
B. The Growers' Association with the written approval of the City will promote and
direct the operations of the farmer's market activities. The Growers' Association
after receiving written approval from the City will be authorized to determine the
conditions under which the growers, artists, craftsman and others will be allowed
access to the City Market Facility for porposes of selling or exhibiting their
products.
C. The Growers' Association will also be a non-profit organization. Funds may be
expended with approval of the City to advertise and promote the produce market
activities, craft fair activities and such other activities at the site as may be
considered appropriate by the Growers' Association.
The Growers' Association will provide annual financial statements to the City. These
statements will be subject to audit by the City.
The Growers' Association will be authorized to employ such persons as it deems
appropriate to manager and operate the City Market.
This proposal is submitted in good faith with the understanding that the City of St. Paul
will continue to provide:
1. Office space for management staff
2. Public restrooms
3. Money for operating expenses of the City Market, not to exceed $10,000
annually. See attached budget sheet.
The maintenance and security of the grounds, office space provided and the public
restrooms shall be the responsibility of the Growers' Association.
