A G R E E M E N T
THIS AGREEMENT made and entered into this day of
, 1979 , by and between the CITY OF SAINT PAUL, a municipal
corporation of the State of Minnesota, hereinafter referred to as
the "City" , and PETERSON, GRAY & SHEAHAN, LTD. , PROFESSIONAL ASSOCIA-
TIOi1, hereinafter referred to as "Contractor".
WITNESSETH:
1. By reason of a vacancy in the Office of the City Attorney
in an Assistant City Attorney position responsible for real estate
services , including title registration matters respecting City
property and property of the Housing and Redevelopment Authority of
the City of Saint Paul, Minnesota, for which said Office is responsible,
and the need for continuing provision of this kind of legal service
during the period of this vacancy, particularly in the Central Village
portion of the Summit-University Redevelopment Project, the City
desires to retain the services of the Contractor.
2. Contractor warrants to the City that members and associates
of the firm are professionally competent to perform legal services
in connection with the registration of title to real property and
proceedings subsequent to initial registration, and is willing to
perform such services under the direction of and to the satisfaction
of the City Attorney of the City.
3. Relying on this warranty, City engages Contractor to
prepare title registration applications and petitions subsequent to
initial registration, and to pursue said proceedings to final orders,
as assigned and as directed by the City Attorney , and in connection
thereto to:

a. Prepare and file necessary applications and petitions,
cause service of such summons as are required and try
in District Court such issues as are indicated by the
Title Examiner's Report.
b. Prepare, file and record court orders and other instru-
ments affecting title , and to take all other actions
necessary to complete said proceedings in accordance
with requirements of statute and court rule.
c. Train or fami.liarize personnel of the City Attorney's
Office respecting title registration procedures and
requirements.
d. Perform these services for a period of sixty (60) days
from the date of this Agreement, provided that in any
month during the term of this Agreement in which it
appears that fifty (50) hours of the Contractor's time
is to be charged for performance of these services ,
the Contractor shall advise the City Attorney of this
fact as soon as possible, and in no event shall the City.
be charged in excess of fifty (50) hours time by the
Contractor in any month without the prior written approval
of the City Attorney.
e. Keep the City Attorney apprised of the progress of all
proceedings from time to time as requested.

f. Upon termination of this Agreement, the Contractor
shall return each file assigned with a detailed
report of status of the registration proceedings and
actions remaining to be accomplished to concLude said
proceedings.
4. In consideration of the Contractor's services hereunder,
the City agrees to compensate the Contractor at the rate of $50 . 00
per hour and to reimburse Contractor its reasonable and necessary out-
of-pocket expenses as approved by the City Attorney, up to a total
hereunder of $5,000. 00 , said compensation and reimbursement to be
charged to Account 09073.
5. The payment of compensation shall be upon itemized billings
rendered monthly by the Contractor, approved by the City Attorney,
for disbursal by the City.
6. This Agreement may be terminated by either party at any time
by written notice from the City Attorney on behalf of the City, and
from Everett L. Peterson on behalf of the Contractor, with no obliga-
tion other than to make payment to the Contractor for services rendered
and expenses incurred to the date of receipt of the notice of termina-
tion.
