RESOLVED, That the proper City officials are hereby authorized and
directed to enter into a operation and maintenance agreement by and between
the City and Capitol Corrr�nnunjty Services, Inc. , for the operation of the
North End Multi-Service Center�; subject to the terms and conditions of
the agreement, a copy of which shall be kept on file in the Department of
Finance and Management Services.

AGREEMENT
THIS IS AN AGREEMENT, Dated this day of ,
1979, by and between the CITY OF SAINT PAUL, Minnesota, a Minnesota
municipal corporation, hereinafter called the "City" , and CAPITOL
COMMUNITY SERVICES, INC., a Minnesota nonprofit corporation, here-
inafter called "Capitol" ;
WITNESSETH:
WHEREAS, The City has constructed a facility known as the North
End Multi-Service Center, hereinafter called the "Center" , adjacent
to the structure owned by Independent School District No. 625, com-
monly known as Washington School; and
WHEREAS, The City and District have entered into a 99-year
Lease and Joint Use Agreement regarding the operation and mainten-
ance of said Center and various portions of said school site; and'
WHEREAS, Said Agreement authorizes the City to contract for
the operations of said Center with a nonprofit corporation; and
WHEREAS, Capitol is competent to provide the proper degree of
management and staff to said Center in fulfillment of the Center ' s
purpose as a facility for conducting human services and other com-
munity programs for the benefit of the City' s citizens; now,
therefore,
IT IS MUTUALLY AGREED BETWEEN CITY AND CAPITOL AS FOLLOWS:
l. That the City leases the Center and permits and authorizes
C�pitol to conduct human services programs and activities therein,
the Center b�ing more particular described in Exhibits A and B
appended to the above-referenced agreement between the City and
School District and incorporated into this Agreement by reference.
2. That Capitol will provide, in its usage of the Center such
human services and other community programs as it deems beneficial
to the residents of the City.
3. That Capitol will supply the City annually with a proposed
agenda of programs and activities to be conducted during the next
year, and the City may in writing provide suggestions for additional
program content and/or modifications.
4. That Capitol may, by agreement with other agencies, permit
such other agencies to conduct such programs and activities in the
Center providing the City' s consent as to both the agency and their
proposed programs are first obtained. Capitol may charge a reason-
able rental fee to other agencies using said Center, providing the
City consents to the amount of the rental fee proposed to be
charged. It is understood that any agreement by Capitol with other
agencies shall not establish a relationship of principal and agent
between Capitol and such agency.

5. That Capitol will maintain the Center in a good state of
repair and will comply with all Federal, State and local regulations
regarding the operation of the Center; the City shall be responsible
for all outside maintenance of the Center including grass cutting,
trash removal and snow shoveling, and Capitol shall be responsible
for the cost of all inside maintenance. The City may contract, at
Capitol' s election, for the maintenance of the inside of the Center,
and Capitol shall have the right to set the standards of quality
for such inside maintenance services. If Capitol elects to have the
City contract on its behalf for inside maintenance services, Capitol
agrees to reimburse the City for its actual expenses in connection
with said maintenance on a quarterly basis.
6. That Capitol will file an annual report with the City, said
report shall identify the names of officers and directors of Capitol;
the nature and extend of services provided in the previous year; and
a statement of receipts and disbursements for the preceding year as
relates to Capitol' s income and expenses in the operation of said
Center. Further, the City shall be entitled during regular business
hours to have access to Capitol ' s books and records in verification
of such annual report.
7. That Capitol agrees to save and hold harmless the City of
- Saint Paul from any and all claims of whatever kind or nature

attributable to the negligent acts of Capitol, its employees and
agents, to the extent of obtaining and paying for the following
types of insurance naming the City as co-insured as its interest
appears and in the amounts set forth:
a) Public Liability - $1,000,000 for each occurrence;
b) Worker' s Compensation - statutory; and
c) Fire and Extended Coverage - $1,000,000.
8. That this Agreement shall be for a period of twenty (20)
years, but either party may terminate this Agreement, without cause,
upon 365 days ' written notice from one party to the other.
9. That Capitol shall be entitled to have all of its property
of whatever kind that it may utilize in said Center returned to it
upon the termination of this Agreement.

first above written and to be inserted by the City' s Director of
Finance and Management Services.
