PAUL THIS AGREEMENT is entered into this day of April, 2001, by and between the City of Minneapolis, a Minnesota municipal corporation (the "City"), and the City of St. Paul ("St. Paul"). WHEREAS, the Cities of St. Paul and Minneapolis have each entered info a contract with the United States (the "Contract") and will each receive funds in the amount of $600,000.00 from the Contract to participate in the development of a Metropolitan Medical Response System; and WHEREAS, it has been determined that the City of Minneapolis shall act as the fiscal agent for the metropolitan wlde system for the entire Contract sum of $1,200.000.00; and WHEREAS, other governmental and political units must be included in such a metropolitan wide system; and WHEREAS, St. Paul is such a governmental or political unit which desires to participate in the system. NOW THEREFORE, the City and SY. Paul hereby agree as follows: Term of Agreement The term of this agreement shall be from June 24, 1999, to December 31, 2002. 2. Scope of Aciivities For participation in the Metropolitan Medical Response System, St. Paul shall receive from the City various training, equipment and medical supplies at no cost to it. The types of training, supplies and equipment to be provided are those items allowable under the Contract from the United States pepartment of Health and Human Services (DHHS) made on or about June 30, 1999, as amended. The Contract and the amendments thereto are hereby incorporated into this Agreement and made part of it as if they were set forth fully here. Responsibilities of the City of Minneapolis A. The City shall provide to St. Paui the training, supplies and equipment per the Contract at no cost to St. Paul. B. The City shall make the required reports under the Contract to pHHS. C. The City has accepted the responsibility of the Contract funds as the fiscal agent. Responsibilities of St. Paul A. The training, equipment and supplies received under this Agreement become the property of St. Paui; and St. Paul is responsible for the repiacement and maintenance of all equipment and supplies. B. St. Paul must train its personnel in the use of any equipment or supplies, if necessary. C. When the supplies or equipment are no longer useful, St. Paul shall dispose of such equipment and supplies in a legal manner. k� o�_�oc� D. St Paul agrees to abide by aIl the terms and conditions of that certain Co�tract cited above, as amended. E. The exchange of goods and services between member agencies of the system are aliowable in so far as such exchange is consistent with the Contract. Worker's Compensation St. Paul and any of fts agents or emp{oyees engaged in work under this Contract are independent contractors and are not employees of the City for any purpose incfuding possible claims under the State Workers Compensation laws. St. Paul agrees that if wiil indemnify and hold harmless the City against any and al1 suiis, claims or actions arising out of the performance of St. Paul's employees under this Agreement. The City agrees that it wi11 be responsible for the action of its employees and that it will indemnify and hold harmfess St. Paul against any and all suits, claims or actions arising out of the pertormance of City employees. E. St. Pauf agrees that the City makes no representations of any kind relative to the training, equipment and supplies provided under this Agreement. The Parties agree that the City has no liability for the condition, repair, quality, quantity, defects, suitability or use of any and all equipment and supplies provided under this Agreement. As between the Parties, St. Paul's use of any and all equipment and supplies provided under this Agreement is strictly at St. Paul's own risk. Equal Opportunity and Civil Rights The Parties agree to comply with all applicable federal, state ad local laws and reguiations pertaining to discrimination which sha11 be considered part of this Agreement as if fully set forth here. The Parties agree that the City has no liability for the condition, repair, quality, quantity, defects, suitability or use of any and all equipment and supplies provided under this Agreement. As between the Parties, St. Paul's use of any and all equipment and supplies provided under this Agreement is strictly at St. Paul's own risk.
