Wf�REAS, the City of Saint Paul works in collaboration with various agencies and
organizations to provide activities for youth; and
3 WHEREAS, the National Hockey League (the NF�,), the lvfinnesota Hockey Ventures
4 Group L.P. (the Club Owner), and the Nfinnesota Wild professional hockey team (the Club) have
5 developed a youth "street hocke�' program called NII�/NHI, Street Program (the Program); and
6 WHEREAS, the 1�� the Club Owner and the Club have agreed to donate to the City
? equipment, manuals, rules of play and staff training so that the City can provide the Program, but
S wish to be indemnified in the event of lawsuits arising from such activities; and
9 WHEREAS, the Saint Paul City Council finds that encouraging youth participation in
10 athletic events is a legitimate public purpose which serves the youth population and fosters
11 stronger communities within the City; and
12 W[�REAS, the expenditure the public funds, which includes the promise of
13 indemnification and defense, for such a purpose will facilitate and enable it to take place; now,
14 therefore, be it;

RESOLVED, that the Sairn Paul City Council on behalf of the City of Saint Paul agrees to
protect, indemnify and hold harmless the Club Owner, the Club, the NHI, and their officers,
agents and empioyees from and against any damages, cost, eapenses, claims or causes of action
arising from the City's involvement in the Program, including but not limited to: 1) personal injury
or death, to or damage to or loss of properiy of any participant in the Progam which arises out of
participation in the Progcam, except to the e�ctent that such injury, death, damage to or loss of
property is caused by negligent act or omission or intentional wrongdoing of the Club owner, the
Club, the NHL or their officers, agents and employees; and 2) any claim related to the
unauthorized use by the City of any names, logos, emblems, trademarks, insignia or other indicia
of the NHI, or any of its membet clubs, or of any material bearing any NI�, muks, except to the
extent that such use was caused by the negligence of or permitted by or consented by the Club
Owner, the Club, the NHL or their officers, agents and employees.
FURTE�R RESOLVED, that nothing in the foregoing shall be construed to waive any of
the defenses or imm,m;ries contained in Minn. Stat. Chapter 466, not to waive the municipal tort
liability limits set forth therein.
