and the Council having heard all persons, objections and recommendations relative
thereto, and having fully considered the same; herefore, be it
RESOLVED, That the Council of the City of Saint Paul hereby orders said
improvement to be made.
RESOLVED FURTHER, That the Council hereby determines the estate required
for this improvement to be fee simple, �=�-c� and easements as described
above; and the City officers and City Attorney are hereby authorized and
directed to take all actions necessary to acquire said real estate by purchase or
eminent domain.
Further Resolved, That the Council hereby determines that the estate required

6. Real Estate Tases: Seller shall pay tases pro-rated to the date of closing, as well as any
delinquent taxes not yet paid. Seller shall provide buyer with proof of payment of said taxes. Any
assessments, taaces, and liens not paid as of the date of closing, will be withheld from the purchase

9. Seller shall provide the Buyer, within fourteen days of signing this Purchase Agreement, an updated
Abstract of Title and/or an Owner's Certificate of Tifle. Seller agrees, at Sellers's cost and expense,
to correct or remove any excepuon or "clouds" on the ude as shown on the Buyer s"Commitment
to Insure" afle examination report.
10. That the seller realizes in order for the City of Saint Paui (Buyer) to comply with its development
and improvement of the aforementioned property, the buyer must have in hand a fully executed
purchase agreement on orbefore October 9th, 2000. This time maybe extended bymutual agreement
of the parties hereto.
11. Closing shall occur within 90 days or less following execution of this Purchase Agreement, at which
time the tiUe to the premises shall be conveyed to the City. The Closing date may be postponed and
rescheduled by mutual agreement of the parties hereto. Buyer shall pay all closing costs.
12. The Sellers understands that the Buyer is required and will give 90 day notice, from the date of a
signed purchase agreement, to the tenants, if any, to vacate the premises mentioned above.
13. Seller shall provide an affidavit on the date of ciosing, indicating that the Seller has not used or
permitted the use of the subject property as a hazardous waste disposal facility as defined in section
115A.03 Subd. 10 of Chapter 121 of the L,aws of Minnesota of 1983, and that there is no basis to
conclude that this property has been subject to or contaminated by the release of any hazazdous sub-
stance, hazardous waste, poliutants of contaminants as defined in Section 115B.02 of the Minnesota
Statutes.
14. All warranties and representations made in this Purchase Agreement shall survive the closing and
the conveyance of ufle to the property. This Purchase Agreement and all obligations provided shail,
to the extent not fully satisfied and performed by or through the Closing, survive the closing and the
conveyance of title to the property.
15. This purchase agreement is subject to Saint Paul City Councii approval.

and the Council having heard all persons, objections and recommendations relative
thereto, and having fully considered the same; herefore, be it
RESOLVED, That the Council of the City of Saint Paul hereby orders said
improvement to be made.
RESOLVED FURTHER, That the Council hereby determines the estate required
for this improvement to be fee simple, �=�-c� and easements as described
above; and the City officers and City Attorney are hereby authorized and
directed to take all actions necessary to acquire said real estate by purchase or
eminent domain.
Further Resolved, That the Council hereby determines that the estate required
for this improvement be as described above, and that the proper City officers submit
a report to the City Council for the purpose of the Council's making an award of
damages for the interest acquired , if any, against
the benefitted property.

9. Seller shall provide the Buyer, within fourteen days of signing this Purchase Agreement, an updated
Abstract of Title and/or an Owner's Certificate of Tifle. Seller agrees, at Sellers's cost and expense,
to correct or remove any excepuon or "clouds" on the ude as shown on the Buyer s"Commitment
to Insure" afle examination report.
10. That the seller realizes in order for the City of Saint Paui (Buyer) to comply with its development
and improvement of the aforementioned property, the buyer must have in hand a fully executed
purchase agreement on orbefore October 9th, 2000. This time maybe extended bymutual agreement
of the parties hereto.
11. Closing shall occur within 90 days or less following execution of this Purchase Agreement, at which
time the tiUe to the premises shall be conveyed to the City. The Closing date may be postponed and
rescheduled by mutual agreement of the parties hereto. Buyer shall pay all closing costs.
12. The Sellers understands that the Buyer is required and will give 90 day notice, from the date of a
signed purchase agreement, to the tenants, if any, to vacate the premises mentioned above.
13. Seller shall provide an affidavit on the date of ciosing, indicating that the Seller has not used or
permitted the use of the subject property as a hazardous waste disposal facility as defined in section
115A.03 Subd. 10 of Chapter 121 of the L,aws of Minnesota of 1983, and that there is no basis to
conclude that this property has been subject to or contaminated by the release of any hazazdous sub-
stance, hazardous waste, poliutants of contaminants as defined in Section 115B.02 of the Minnesota
Statutes.
14. All warranties and representations made in this Purchase Agreement shall survive the closing and
the conveyance of ufle to the property. This Purchase Agreement and all obligations provided shail,
to the extent not fully satisfied and performed by or through the Closing, survive the closing and the
conveyance of title to the property.
15. This purchase agreement is subject to Saint Paul City Councii approval.
