AGREEMENT
THIS IS AN AGREEMENT, dated this day of . _
, 1980, by and between the CITY OF SAINT PAUL, .
MINNESOTA, a municipal corporation, hereinafter called "City", and
NEIGNBORHOOD HOUSE ASSOCIATION, INC., a Minnesota nonprofit corporation,
hereinafter' called "Neighborhood House";
; WITNESSETH: .
WHEREAS, the City has constructed a facility known as the BakeN
Comnunity Center adjacent to the .structure owned by Independent School
. District Nd , 625 and commonly known as the Cherokee School site; and
WHEREAS, the City and District have entered into a 99 year Lease �
and Joint Use Agreement regarding the operation and maintenance of said

Center and various portions of said school site; and
WHEREAS, said Agreement authorizes the City to contract for the
; day-to-day operations of said Center with. a nonprofit corporation; and
• - WHEREAS, Neighborhood House :is capable of providing the proper
; degree of management and staff to said Center in fulfillment of the
: _ Center's purpose as a facility for the conducting of educational,
recreational and social programs for the benefit of the city's citizens;
now, therefore,
IT IS MUTUALLY AGREED BY �1ND BETWEEN THE CITY AND NEIGHBORHOOD
. HOUSE AS FOLLOWS: �
1. That the City permits and authorizes Neighborhood House to ,
conduct human service programs and other comnunity oriented programs in
the City's facility known as the Baker Community Center and as more
particularly described in exhibits "A" and "B" appended to this
Agreement. • �
2. That Neighborhood House will provide, in its usage of the
C�nter, such social services and other community programs as it deems
beneficial to the residents of the City.

3. That Neighborhood House will , by each anniversary date of this
. . -• � - Agreement, file an annual report with the City. The report shall
identify the names of officers and directors of Neighborhood House; the
nature and extent of services provided in the previous year; and a
statement of receipts and disbursements for the preceding year as

relates to Neighborhood House's income and expenses i� the operation
� of the Center. Fur..ther, the City shall be entitled during regular

business hours to have access to Neighborhood House's books and records
• in verification of such annual report. . '
' � � 4. That by each anniversary date of this Agreement, Neighborhood
� • •
House will supply the City with a proposed agenda of p•rograms and
- activities to be conducted during the next year, and the City may in
. writing provide suggestions for additional program content and/or modifi-
cations. The City will supply Neighborhood House with its proposed
seasonal program agenda in a timely manner. .
5. That N�ighborhood House may, by �agreement with other agencies, _
permit such agencies to conduct programs ,and activities in the Center.

Neighborhood House may charge a reasonable fee for such use. These
agreements must abide by current City policies.
6. That Neighborhood House may charge reasonable fees to indivi-
, duals utilizing its programs and activities.
7. That all parties providing programs or activities in the Center -
shall abide by the Rules of Operation established by Neighborhood Wouse. .

These Rules, however, must be consistent with current City policies as
formulated by the City's Superintendent of Parks and Recreation or his
designee.
8. That rooms 106, 108, 114, 115, 116, and 117, as so indicated :
on the architect's building design, shall be designated as space
reserved by the City for its recreation program. I1se of these rooms
shall be scheduled and controlled by the City. In comnon use space the
priorities will be guided by policies established under item number 7
as referenced above. .

9. That all other rooms not identified above will be under the
. . -• - operating control �of iVeighborhood House. The space will be scheduled
to meet the program needs of Neighborhood House and the City, as well .
as of other public and private agencies and organizations serving the
Community.
10. That the City and Neighborhood House shall permit each other
� to use spaces under their separate control , consistent with their separate
; programs, and without charge or fee. � .
: . ' �11. That Neighborhood House wil� be responsible for the maintaining
' � of the Center in a good state of repair, and will comply with all federal ,
state and local regulations regarding the maintenancQ and operation of the
� Center. Further, any major structural changes to the Center must receive
, . prior approval from the City. . �
- 12. That the City shall be responsible for the cost of all outside
maintenance of the Center including grass cutting, trash removal and
� snow shoveling, and Neighborhood House shall be responsible for the cost
of all inside maintenance. Further, Neighborhood House_ agrees that the
City will contract with the School District, on Neighborhood House's
behalf,� for the inside fnaintenance work of the Center. With such a
contract, Neighborhood House shall have the right to set the standards of
quality for such work. Neighborhood House agrees to reimburse the City
for the School District's actual expenses in connection with said mainten-
ance on a quarterly basis. �

13. That the City shall be responsible for the cost of major repairs
to the Center. The City may transfer some of this responsibility to the
. School District through other contracts or agreements between the City
� and the School District. -
14. That Neighborhood House agrees to save and hold harmless the City
from ar�y'and all claims of whatever kind or nature attributable to the
negligent acts of Neighborhood House, its employees and agents, to the
extent of obtaining and paying for the following types of insurance naming
the City� as co-insured as its i�terest appears and in the amounts set
forth: Public Liability, $300,000.00 for each occurrence; Worker's
- Compensation, statutory; and Fire and Extended Coverage, $1,000,000.00. - .

15. That Neighborhood House agreeS that no person shall , on the ground
� � " ' of race, color, creed, sex or national origin, be excluded from participation
in, be denied the benefits of, or be subject to discrimination in the use of
the premises or in the provision of social services or corrnnunity programs.
16. That this Agreement shall be for a period of twenty (20) years,
but either party may terminate this Agreement, without cause, upon 365 days �
; written notice from one party to the other.
17. That Neighborhood House shalt be entitled to have all of its ,
property of whatever kind that it may utilize in the Center returned to. it
� � upon the termination of this Agreement.
18. That this Agreement may be amended at any time, provided such
, .
; amendment has the formal consent of both the City and Neighborhood House.
. As a guide to amendment, it is understood that the purpose of the Center is
� to provide for the delivery of human services to the surrounding community
in a coordinated manner, so that residents of the comnunity'and the City
- may be served in the most efficient and compassionate manner possible
� through the combined efforts af all public and private _agencies and
� ;
organizations desiring to provide such services.

written above and to be inserted by the City's Director of Finance and
Management Services.
