RESOLVED, That the Council of the City of Saint Paul does
hereby approve Amendment to Grant Agreement between the City of
Saint Paul and the U. S . Department of Commerce, Economic
Development Administration, pertaining to the remodeling of the
City Hall Annex and deleting the requirement that the City con-
struct a tunnel, and the Mayor is . hereby authorized and directed
to accept the Amendment to Grant Agreement on behalf of the City
of Saint Paul.

OFFER TO AMEND GRANT AGREEMENT

WHEREAS, the United States of America, Department of Commerce,
Economic Development Administration (herein the "Government")
entered into a Grant Agreement (herein the "Agreement") with
the City of St. Paul, Ramsey County, Minnesota (herein the "Grantee")
on or about September 15, 1977; and
WHEREAS, the Grantee has requested certain changes in the
Agreement; and
WHEREAS, it is in the best interest of the Government and
the Grantee to amend the Agreement to provide for such changes
and revisions as are deemed necessary;
NOW THEREFORE, for and in consideration of the mutual benE� '_ts
flowing to the Government and the Grantee, the Government hereby
offers to amend the Agreement as follows:
Delete so much of the first paragraph thereof as
reads , "to provide financial assistance for City
Hall remodeling and construction of a tunnel" ,
and substitute therefor, "to provide financial
assistance for City Hall remodeling. "
Delete therefrom the entire Exhibit "A" Special
Conditions, and substitute therefor the new Exhibit
"A-1" , Special Condition, attached hereto and made
a part hereof.

All other terms and conditions of this Agreement shall
remain in full force and effect.
This Offer to Amend Grant Agreement must be accepted
and returned to the Economic Development Administration not
later than ten (10) days beyond signed date.
