AGREEMENT
THIS AGItEEMENT, made and entered into this 3rd day of December,1999, by and
between Saint Paul Harley-Davidson/Buell, hereinafter called "Supplier", and the CITY OF
SAINT PAUL, hereinafter called "City";
WITNESSETH;
IT IS NNTUALLY AGREED BY AND BETWEEN THE SUPPLIER AND THE CITY
AS FOLLOWS:
1. That at all times supplier will keep the terms and conditions of this agreement
confidential and shall not disclose usages hereunder to inquires of third parties
without prior consultation with the city's liaison herelnafter named.
That vehicles furnished to the city by tl�e supplier hereunder shall be for the
exclusive use of the ciry's police department and no other persons shall make use
of such vehicles.
That the supplier will supply six Harley-Davidsons, FLHPI, model year 2000 on
or about April 1, 2000, or as availability allows.
4. First time payment of $440.59 per unit will be made which includes $300.00
acquisition fee and first months lease payment of $140.59.
5. That, in conslderation of the use of supplier's vehicles, the city agrees to pay
supplier the sum $140.59 (one hundred foriy dollars and 59 cents) per month per
vehicle.
6. That the ciry agrees to save and hold supplier harmless from any and all claims
arising out of the city's use of vehicles hereunder and shall, additionally, repair at

its own expense and to the manufacturers specifications any dama�e sustained by
the vehicles during the course of city's use, normal wear and tear excluded, and
that in no event shall the liability of the city exceed the limits set forth in MN
Statute Chapter 466.00.
�, That the city shall be responsible for supplying each vehicle rented hereunder with
such amounts of gasoline and oil as is needed to make the vehicle operational in
additional to al] regularly scheduled manufacturer's recommended maintenance
(such specific maintenance outlined on attaclunent), as well as any necessary
maintenance NOT covered by warranty. The vehicle is to be delivered or picked
up by the City at its expense and delivered to the Supplier in order to effect said
maintenance. City agrees that all accessories except radios �vill be provided and
instalied by Supplier and charged to City under a separate agreement.
8. That the city will not use any vehicle for a period of more than one yeaz
(365 days) without supplier's consent, but the city reserves the right to request and
receive from suppJier a replacement vehicle of a type and make as above-
described. Mileage allowed per unit per year will not exceed 7,000 per year or a
prorated portion thereof. All mileage in excess of limitation will incur a charge of
25 cents per mile to the City to be paid to Supplier.
That the use of the vehicles rented hereunder are for the use of the city's police
department and for the purpose of the administration of this agreement, Lieutenant
John DeNoma, 100 East 11` Street, Saint Paul, Minnesota, 292-3722, shall be its
liaison.

with a written notice, submitted by either party, 30 days prior to the termination
date.
