Council Reso�.ution � r � , � LEASE ��y�� � • . � ::7 ��Si:.��� THIS LEASE, made and entered into this first day of July 1980, and between FIRST CHRISTIAN CHURCH, 317 Marshall Avenue, St. Paul, Minnesota, hereinafter referred to as Lessor, ond City of $aint Paul, Division of Public Health, Model Cities Health P�oject, hereinafter referred to as Lessee. Lessee does hereby hire and take from Lessor upon the terms and subject to the condi- tions hereinaffier set forth a portion of the premises situai•ed in City of Saint Paul, County of Ramsey, State of Minnesota, to wit: Rooms 112-113, 114-115 and reception room with adjoining storage area (referred to as audiovisual room) in the new wing of property Iocated at 317 Marshall Avenuer In addition, a large room designated 101-103 �wi II, if no conflict exists, be made avai lable to Lessee upon request � to be used for conferences, healfih education or screening programs. 1 . TERM OF LEASE, RENTAL AND OPTION TO EXTEND LEASE The term of fihe lease shall be for a period of one year beginning July 1, 1980 and ending June 30, 1981 with an option by the LesseE to extend the agreement under these terms for one (1) year upon sixty (60) days notice to the Lessor. Lessee cove- nants and agrees to pay to Lessor as rent for said premises �308 per month commencing July 1, 1980 and payable in odvance on the first day of each and every month during said one-year term. 2. USE OF PREMISES . Lessee intends to use the space for office purposes including interview, conference, health screening and health education activities. 3. IMPROVEMENTS AND MAtNTENANCE Lessee may not make improvemenis to the leased premises with�vt the consent of Lessar. _ �_ _ _ __ _ _ __ ___ � -2- . > � � ` � 1 Any improvements made by Lessee with Lessor's consent shall be made at Lessee's expense. Lessor shall provide four keys to Lessee; two controlling leased office space and two for the building entrance. Lessor shall during the term of the lease provide the following services and equipment: (1) Wil) maintain the upkeep of the surrounding yeard, parking lot, and ' sidewalk, including the removal of snow and ice. , (2) Will maintoin in proper working order the windows, doors, electrical circuits, heafiing, water, sewage, gas and electrical services. (3) Will provide routine janitorial service to maintain the premises in a clean and sanitary manner. Lessee agrees that it shall: (1) Be responsible for telephone cost, including installation. (2) Conduct business in an orderly, professional manner. 4. UTIL171ES Lessor shall furnish at its expense wafier, heat ancJ electricity. 5. ASSIGNMENT OF LEASE � Lessee shall not assign or sublet this lease without written consenfi of Lessor. ' 6. PLACEMENT AND CONSTRUCTION OF SIGNS Lessee shall not instal) or construct any signs of a permanent nature without consent of Lessor. 7. INSURANCE The burden of liability resides with Lessee in the event of a personal injury suit brought by a pa#ron and due to the negligence of Lessee, during the normal course of business on leased premises. � -3- . _,. , A � In case of total or partial destruction by fire or any other casualfiy so that the premises shall become untenable or unfit for occupancy iri whole or in part, Lessor shal) notify Lessee in writing within fifteen (15) days as provided herein that it intends to restore the prer�ises, then Lessee may terminate the lease by notice to Lessor in writing within a reasonable time. The rent to be paid hereunder pending such restoration shall be aFiated in proportion fio the loss and impairment of the use of said premises. . 8. TERMINATION OF LEASE � In the event of a default in the payment by Lessee, or in the performance by Lessee or Lessor of any of covenants or conditions provided herein and if the performing party shall fail to remedy such default within a period of sixty (60) days from and after receipfi of written notice by the other party and specifying such default, then the purty not in default shall at its election have the right to terminate this lease or to take any other action for the enforcement of any right or remedy avai lable to said party. In the event of an unforseen internal problem with either Lessor or Lessee, it shall be possible to terminate lease with thirty (30) days' written notice without evidence of fault. 9. NOTICE AND PAYMENT OF RENTAL All notices herein permitted or required, given by the Lessor to the Lessee or by the Lessee to the Lessor, and all rentals herein provided to be paid, shall be deemed to hove been given or paid when delivered to the respective parties personally or when deposited �in the United States mails with postage and addressed to their principal place of business. . ' 10. SURRENDER OF PREMISES On the first day of the term there shal) be a pre-inspection jointly by Lessee and Lessor of said premises. On or before the last day of the term or the sooner termination thereof, Lessee shall at its own expense remove all office furnishings and equipment from the leased premises and any property not removed shall be deemed abandoned. Any damage caused by Lessee in the removal of such items shall be repaired at Lessee's expense. . Lessee shall promptly surrender all keys for the leased premises to Lessor at the place then fixed for payment for rent.
