WHEREAS, the Purchaser is certified by the United States Departrient of Health, Education and 4lelfare, pursuant to the Health Insurance for the Aged Act, P.L. 89-91, July 30, 1965, codified in 42 U.S.C.A. Sections 1395-1396 d, comnonly ' kno►�m and hereafter referred to as ��ledicare, as a home health agency provider of services; and WHEREAS, the Purchaser also furnishes health practitioner services to indi- viduals and populations, and receives payment under ��ledicare, f�1edical Assistance, other public health and welfare programs, private insurance and from other private organizations desiring to coordinate health services for population groups; and WHEREAS, the Seller has a health screening and education program which pro- � . vides nurse practitioner services to individuals in need of health services. NOW, THEREFORE, each of the parties hereto do hereby agree- as follows: I. PERIOD AGREEt�IENT This agreement shall become effective upon the date accepted by the Purchaser and the Seller and shall continue for one (1) year from the date of.corrmencement of services hereunder and renewed annually upon written notice from Purchaser to Seller in October of each year. Renewal shall be on the same terms as the present contract except that the rate of payment• is subject to renegotiation: II. RESPONSIBILITIES OF SELLER Seller will : A. Provide one or.more nurse practitioners who have conpleted a course of study at an FJLN or �ANA accredited nurse practitioner program and have a minimum of six months experience as a nurse � practitioner to perform the services provided for in this contract. � ' � , ," , , , -2- . , , B. Furnish nurse practitioner services to individuals et Central Hi Rise as requested by Ramsey County Nursing Service. � � C. Work under the direction of the Health Coordinator from Ramsey County Nursing .Service and the medical staff of Bethesda Lutheran t�ledical Center. D. Provide B at,ove to patients within the scope of the plan developed as set forth under Paragraph C above. E. Submit to the Purchaser a record of service hours provided each day of service delivered by the tenth day of the following month. F. Refer to the Purchaser clients who are in need of ongoing nursing � services in their place of residence. - - � III. RESPONSIBILITIES OF THE PURCHASER Purchaser will: A. Define the population to be served by the nurse practitioner in � , . consultation with 6ethesda Lutheran �4edical Center's administrative staff. -. 6. Approve the program plans �or protocols in consultation with Bethesda Lutheran Medical Center's medical staff. � C. Bill Bethesda Lutheran Medical Center for services rendered. D. Coordinate the services rendered with the services of the Purchaser in order to provide continuity of care to the target population and limit duplication of services. E. Maintain a record of hours of services rendered. � � � F. Pay Seller in accord with Article IV, Invoices and Payments, for nurse practitioner services furnished by the Seller. IV. LIAa�LITY FOR IrJJURY OR DN•1AGE A. Purchaser does not assume any responsibility .or liability for any acts or omissions of •t{ie officers, employees or agents of Seller. B. ' from any demand, claim or suit arising out of the activities of the � Seller or their enployees. This includes any tJorkers' Compensation claims. � . - YI. :TERMINATION A. Except as provided in Paragraph 6 below, this agreement shall not - be subject to termination by either party until the expiration of • • one (1) year fran the date of commencement of services hereunder. Either party may terminate this agreement effective at any time after the-expiration of said first y�ar and upon giving of at least ninety (90) days written notice. Charges which have accrued for services rendered shal] survive any termination of this agreement. - B. If for any reason the contract between Bethesda Lutheran t�iedical � Center and the Purchaser shall change to the extent that this � contract would not be capable of fulfillr�ent, Se11er and Purchaser may terninate this contraet by giving thirty (30) days written notice to the other party hereto. � � VII. -GENERAL PROVISIONS .. . , A. This agreement shall be governed by the laws of the State of �linnesota, and constitute the entire agreement for furnishing Nursing Services . between the Purchaser and Seller. . � , -4- . � ' ,�,"�t��t�� B. Nothing in this agreement shall be construed as limiting the right of independent operation of either the Purchaser or the Seller or of the affiliation or contract with any other institution or agency while the agreement is in effect. C. At the commencement of the terms of this contract, or any renewals hereof, each party shall furnish to the other, certificates or other satisfactory evidence of insurance required by. the Purchaser.
