RESOLUTION APPROVING ENERGY PARK
PARTICIPAT'ION P;GREEMENT AND CON-
VEYANCE OF CITY OWNED LANDS IN
THE PROJECT
WHEREAS, the Port Authority of the City of Saint Paul has
created the Energy Park Industrial Development District pursuant
to provision of Minnesota Statutes , Section 458.191; and
WHEREAS, the City of Saint Paul made application and
received commitment on July 9, 1980 for a federal Urban
Development Action Grant (UDAG) in the amount of $2,082,500
to assist in financing the Energy Park District and Project;
and

WHEREAS, under the provisions of the Energy Park Project
Program the City is to vacate certain lands in the Project area
referred to as the Midway Stadium site and to convey said site
to the Authority for redevelopment in accordance with said
statute and Program; and
WHEREAS, under provision of the UDAG Grant Agreement,
the City and Authority are required to enter into a Participation
Ac�reement setting forth the rights and obligations of the
respective parties with regard to the acquisition and site
development of the Project area including Midway Stadium site
in the Energy Park Project; and
WHEREAS, on September 30, 1980, the Mayor of the City of
Saint Paul filed a petition to vacate Midway Stadium site and
other City owned property in the Project area precedent to

conveyance of said property to the Authority under authority
of 5ection 13 .04 of the Saint Paul City Charter, and Minnesota
Statutes Section 458.192, Subdivision 3, and 465.026 for the
Energy Park Project; and
WHEREAS, said vacation petition incorporated a proposal
for a new athletic stadium less costly to operate than Midway
Stadium on part of the land to be vacated and conveyed to the
Authority with proceeds received from the Authority in consid-
eration of the conveyance deposited to the Capital Improvement
Fund; and
WHEREAS, the vacation petition was processed in accordance i
with Chapter 228 of the Saint Paul Legislative Code and Section
13.05 of the Saint Paul City Charter, and a public hearing
before the City Council having been duly had on November 25,
1980; and
WHEREAS, the Partici.pati,on Agreement has been presented
to the City Council whereby the City agrees to convey the
vacated lands, and the Authority agrees to assume the zemaining
bonded debt on Midway Stadium, to provide the site for a
replacement stadium, within Energy Park, to pay cash consider-
ation of $2,00O,OOA to the City Capa,tal Improvement Fund, and
to finance the local cost of, undertake and complete Energy
Park Project; and
WHEREA5, it appearing that the compensation to be paid
for the proposed conveyance of City owned lands in the Project
area exceeds the appraised valuation of said lands and that
the proposed replacement stadium can be feasibly provided

for which stadium will provide greater service at a lesser
operating cost; and
WHEREAS, the City Council is in receipt of the approval
of the Long Range Capital Tmprovement Budget Committee
amending the 1980 CIB Budget to include $200,000 for stadium
design, and of Resolution No. 80-30 of the Planning Commission
reaffirming its findings that the disposition of Midway Stadium
and site for developing Energy Park, that the proposal to
continue provision of an athletic stadium, and the replacement
stadium proposal are consistent with the Saint Paul Comprehensive
Plan; and
WHEREAS, upon public hearing before the City Council it
appearing that the Energy Park Project will reclaim marginal,
underdeveloped and underutilized land within the City and
result in private investment of approximately $175,000,000 in
redevelopment, in an increase in local property tax revenues
of $6,700,000 annually and provide 5,900 permanent jobs; and
WHEREAS, upon public hearing before the City Council it
appearing necessary and in the public interest that stadium
use be discontinued on the Midway Stadium site, that the site
and other City o`aned property not presently devoted to other
public use, which lands were included in the vacation petition,
be conveyed to and acquired by the Authority, and that Energy
Park Project be carried forward; now, therefore, be it

RESOLVED by the Council of the City of Saint Paul, in
view of the premises hereby found and determined as facts,
that the Energy Park Project Participation Agreement between
the City of Saint Paul and Port Authority of the City of Saint
Paul is hereby approved.
RESOLVED FURTHER that the Midway Stadium site and other
City-owned property vacated by the City Council under the
September 30, 1980 vacation petition be conveyed by the City
to the Authority for the Energy Park Project, provided that
the Authority shall not demolish Midway Stadium until it has
concluded development agreements with Control Data Corporation,
Marfield Corporation and Wilder Foundation.
RESOLVED FINALLY that the appropriate City officials are
hereby authorized to execute on behalf of the City the Parti-
cipation Agreement and deed or deeds of conveyance and to take
any other action necessary or desireable to carry out the
purposes of th�:s Resolution.
