RESOLVED, That the proper City officials are hereby authorized
and directed to execute a Lease Agreement with the St. Paul
Winter Carnival Association, Inc. , for the various usages
of the City's parks between January 12 and February 12, 1981,
for Winter Carnival activities, a copy of said Agreement to be
kept on file and of record in the Department of Finance and
Management Services.

A G R E E M E N T
This agreement, made and entered into this �� �- day of

Q,�S%-ti�� l'�-�- , 198�, by and between the CITY OF SAINT PAUL, a municipal
corporation organized and existing under the laws of the State of Minnesota,
hereinafter referred to as "Saint Paul", and the SAINT PAUL WINTER CARNIVAL
ASSOCIATION, INC. , a Minnesota corporation hereinafter referred to as "Carnival."
WITNESSETH:
Whereas, each winter season Saint Paul sponsors festivities collectively
referred to as "The Saint Paul Winter Carnival", and
Whereas, said Carnival includes, among other festivities, many activities
in City Paxks, and
Whereas, in order lawfully to conduct such festivities in City Park,
the Carnival desire that Saint Paul grant them the use of City Parks for Winter
Carnival Park Festivities.
Piow, therefore, Saint Paul and Carnival agree as follows:
ARTICLE I
Saint Paul hereby perraits CArnival to occupy and use City parks for
the purpose of sponsoring a Winter Carnival Festivities.
ARTICLE II
Zn the event that Winter Carnival Park Festivities are held, Carnival
agrees to do the following in connection therewith:
a) To provide all labor and equipment necessary to prepare the Parks
Festivities.
b) To provide labor sufficient to supervise and to control properly the
orderly operation of the activities at City Parks;

c) To provide labor sufficient to clean up City Parks at the end of tne
perio� covered by this Agreement;
d) To provide, maintain, service and keep in suitable operation, at its
sole expense, portable toilets sufficient to accomodate the General
Public.
ARTICLE IIZ
The use permitted by this Agreement shall commence not sooner than
12:00 a.m. , January 12, 1981 and shall terminate by 12:00 p.m. , February 12, 1981.
ARTICLE IV
Carnival, its successors and assigns, agree to indemnify and hold harm-
less Saint Paul, its agents, officers and employees from any and all claims, suits,
actions or judgmeiits resulting from the conduct of Winter Carnival Park Festivities.
ARTICLE V
Carnival agree to provide liability insurance, including Saint Paul as a
named insured, to the following extent: $500,000 for any and all personal injuries
suffered by any person; $1,000,000 for any and all personal injuries for each -
occurrence; and $100,000 for any and all property damage for each occurrence; pro-
vided, however, that said personal injury and said property damage arise out of
or result from the conduct of WINTER CAR1dIVAL PARK FESTIVITIES, the actions of the
participants, employees and spectators at WINTER CARNIVAL PARK FESTIVITIES or the
activities sponsored by Carnival.
The form of said insurance shall be approved by legal counsel of
Saint Paul.
