' r;�� • . • � ' AGREEMENT AN AGREEMENT, made and entered into this day of . 1980, by and between the City of Saint Paul, a municipal corporation of the SCate of Minnesota, hereinafter referred to as the "City", acting through its Division of Public Health, and the County of Ramsey, a political subdivision of the State of Minnesota, hereinafter referred to as the "County", acting through its Nursing Service; WITNESSETH: WI�REAS, the County is desirous of providing personal home health care services to certain residents of Saint Paul; and WHEREAS, the County has been determined qualified to perform services as are necessary to accomplish such purpose; and WI�REAS, the County is certified as a hame health agency provider of se�rzices .- ., by the United States Department of Health and Human Services, pursuant to the Health Insurance for the Aged Act, P.I.. 89-97, Jt�ly 30, 1965, codified in 42 U.S.C.A. Sections 1395-1346d, commonly knawn and hereinafter referred to as Medicare; N�GT, TF�REFORE, IT IS MUTUALLY AGREED by and between the City and the County as follows: 1. The County agrees to provide skilled home heslth care nursing services to certain residents of the City of Saint Paul in accordance with the applicable laws and regulations and professional standards of nursing as provided by the state and federal governments. ` ' 2. The County's fee for said services shall not exceed $15,000 for the period of this agreement. No other compensation shall be paid, � . , � � � � ' - . , ��i�� . + ' 3. The County agrees to maintain and furnish the City with quarterly progress reports regarding the responsibilities noted in paragraph ��1 above. The County shall coordinate the performance under this agreement with the City. 4. The County shall: A. Keep and maintain a qualified staff of home health nursing per- sonnel to perfoxm the services provided for in this agreement. The personnel must meet the same requirements as those specified by Medicare for home health agency services and personnel, in- cluding personnel qualifications, functions, supervision, orienta- tion, and inservice training. B. �rnish home he.alth nursing service to individuals designated by the City as patients requiring such services. C. Work in conjunction with the City under the orders of the patient's physician to develop a plan for administering or fumishing services. D. Keep records of services provided. E. Screen all applicants for home health services. 5. The County shall camply with all requirements of the Community Health Services Act of 1976. 6. The City does not assume any responsibility or liability for anq acts or omissions of the officers, employees, or agents of the Countq. 7. A. Either party may texminate this agreement upon giving thirty (30) days written notice. Charges which have accrued for services ren- dered shall survive any termination of this agreement. . � . B. If for any reason the provisions of Medicare and/or the Community Health Services Act shall change to the extent that this agreement would not be capable of fulfillment, the City or County may tezminate this agreement by giving thirty (30) days written notice to the - 2 - ' _ , ' . • •w ✓��r► ' . Any alterations, variations, modifications; or waivers of provisions of this agreement shall be valid only when they have been reduced to writing, duly signed, and attached to the original of this agreement. 11. No claim for services furnished by the County not specifically provided in this agreement, will be allowed by the City unless this is approved in writ�� • by the City. The County shall not enter into subcontracts for aiap of'the work con- templated under this agreement without written approval of the City. 13.
