We are writing to request your support for the above-referenced Petition filed by our affiliate,
Victoria Plaza LLC ("Petitioner"), which is scheduled for public hearing before the City Council on
January 26, 2000.
Background
The city interest to be vacated is an unused L-shaped alley that is part of the pay parking lot located
at the southwest comer of Grand Avenue and Victoria Street.
The alley was originally created in the subdivision plai for Summit Park Addition to St. Paul, which
was filed in 1871. The aliey eventually served three homes that were located at 57, 59, and 61
South Victoria Street from the late 1890s until the late 1450s when the houses were demolished and
the land was acquired for the expansion of what was then the Grand Avenue Ford used car lot. By
196Q the L-shaped a11ey had essentially disappeared since there was and is no way to distinguish
the boundaries of the alley from the rest of the properiy by looking at the surface of the lot. In the
late 1970s, the former used caz lot (including the alley) was sold to the current owner of the Victoria
Crossing East Mall (where Billy's is located} and has been used ever since as a public pazking lot.
Since the late 1950s, the allev Lurs not been used by the public as an allev has not been maintained

abandoned bv the City for the last 40 plus years•
When the parking lot (including the alley) was converted to a pay parking facility in 1994, the City
of Saint Paul issued an operating license to APCOA, Inc., which has been renewed annually and is
now held by Allright Parking of Minnesota, Inc. There is no reference in the operating licenses or
any related communication that the City of Saint Paul has reserved any rights to the alley portion of
the pazlang lot.
The parking lot (including the alley) was sold to Petitioner on 7uly 14, 1999. At that time,

Commonweaith Land Title Insurance Company researched the history of the alley and the
applicable law and concluded that the alley has been abandoned and no longer exists, in fact and
law. Commonweaith issued an owner's policy of title insurance to that effect. Nevertheless,
Petitioner's mortgage lender, U.S. Bank National Association, requested that the formal process of
vacating the alley be completed so that title to the alley would be cleaz from the recorded real estate
documents.
Petition to Vacate Public Interest
On July 27, 1999, Petitioner filed a Petition to Vacate Public Interest with the City of Saint Paul.
Petitioner owns 100 percent of the land abutting the a11ey to be vacated. No other private parties
own any land abutting the ailey to be vacated. ("Abutting" means contiguous with, bordering on or
touching. Op.Atty.Gen., 396-G-16, Oct. 22, 1958.)
On 7anuary 4, Z000, the City of Saint Paul Department of Technology and Management Services,
Real Estate Division, issued a proposed Resolution for the vacation of the a11ey and scheduled a
public hearing on the proposed Resolution before the City Council for 7axnzary 26, 2000.
Accompanying the proposed Resolution were written replies from the following 15 public
respondents:

Standards Governing Vacation And Abandonment of Public Rights-Of-Way
A public right-of-way may be vacated when the public interest will be served by such vacation
Minn. Stat. § 412.851; In re Baldwin, 15 N.W.2d 184 (1944). It is of no consequence that private

interests may also be served. In re Hull, 204 N.W. 534 (1925).
A public right-of-way may be vacated when it is no longer useful "for the purpose for which it was
laid out". Church of Sts Peter & Paul v Lake Geor�e Tw�., 89 N.W.2d 708 (1958).
A public right-of-way will be considered abandoned and a city will be "estopped" or prevented
from asserting its rights to such an abandoned public right-of-way if the following standards are
satisfied: .
(a) There has been a long-term non-use of the right-of-way by a city;
(b) Private parties in good faith believe that the city's use of the right-of-way has been
abandoned;
(c) Private parties have made valuable investments in the right-of-way; and
(d) Such investments have been been without objection by the city and with its
encouragement through the issuance of city permits.
Halverson v. Villa�e of Deerwood, 332 N.W2d 761 (1982); Citv of Rochester v. North Side
Corporation, 1 N.W.Zd 361 (1941).
If there has been an abandonment of a public right-of-way for 40 years or more, the Marketable
Title Act (Minn. Stat. § 541.023} would baz a city from claiming an interest in such right-of-way if
the city failed to file a statutorily-defined notice with the land records within such 40 years.
Ravenna Township v. Grunseth, 314 N.W2d 214 (1981).
Conclusion
The L-shaped alley requested to be vacated has not been used by the City or for any public purpose
for well over 40 year. Neither the City nor any public entity or uulity has any need for the ailey,
either at the present time or in the future. No utilities are located under, upon or above the L-shaped
alley. Indeed, a11 public agencies with an interest in the alley have affirmatively consented to the
vacation.
Petitioner meets all of the standards set forth in the Halverson and Citv of Rochester cases.
Therefore, pursuant to Minnesota case law and the Marketable Title Act, the City is estopped and
prevented from asserting the continued existence of the alley or from claiming any interest in the
ailey.
Vacating the alley is a housekeeping measure requested by Petitioner's lender so that the formal real
estate records confirm that the public interest in the alley has been extinguished. The City Council's
approval of the alley vacation will merely confirxn that the public interest in the a11ey e�ired over
40 years ago. Such approval would not be meant, nor would it be used by Petitioner, as evidence of
City approvai of any possible development proposal that might come before the City in the future.

Parking Lot shown on the attached reduced copy of a survey of the property, hereby petitions the
Council of the City of Saint Paul to vacate its interest in a pubiic alley located on part of the property.
The aliey to be vacated is highlighted on the attached survey and is legally described as follows:
The aliey in Joseph P. Dysart's Rearrangement of Lots 1 and 2, Block 23, Summit
Park Addition to St. Paul.
A certified ownership report prepared by Commonweaith Land Title Insurance Company is attached
to this petition and shows Victoria Plaza LLC as the sole owner of the property.
We request this vacation because the ailey was abandoned as an alley when it was combined into a
larger parcel in the late 1950s and has been used as part of a commercial parking lot since the mid-
1970s. Since the alley has served no purpose for more than 25 years, our lender has requested
that we vacate the alley to facilitate the consolidation of all the real estate tax parcels that make up
the Victoria Crossing Parking Lot.
Following the vacation, the alley will continue to be used as part of the Victoria Crossing Parking Lot.

We are writing to request your support for the above-referenced Petition filed by our affiliate,
Victoria Plaza LLC ("Petitioner"), which is scheduled for public hearing before the City Council on
January 26, 2000.
Background
The city interest to be vacated is an unused L-shaped alley that is part of the pay parking lot located
at the southwest comer of Grand Avenue and Victoria Street.
The alley was originally created in the subdivision plai for Summit Park Addition to St. Paul, which
was filed in 1871. The aliey eventually served three homes that were located at 57, 59, and 61
South Victoria Street from the late 1890s until the late 1450s when the houses were demolished and
the land was acquired for the expansion of what was then the Grand Avenue Ford used car lot. By
196Q the L-shaped a11ey had essentially disappeared since there was and is no way to distinguish
the boundaries of the alley from the rest of the properiy by looking at the surface of the lot. In the
late 1970s, the former used caz lot (including the alley) was sold to the current owner of the Victoria
Crossing East Mall (where Billy's is located} and has been used ever since as a public pazking lot.
Since the late 1950s, the allev Lurs not been used by the public as an allev has not been maintained

abandoned bv the City for the last 40 plus years•
When the parking lot (including the alley) was converted to a pay parking facility in 1994, the City
of Saint Paul issued an operating license to APCOA, Inc., which has been renewed annually and is
now held by Allright Parking of Minnesota, Inc. There is no reference in the operating licenses or
any related communication that the City of Saint Paul has reserved any rights to the alley portion of
the pazlang lot.
The parking lot (including the alley) was sold to Petitioner on 7uly 14, 1999. At that time,

Commonweaith Land Title Insurance Company researched the history of the alley and the
applicable law and concluded that the alley has been abandoned and no longer exists, in fact and
law. Commonweaith issued an owner's policy of title insurance to that effect. Nevertheless,
Petitioner's mortgage lender, U.S. Bank National Association, requested that the formal process of
vacating the alley be completed so that title to the alley would be cleaz from the recorded real estate
documents.
Petition to Vacate Public Interest
On July 27, 1999, Petitioner filed a Petition to Vacate Public Interest with the City of Saint Paul.
Petitioner owns 100 percent of the land abutting the a11ey to be vacated. No other private parties
own any land abutting the ailey to be vacated. ("Abutting" means contiguous with, bordering on or
touching. Op.Atty.Gen., 396-G-16, Oct. 22, 1958.)
On 7anuary 4, Z000, the City of Saint Paul Department of Technology and Management Services,
Real Estate Division, issued a proposed Resolution for the vacation of the a11ey and scheduled a
public hearing on the proposed Resolution before the City Council for 7axnzary 26, 2000.
Accompanying the proposed Resolution were written replies from the following 15 public
respondents:

Standards Governing Vacation And Abandonment of Public Rights-Of-Way
A public right-of-way may be vacated when the public interest will be served by such vacation
Minn. Stat. § 412.851; In re Baldwin, 15 N.W.2d 184 (1944). It is of no consequence that private

interests may also be served. In re Hull, 204 N.W. 534 (1925).
A public right-of-way may be vacated when it is no longer useful "for the purpose for which it was
laid out". Church of Sts Peter & Paul v Lake Geor�e Tw�., 89 N.W.2d 708 (1958).
A public right-of-way will be considered abandoned and a city will be "estopped" or prevented
from asserting its rights to such an abandoned public right-of-way if the following standards are
satisfied: .
(a) There has been a long-term non-use of the right-of-way by a city;
(b) Private parties in good faith believe that the city's use of the right-of-way has been
abandoned;
(c) Private parties have made valuable investments in the right-of-way; and
(d) Such investments have been been without objection by the city and with its
encouragement through the issuance of city permits.
Halverson v. Villa�e of Deerwood, 332 N.W2d 761 (1982); Citv of Rochester v. North Side
Corporation, 1 N.W.Zd 361 (1941).
If there has been an abandonment of a public right-of-way for 40 years or more, the Marketable
Title Act (Minn. Stat. § 541.023} would baz a city from claiming an interest in such right-of-way if
the city failed to file a statutorily-defined notice with the land records within such 40 years.
Ravenna Township v. Grunseth, 314 N.W2d 214 (1981).
Conclusion
The L-shaped alley requested to be vacated has not been used by the City or for any public purpose
for well over 40 year. Neither the City nor any public entity or uulity has any need for the ailey,
either at the present time or in the future. No utilities are located under, upon or above the L-shaped
alley. Indeed, a11 public agencies with an interest in the alley have affirmatively consented to the
vacation.
Petitioner meets all of the standards set forth in the Halverson and Citv of Rochester cases.
Therefore, pursuant to Minnesota case law and the Marketable Title Act, the City is estopped and
prevented from asserting the continued existence of the alley or from claiming any interest in the
ailey.
Vacating the alley is a housekeeping measure requested by Petitioner's lender so that the formal real
estate records confirm that the public interest in the alley has been extinguished. The City Council's
approval of the alley vacation will merely confirxn that the public interest in the a11ey e�ired over
40 years ago. Such approval would not be meant, nor would it be used by Petitioner, as evidence of
City approvai of any possible development proposal that might come before the City in the future.

Council of the City of Saint Paul to vacate its interest in a pubiic alley located on part of the property.
The aliey to be vacated is highlighted on the attached survey and is legally described as follows:

A certified ownership report prepared by Commonweaith Land Title Insurance Company is attached
to this petition and shows Victoria Plaza LLC as the sole owner of the property.
We request this vacation because the ailey was abandoned as an alley when it was combined into a
larger parcel in the late 1950s and has been used as part of a commercial parking lot since the mid-
1970s. Since the alley has served no purpose for more than 25 years, our lender has requested
that we vacate the alley to facilitate the consolidation of all the real estate tax parcels that make up
the Victoria Crossing Parking Lot.
Following the vacation, the alley will continue to be used as part of the Victoria Crossing Parking Lot.

We are writing to request your support for the above-referenced Petition filed by our affiliate,
Victoria Plaza LLC ("Petitioner"), which is scheduled for public hearing before the City Council on
January 26, 2000.
Background
The city interest to be vacated is an unused L-shaped alley that is part of the pay parking lot located
at the southwest comer of Grand Avenue and Victoria Street.
The alley was originally created in the subdivision plai for Summit Park Addition to St. Paul, which
was filed in 1871. The aliey eventually served three homes that were located at 57, 59, and 61
South Victoria Street from the late 1890s until the late 1450s when the houses were demolished and
the land was acquired for the expansion of what was then the Grand Avenue Ford used car lot. By
196Q the L-shaped a11ey had essentially disappeared since there was and is no way to distinguish
the boundaries of the alley from the rest of the properiy by looking at the surface of the lot. In the
late 1970s, the former used caz lot (including the alley) was sold to the current owner of the Victoria
Crossing East Mall (where Billy's is located} and has been used ever since as a public pazking lot.
Since the late 1950s, the allev Lurs not been used by the public as an allev has not been maintained

electrical tel�hone or other public utiditv lines or uses In short the alley has been completeZX
abandoned bv the City for the last 40 plus years•
When the parking lot (including the alley) was converted to a pay parking facility in 1994, the City
of Saint Paul issued an operating license to APCOA, Inc., which has been renewed annually and is
now held by Allright Parking of Minnesota, Inc. There is no reference in the operating licenses or
any related communication that the City of Saint Paul has reserved any rights to the alley portion of
the pazlang lot.
The parking lot (including the alley) was sold to Petitioner on 7uly 14, 1999. At that time,

Commonweaith Land Title Insurance Company researched the history of the alley and the
applicable law and concluded that the alley has been abandoned and no longer exists, in fact and
law. Commonweaith issued an owner's policy of title insurance to that effect. Nevertheless,
Petitioner's mortgage lender, U.S. Bank National Association, requested that the formal process of
vacating the alley be completed so that title to the alley would be cleaz from the recorded real estate
documents.
Petition to Vacate Public Interest
On July 27, 1999, Petitioner filed a Petition to Vacate Public Interest with the City of Saint Paul.
Petitioner owns 100 percent of the land abutting the a11ey to be vacated. No other private parties
own any land abutting the ailey to be vacated. ("Abutting" means contiguous with, bordering on or
touching. Op.Atty.Gen., 396-G-16, Oct. 22, 1958.)
On 7anuary 4, Z000, the City of Saint Paul Department of Technology and Management Services,
Real Estate Division, issued a proposed Resolution for the vacation of the a11ey and scheduled a
public hearing on the proposed Resolution before the City Council for 7axnzary 26, 2000.
Accompanying the proposed Resolution were written replies from the following 15 public
respondents:

Standards Governing Vacation And Abandonment of Public Rights-Of-Way
A public right-of-way may be vacated when the public interest will be served by such vacation
Minn. Stat. § 412.851; In re Baldwin, 15 N.W.2d 184 (1944). It is of no consequence that private

interests may also be served. In re Hull, 204 N.W. 534 (1925).
A public right-of-way may be vacated when it is no longer useful "for the purpose for which it was
laid out". Church of Sts Peter & Paul v Lake Geor�e Tw�., 89 N.W.2d 708 (1958).
A public right-of-way will be considered abandoned and a city will be "estopped" or prevented
from asserting its rights to such an abandoned public right-of-way if the following standards are
satisfied: .
(a) There has been a long-term non-use of the right-of-way by a city;
(b) Private parties in good faith believe that the city's use of the right-of-way has been
abandoned;
(c) Private parties have made valuable investments in the right-of-way; and
(d) Such investments have been been without objection by the city and with its
encouragement through the issuance of city permits.
Halverson v. Villa�e of Deerwood, 332 N.W2d 761 (1982); Citv of Rochester v. North Side
Corporation, 1 N.W.Zd 361 (1941).
If there has been an abandonment of a public right-of-way for 40 years or more, the Marketable
Title Act (Minn. Stat. § 541.023} would baz a city from claiming an interest in such right-of-way if
the city failed to file a statutorily-defined notice with the land records within such 40 years.
Ravenna Township v. Grunseth, 314 N.W2d 214 (1981).
Conclusion
The L-shaped alley requested to be vacated has not been used by the City or for any public purpose
for well over 40 year. Neither the City nor any public entity or uulity has any need for the ailey,
either at the present time or in the future. No utilities are located under, upon or above the L-shaped
alley. Indeed, a11 public agencies with an interest in the alley have affirmatively consented to the
vacation.
Petitioner meets all of the standards set forth in the Halverson and Citv of Rochester cases.
Therefore, pursuant to Minnesota case law and the Marketable Title Act, the City is estopped and
prevented from asserting the continued existence of the alley or from claiming any interest in the
ailey.
Vacating the alley is a housekeeping measure requested by Petitioner's lender so that the formal real
estate records confirm that the public interest in the alley has been extinguished. The City Council's
approval of the alley vacation will merely confirxn that the public interest in the a11ey e�ired over
40 years ago. Such approval would not be meant, nor would it be used by Petitioner, as evidence of
City approvai of any possible development proposal that might come before the City in the future.

Parking Lot shown on the attached reduced copy of a survey of the property, hereby petitions the
Council of the City of Saint Paul to vacate its interest in a pubiic alley located on part of the property.
The aliey to be vacated is highlighted on the attached survey and is legally described as follows:
The aliey in Joseph P. Dysart's Rearrangement of Lots 1 and 2, Block 23, Summit
Park Addition to St. Paul.
A certified ownership report prepared by Commonweaith Land Title Insurance Company is attached
to this petition and shows Victoria Plaza LLC as the sole owner of the property.
We request this vacation because the ailey was abandoned as an alley when it was combined into a
larger parcel in the late 1950s and has been used as part of a commercial parking lot since the mid-
1970s. Since the alley has served no purpose for more than 25 years, our lender has requested
that we vacate the alley to facilitate the consolidation of all the real estate tax parcels that make up
the Victoria Crossing Parking Lot.
Following the vacation, the alley will continue to be used as part of the Victoria Crossing Parking Lot.
