WHEREAS, The City through its Parks Department, now Community
Services Department, has maintained a collection of negatives of
photographs taken by City staff over period of years and these
negatives are currently being stored at the Como Park Office under
conditions which are adverse to proper storage and safekeeping; and
WHEREAS, The Ramsey County Historical Society has offered to
restore the negatives and store them under archival conditions and
provide the City with copies of 1, 000 prints or more with the City
reimbursing the Society in the sum of $4, 000.00 for this work per-
formed; now, theref ore, be it
RE50LVED, That the Council of the City of Saint Paul does here-
by approve agreement with the Ramsey County Historical Society pro-
viding for the restoration and storage of these negative images
fram the City's Como Park office under the terms and conditions as
set forth in said agreement, a copy of which� is attached hereto,
and the proper City officers are authorized and directed to execute
the agreement on behalf of the City of Saint Paul.

A G R E E M E N T
THIS AGREEMENT, Made and entered into this day of
, 1981 between R.AMSEY COUNTY HISTORICAL
SOCIETY, hereafter referred to as "Historical Society" , and
the CITY OF SAINT PAUL, hereafter referred to as "City" .
WHEREAS, City possesses at its Como Park office about 5,000
photo images of possible historical significance to the City and
County, but does not have the necessary expertise to restore,
classify and store the images; and
WHEREAS, Historical Society does possess this expertise and
is willing to assist City under the terms and conditions herein
set forth:
NOW, THEREFORE, HISTORICAL SOCIETY AND CITY DO HEREBY AGREE AS
FOLLOWS:
1.) Historical Society shall remove the entire image and
photographic-negative collection from its present location at
Como Park, thereby avoiding further deterioration and elimination
of a potential fire hazard. The images will be cleaned and
evaluated for historic content.
2. ) Historical Society shall identify the cellulose nitrate
film and place them in a separate and safe storage area.
3. ) Historical Society shall evaluate the photographs and
decide which ones to process for preservation. The criteria used
to select photos will be to identify photos which show people in
, . .
their everyday setting, involved in work, home and leisure
activities. Also of interest are photos which show the product
of such activities, such as buildings and machinery. Historical
Society will work with assigned City staff persons in making
these selections.
4.) About 1, 000 images will be selected for prir,ting, and
the City shall be provided with a copy of all prints which are
made from these images. Al1 cellulose nitrate film will be
destroyed after a copy negative on modern safety film has been
made.
5.) Historical Society shall retain ownership of the i.mages
obtained from City's Como Park office and shall store and care
for all of them (except for the cellulose nitrate film which may�
be destroyed) , and shall store them in recognized archival
conditions. Al1 images and photographs in this collection shall
be available to the City and the general public for viewing and
copying during normal business hours of the Historical Society.
6.) In consideration of the above services and for the
receipt of copies of all images printed (at least 1, 000) , the
City shall pay the sum of Four Thousand Dollars ($4,000.00) to
Historical Society upon the completion of the work specified in
this agreement.
7.) Historical Society shall obtain all necessary approvals
and permits from the State Historical Society and other State
agencies as may be required by law.
