RESOLUTION DECLARING INTENT OF THE COUNCIL .
OF THE CITY OF SAINT PAUL IN SUPPORT OF THE
DOWNTOWN AREA DISTRICT HEATING PROJECT
WHEREAS, by its Resolution, Council File 273375 adopted
July 24, 1979, the City Council approved the Articles of
Incorporation and By-Laws of the District Heating Development
Corporation (DHDC) formed for the purpose of designing and
constructing a hot water heating co-generation and distribution
system (District Heating) for the Downtown Area of Saint Paul
and by its Resolution, Council File 273374 adopted July 24,
1979 the City Council approved the provision by the City to
DHDC of staff and other assistance; and
wHEREAS, by its Resolution, Council File No. 274899
adopted May 8, 1980, the City Council authorized the Adminis-
tration working jointly with DHDC to solicit proposals for
underwriting long term financing of the District Heating
project, by its Resolutions, Council File 275570 and 275557
adopted September 4, 1980, the City Council authorized reten-
tion of bond counsel in connection with District Heating
financing and provided for interim funding of bond counsel
fees, and by its Resolution, Council File 276043 adopted
December 11, 1980 the City Council gave its consent to execu-
tion of an Investment Banking Services Agreement between DHDC
and a bond underwriting firm; and
WHEREAS, by Laws 1981, Chapter 334 the Legislature of the
State of Minnesota enacted legislation making provision for
State and local financing of District Heating projects in-
cluding revenue bond issuance by municipalities and municipal

redevelopment agencies, and pursuant to provision of said
Chapter 334 and of Minn. Stat. Chapter 474, DHDC has submitted
to the Housing and Redevelopment Authority of the City of Saint
Paul, Minne�ota (HRA) a proposal for HRA issue of up to
$40,000,000 in revenue bonds to finance design and construction
of Distriet Heating facilities to be operated by DHDC under
franchise issued by the City of Saint Paul; and
WHEREAS, on June 24, 1981, the Board of Commissioners of
the HRA conducted a public hearing upon DHDC's fa.nancing proposal
and adopted a resolution giving preliminary approval to DHDC's
proposal to undertake and finance construction of a Downtown
Distri,ct Heating project; and
WHEREAS, DHDC proposes to enter into an agreement with
Northern States Power (N5P) Company to purchase N5P's Third
Street Steam Plant and downtown steam distribution lines
operated by NSP under franchise from the City which agreement
would be ente�ed into on or before ,Tune 30, 1981, and would
provide for the purchase before June 30, 1981, assignment by
NSP of its non-exclusive steam franchise and assurnption by
DHDC of NSP obligations under Federal Court Order to abate air
pollution from the Third Street Plant; and
WHEREAS, certain further City aetions will be necessary to
implement this District Heating project and program including
consideration by the City Council of -
1) approval of an Urban Development Action
Grant Funding (UDAG) Agreement between
the City and the United States of America

providing financial assistance to the
District Heating Project with revenues
secured by commitment of tax increment
and district heating franchise fees;
Z) approval of a City Ordinance authorizing
HRA and Port Authority participation
under Chapter 334, Laws 1981 in District
Heating project financing;
3) approval of a City-DHDC user contract
for provision of hot water heating in
City owned buildings in the Downtown Area;
4) approval of NSP's assignment of its non-
exclusive steam franchise ordinance to
DHDC or its affiliate, or issuance of a
new, non-exclusive steam franchise; and
5) approval of a hot water heating franchi.se
ordinance to DHDC in accordance with pro-
vision of Chapter 16, Saint Paul City
Charter and Chapter 334 , Laws 1981; and
WHEREAS, the City Council desires to express its intent to
continue City cooperation and assistance to DHDC in undertaking
the Downtown Area District Heating project, Now ThErefore, be
