RESOLUTION DESIGNATING THE PORT AUTHORITY
OF THE CITY OF SAINT PAUL AS THE ADMINIS—
TRATOR OF THE ENERGY PARK DEVELOPMENT
DISTRICT (DEVELOPMENT DISTRICT NUMBER 3)
CREATED BY THE CITY OF SAINT PAUL PURSUANT
TO MINNESOTA STATUTES CHAPTER 472A
WHEREA5:
a) Minnesota Statutes, Chapter 472A (the "Act") allows
cities to create development districts and develop
programs for their improvement pursuant to the Act;
and
b) Section 472A.10 of the Act allows a city to designate
a port authority or a housing or redevelopment
authority to administer a district created by the
city under the Act; and
c) The Council of the City of Saint Paul by Resolution
Council File Number 275852 adopted October 23, 1980
did designate the Housing and Redevel.opment Authority
of the City of Saint Paul, Minnesota ( "HRA") to
administer all development districts now in place,
or hereafter to be created by the City of Saint
Paul ("City") pursuant to the Act; and
d) The City Council now determines that it is more
advantageous to appoint the Port Authority of the
City of Saint Paul ("Port Authority") to be
the Administrator of the Energy Park Development
Di�trict because the Port Authority has created an

Industrial Development Distriet in Energy Park
pursuant to Minnesota Statutes, Chapter 458 and
is currently heavily involved in the creation
and financing of Energy Park.
NOW THEREFORE, BE IT RESOLVED by the Council of the City of
Saint Paul as follows:
1. That the Council Resolution (Council File 275852)
appointing the HRA as administrator of all development districts
is hereby amended to exclude from its scope the Energy Park
Development District (Development District Number 3) .
2 . That the Port Authority is hereby designated to
administer the Energy Park Development District (Development
District Number 3) on behalf of the City.
3. To enable the Port Authority to effectively carry out
its duties as administrator the following powers are granted to
the Port Authority pursuant to 5ection 472A.1U of the Act:
(this listing of powers is not intended to limit the other
powers of the Port Authority derived from any other law. )
(a) To acquire property or easements through
negotiation;
(b) To enter into operating contraets on beh�lf
of the municipality for operation of any of
the public facilities authorized to be
constructed under the terms of the Act;

(c) To lease space to private individuals or
corporations within the buildings constructed
under the terms of the Act;
(d) To lease or sell land and to lease or sell air
rights over structures constructed under the
authority of the Act;
(e) To enter into contracts for construction of
the several facilities or portions thereof
authorized under the Act;
(f) Certify to the City for acquisition, pursuant
to the Act,through eminent domain, property
that cannot be acquired by negotiation, but is
required for implementation of the Energy Park
Development Program;
(g) Certify to the City the amounts of funds, if any,
which should be raised through the sale of tax
increment revenue bonds or notes (consistent
with the City' s debt policy) to finance the
Program for the Energy Park_ Development District.
(h) Certify to the City the amount of funds from tax increment
which the Administrator requires to finance, and which the City
shall provide for, the construction of public facilities in
the Development District in accordance with the Development
Program and Finance Plan.
