RESOLUTION CREATING MINNESOTA 5TATUTES SECTION
472A.11 ADVISORY BOARD FOR THE PROPOSED ENERGY
PARK DEVELOPMENT DISTRICT AND APPOINTING MEMBERS
THERETO.
WHEREAS�
aa Minnesota Statutes Chapter 472A (the "Act"a allows
cities to create Development Districts and develop -
programs for their improvement pursuant to the Act;
and
b� Section 472A.11 of the Act requires cities of the
first class to create an Advisory Board for each
such proposed Development District and to consult
with the Advisory Board prior to the creation of
the Development District; and
c� The City of Saint Paul has been presented with a
proposed program contemplating the creation of the
Energy Park Development District, a Development
District which is not substantially residential at
the time of the creation of the District as defined
by Section 472A.02, Subd. 4, of the Act;
NOW, THEREFORE, BE IT RESOLVED By the Council of the City of
Saint Paul as follows :

l. An Advisory Board consisting of seven members for the
proposed Energy Park Development District is hereby
created, four of the members shall be owners or occu-
pants of real property located within the proposed
district and three others. The Advisory Board shall
advise the City and the District Administrator (the
Port p•uthority of the City of
Saint Paul, Minnesota) on the planning, construction
and implementation of the development program, and
maintenance and operation of the district after the
program has been completed.
2. The term of office for each member of the Advisory
Board shall be two years.
3. The Advisory Board shall elect its own officers and
prepare its own By-laws and Rules, not inconsistent
with this resolution, which it feels are required for
its operation.
4. The staff of the Department of Planning and Economic
Development shall make recommendations to and assist
the Advisory Board and the District Administrator as
required.
5. Following its creation, the Advisory Board shall meet
to review and prepare recommendations regarding the
Development Program. These recommendations shall be
forwarded to the District Administrator and the City
Council for review prior to the City Council ' s adoption
of the Development Program.
6. Subsequent to the adoption of the Development Program,
the Advisory Board shall hold a meeting on the first
Wednesday of each quarter until all of the construction
activities undertaken in accordance with the Development
Program have been completed to monitor the implementa-
tion of the Development Program and the progress of the

construction activities.
7. After the completion of the construction phase, the
Advisory Board shall meet annually on the first
Wednesday in June to monitor and advise the District
Administrator of the ongoing operations of the district.
8. In the event of a conflict between the Advisory Board,
the District Administrator and/or the Planning Commis-
sion, the parties shall submit their recommendations in
writing to the City Council at its next regularly
scheduled meeting and the City Council shall render its
decision regarding the conflicting recommendations
within thirty (30� days and the decision of the City
Council shall be binding upon all parties.
9. The Saint Paul City Council hereby appoints the follow-
ing persons to serve on the Energy Park Development
District Advisory Board:
Mr. Stephen Wellington, or his designee, representing the City of
Saint Paul;
Mr. John Briscoe, or his designee, representing AHW, Inc. ;
Mr. Eugene Kraut, or his designee, representing the Port Authority
of the City of Saint Paul;
Mr. Robert Morris, or his designee, representing Control Data Corporation;
Mr. Merrill Robinson, representing Council 46;
Mr. William Heustis, representing Council 46; and
NL'C. Mark Voerding, alternate rep�ess�ta,tive of (�ouncil 46%

PURP05E AND RATIONALE I'dR Z'HIS ACTION:
M.S. 472R, the Municiapal Development District Act, requires establishment
of an Advisory Board for each such district. This Advisory Board would
have four members representing land owners or occupants in Energy Park
(City, Port, CDC, Wilder) and three membess of Council 46.
