RESOLVED, That the Council of the City of Saint Paul does
hereby approve 30 year Lease Agreement between the City and the
Port Authority of the City of Saint Paul whereby the City would
obtain the use of Port Authority property for the purpose of
storing street lighting poles and related equipment subject to
the terms and conditions set forth in the said Lease Agreement
and for consideration of the sum of One Dollar ($1.00) as total
rental, and the proper City officers are authorized and directed
to execute the Lease Agreement on behalf of the City of Saint Paul.

THI5 LEASE, Made and executed this ��L� day of �1?")��: � ���,
1981, be�ween the PORT AUTHORITY OF THE CITY OF SAINT PAUL
("Authority" ) , a Minnesota body corporate and politic, and the CITY
OF SAINT PAUL, a Minnesota municipal corporation ( "Tenant" ) ;
AUTHORITY AND TENANT AGREE AS FOLLOWS :
I.
LEASED PREMISES, DESCRIPTION AND TERM
Authority hereby leases to Tenant that certain tract of land
( "Leased Premises") described in Exhibit A attached hereto, togeth-
er with easements and appurtenances thereto, subject to existing
encumbrances, for a term beginning on March 15, 1981, and ending
on March 15, 2011, unless sooner terminated as hereinafter provided,
subject to all of the terms, covenants, and conditions set forth
in this Lease.
II.
RENTALS
Tenant hereby agrees to pay to Authority, receipt of which
is hereby acknowledged, the sum of One Dollar ($1.00) as total
rental.
III. �
USE
The lease by Authority of the Leased Premises is specifically
subject to the rights, easements, and restrictions of record or
otherwise imposed on said premises by any agency or bureau of the
United States Government, State of Minnesota, or the City of Saint
Paul, and Tenant hereby covenants and agrees to comply with such
rights, easements, and restrictions and obtain any necessary auth-
orization or permit from such ag�•ncy or bureau prior to proceeding
with construction on the Leased Premises herein authorized. In

particular, Tenant acknowledges that �ts use and possession of
the leased premises is subject to the terms and conditions of the
easement running in favor of the State of T�:innesota for highway
purposes , attached hereto and rr.ade � part hereof as Exhibit B .
Tenant shall have the right to use the Leased Premises for the
sole purpose of storage of street lig::tfng poles and related
equipment.
Tenant agrees not to use or allow the use of the Leased Prem-
ises or any part thereof for any purpose or use other than herein
provided, or in violation of any 1aws, zoning or other ordinances,
or in any manner that will constitute a legal nuisance, or in any
manner that will violate, suspend, void or make inoperative any
policy or policies of insurance of any kind whatsoever at any time
carried on the Leased Premises .
Tenant agrees at all times during the term of this Lease to '
keep the Leased Premises in a sa£e, neat and clean condition.

IV.
REPAIRS AND MAINTENANCE
Tenant sha11 at all times repair and maintain the premises in-
cluding improvements, even though not named herein specifically, in
good order, repair, and condition at its own expense.
Tenant shall at its sole cost and expense maintain all walls,
fences, and other improvements existing on the Leased Premises on
the commencement date and construct such additional ones as may
become reasonably necessary to prevent property being stored on
the Leased Premises from intrudiizg upon property adjoining the
Leased Premises .

Authority shall not be required to make any expenditures what-
soever in connection with this Lease or to make any repairs or to
maintain the Leased Premises in any way during the term of this
Lease.
V.
INDEMNITY
Authority sha11 not be liable to Tenant or to any other per-
son or persons for or on account of any injury, death, or damage
occasioned in, on or about the Leased Premises to persons or
prope�ty of any nature or sort whatsoever or wheresoever arising, �
or for or on account of any death or any injury to persons or
property that may result by reason of any future lack of repair
of the Leased Premises, or from the use, misuse, or nonuse of the
Leased Premises or improvements thereon or at any part thereof,
any equipment, furnishings, or fixtures therein, or apparatus �
thereof by any person lawfully or unlawfully upon said premises,
or by or from any act, omission, or neglect of any such person, or
by or from the acts of tenants of adjoining or contiguous property,
or in any manner whatsoever growing out of the future condition or
use of the Leased Premises or improvements or any part thereof.
Tenant covenants and agrees to indemnify and hold Authority harmless
from and on account of any and al1 loss, damage, claim of damage,
liability, expenses, costs, and attorney' s fees arising out of,
resulting from, or incurred in connection with the matters or
things hereinbefore specified, and from and against any and all
damage or liab�lity arising from any accident or any occurrence
causing injury or death to any person or damage to any property
whomsoever or whatsoever and due directly or indirectly to the use,
misuse, or nonuse by Tenant or any of its agents, contractors,
servants, employees, or licensees or the condition of the Leased
Premises or any part thereof or any appurtenances or equipment
thereof or therein, or arising out of any failure of Tenant in any
respect to comply with any of the requirements or provisions of
this Lease.
VI.
UTILITIES
Tenant agrees to pay for all utilities and other services used
in, on, or about the Leased Premises during the term of this Lease,
including but not being limited to electricity, water, sewer, gas,
telephone, lighting, and garbage and rubbish removal.

REMEDIES
If Tenant should fail to remedy any default in the payment of
any sum due under this Lease or fail to keep or perform any of the
other provisions, covenants, or conditions of this Lease to be
kept or performed by Tenant within a period of thirty (30) days
after written notice to Tenant specifying such default, then and
in either event, Authority may at its option and without limiting
Authority in the exercise of any other right or remedy it may have .
on account of such default and without any further demand or
notice:
(a) Declare this Lease at an end, reenter the Leased
.Premises withor without process of law, eject all
parties in possession thereof therefrom, and re- �
possess and enjoy said premises together with all
additions, alterations, and improvements thereto.
(b) Cure any such default and charge the cost thereof
to Tenant.
(c) Exercise any other remedy permitted by law.
VIII.
NOTICES.
All notices, demands, consents or requests which may be or are
required to be given by either party to the other sha11 be in
writing.
IX.
ASSIGNMENT AND SUBLETTING
This Lease shall not be assigned nor shall the Leased Premises
or any part thereof be sublet, used, or occupied by any other per-
son, corporation, partnership, or other organization without Tenant
first obtaining the written consent of Authority thereto, expressed
in a resolution adopted by its Commissioners.

X.
ACCESS
Authority or its nominee or nominees sha11 at all times during
usual business hours have the right to enter upon the Leased
Premises to inspect the same, to make reasonable and necessary
repairs thereon for the protection and preservation thereof, to
make reasonable and necessary repairs to any improvements in, on,
or about the Leased Premises, and to cure any defaults of Tenant
hereunder; but nothing herein shall be construed to require �
Authority to make such repairs or to cure such defaults.
XI.
SURRENDER OF PREMISES
Tenant sha11 upon the expiration or earlier termination of
this Lease surrender to Authority the Leased Premises, including
all improvements then upon the Leased Premises, in good condition
and repair, reasonable wear and tear excepted.
In the event that Tenant shall hold the Leased Premises after
the expiration or termination of this Lease with the consent of
Authority, exp�essed or implied, such holding over shall, in the
absence of written agreement on the subject, be deemed to have
created a month-to-month tenancy terminable on thirty (30) days '
notice by either party to the other, and otherwise subject to all
of the terms and provisions of this Lease.
XII.
EMINENT DOMAIN
In the event the Leased Premises are taken by eminent domain,
this Lease shall terminate.

COVENANTS AND RESTRICTIONS
� RUNNING WITH THE LAND IN
RIVERVIEW INDUSTRIAL PARK
A. Development and use of land and construction of buildings thereon
shall be in accordance with the existing or amended building
ordinances and zoning regulations of the City of S.aint Paul
applying to the operation of li�ht manufaeturing plants.
B. Setback areas as provided in the over-all development plan, designed
by Forrest and Cotton and attached hereto as Exhibit A, shall be �
carefully adhered to. Required setbacks are f ifteen (15) feet
on Fillmore Avenue . arx� f�e�xx��q
C. Al1 parking, loading and unloadino must be off the street. �
D. Development plans and architectural drataings shall be submitted to
the Authority for approval before proceeding with the development
plans. It is understood that the Authority will not unreasonably
withhold approval of plans and specifications so long as they
conform to the restrictions and coven�nts herein.
E. In planning the use of property, it is required that at least twice
as much land be reserved than will be needed for buildino, or a
lesser amount on15� by agreement with the Authority.
F. No noxious or offensive trade or activitv shall be conducted upon
the Demised Premises nor shall anything be done thereon ��hich shall
constitute a public nuisance by reason or the unreasonably excessive
emission of odors, dust, fumes, smoke or noise.
G. The Demised Premises shall not be used for automobile ti�recking
purposes.
H. The Demised Premises shall not be used =or the storage of salvage,
used materials, �aaste paper, scrap paper, rags, scrap metal,
bottles or junk, unless the area so used is reasonably concealed
by appropriate walls or fences from view from the adjacent streets
and from adjacent property which is oc,�ned or occupied by persons,
other than the Company. Any and all outdoor storage shall be
appropriately screened fror� vie�a.

T. That portion of the Demised Premises which is loeated within
fifty (SO) feet of any public highway shall not be used for the
storage of iiquids, including gasoline or petroleum products,
unless the area so used is reasonably concealed by appropriate
walls or fences from view from the adjacent streets and from
adjacent property which is owned or occupied by persons, other
than the Company, or unless the same are stored underground.
J. No buildir�s, outbuildings, loadir� areas, fences, walls, or
other structures or improvements except driveway, sidewalks, signs,
and landscaping shall be constructed on the Demised Premises closer
than fifteen (15) feet to Fillmore Avenue . ��g�
- fx�c� Said areas of limited use are
herein referred to as "setback" areas. Said use restrictions,
however, shall relate only to structu^es and improvements above
the approximate level of adjacent public street or streets;
buildings, outbuildings and other such structures and improvements
may be constructed within the said respective setback areas pro-
vided same are constructed below the approximate level of the
adjacent public street or streets and are not visible from without
the Demised Premises.
K. Plans for landscaping setback areas shall first be approved in
writing by the Authority and, after construction thereof, Company
shall maintain the same in a reasonable condition and in a reason-
able state of repair. Al1 setback areas shall be landscaped, and
all boulevard areas shall be graded and appropriately seeded or
sodded and maintained.
L. Company shall have the right to erect signs on the Demised Premises,
but only for the purpose of advertisino or identifying its name,
business and,/or products or the name, business and/or products of
its assignee or sub-tenant or of other persons or corporations
lawfully occupying the Demised Premises or a part thereof. How-
ever, the total area of all such signs on the Demised Premises
which is visible from any one location situa-ted without the Demised
Premises shall not exceed one h,.uidred fifty (�150) square feet of
space. One sign not to exceed forty-five (45) square feet and
projecting not more than thirty-six (36) inches above the land-
scaped setback area shall be permitted within the fifteen (15)
foot setback area on Fillmore Avenue . Arx�lxec

do not comply with applicable laws or ordinance and no signs shall
. be attached to a building unless so erected that they do not extend
above the eaves line of such building. Provided, however, that in
addition to the foregoing sign or signs, Company may erect an
additional sign, containing no more than thirty-two (32) square
feet of advertising space for the purpose of offering the premises
or a portion thereof for lease.
M. The outside walls of any and all buildings or other structures
erected or constructed on the premises shall be of fireproof
material and shall be of brick, stone, concrete block, hollow tile
or such other fireproof material as has been approved in writing �
by the Authority for use on these premises. Outside walls fronting
on Fillmore Avenue �x'�c shall be of brick
facing or equivalent construction. No all metal clad buildings will
be permitted.
N. No less than one off-street parking space shall be provided for each
one thousand (1,000) square feet of floor area in any building con-
structed or erected upon the property. Grantee shall provide off-
street parking for all employees and visitors. Any off-street
parking space shall mean an area of not less than one hundred eighty
(180) square feet (measuring approximately nine (9) by twenty (20)
feet) not in a public street or alley, surfaced with an all-weather
surface and provided with a surfaced drivecaay connectino the parking
space with a street, alley or easement permitting free ingress and
egress. Such parking space shall be located on the property except
that in the event the ovmership of the above described property is
merged with the ownership of a:�y adjoinir� and contiguous propert��,
then this restriction and covenant shall be applicable to all of
the property so merged in one o�ti*nership, the same as though one
deed had been executed covering all of such property.
