RE50LVED, That the proper City officials are hereby authorized
and directed to execute a Lease Agreement for the rental of office
space at the Lexington Branch Library for the use by the Saint
Paul Foundation, said office space to serve as housing for staff
and the furtherance of the co-sponsorship by both the City and
Foundation in the Literacy 85 Programs; a copy of said Lease
Agreement to be kept on file and of record in the Department of
Finance and Management Services.

A G R E E M E N T
AN AGREEMENT, Dated this 9th day of February, 1981, by and
between the CITY OF SAINT PAUL, Minnesota, hereinafter called
"City", and the SAINT PAUL FOUNDATION, 1120 Northwestern National
Bank Building, Saint Paul, Minnesota, 55101, hereinafter called
"Foundation";
WITNESSETH:
IT IS MUTUALLY AGREED BY AND BETWEEN THE CITY AND FOUNDATION
AS FOLLOWS:
1. That in consideration of the benefits to be incurred by
the City and its citizens from a project known as the "Literacy
85 Programs" as promoted by the Foundation, the City will:
a) Provide to the Foundation for its use approx-
imately 300 square feet of office space on the second
floor of the City' s Lexington Branch Library;
b) Provide custodial services and utilities for
the office space; and
c) Provide keys and access to City staff rooms
and coffee services.
2o That the Foundation will:
a) Provide, at its own expense, sound partitions
to divide its office space from that of the City;

b) Provide, at its own expense, such furniture,
office equipment and telephones, with answering .
service, as may be needed by the staff serving the
Literacy 85 Programs; and
c) Obtain the prior approval of the City as to
the compatability of the items described in Paragraphs
a and b above with the City' s space.
3. That at all times hereunder, the Foundation and its
agents and employees assigned to the Literacy 85 Program are
independent contractors, and shall not be regarded as employees
of the City and, further, the Foundation will defend, save and
hold harmless the City from any and all claims that may arise out
of its use hereunder, including those of its invitees, permittees,
and licensees, unless said claim or claims are adjudicated to
have been caused by the sole negligence of the City. _
4. That general rules of conduct applicable to City_ employees
shall also be applicable to those employees of the Foundation as
are assigned to work in said office space.
5. That this Agreement may be terminated without cause by
either party upon :sixty (60) days ' written notice of one party to
the other.
