1 WHEREAS, a cable franchise for the City of Saint Paul is held by MediaOne, Inc., hereinafter referred to as
2 "MediaOne;" and
3 WHEREAS, pursuant to that franchise, at Article III, Section 304 (a)(3), MediaOne is required to make a 2000
4 capital payment equivalent to $630,000 in 1997 dollars ($660,563); and
5 Wf�REAS, pursuant to Article III, Section 302 (a)(3), if MediaOne has a valid and binding contract with an errtity
6 designated to manage any public access channel, the City may authorize MediaOne to offset amounts owed under
7 Section 304 (a}(3) by amounts it pays undex that contract; and
WI�REAS, MediaOne has a valid and binding contract with Cable Access Saint Paul, Inc., d/b/a the Saint Paul
Neighborhood Network, hereinafter referred to as"SPNN; ' and
10 Wf-IEREAS, the City may agree that MediaOne may offset any amount it pays under such contract against paymems
11 required under Section 304 (a)(4) and the Ciry may establish offset limits by resolution; and
12 WHEREAS, the City finds that it is in the public interest to allow such offset, and that it will enhance the services
13 available to the residents and public and educational institutions of the City; and
14 \�HEREAS, the contract pursuanY to which the payments will be made is bintling on SPNN's successors and assigns,
15 and payments are to be made to whatever organization is the entity responsible for managing public and educational
16 access, so that the funds will accrue to the benefit of the public generally, and not just SPNN; now, therefore, be it

4 FURTf�R RESOLVED, MediaOne sha11 provide to the Ciry a statement showing amounts paid to SPNN within 10
5 days after such payment is made, so that the Ciry may detemvne that the offset is being made properly.
