THIS AGREEMENT, is made and entered into this ��day of ��'E � by and
between CITY OF SAINT PALJL, a municipal corporarion of the Sate of IvTinnesota, hereinafter
refened to as "TF� CITY," and CABLfi ACCESS - SAINT PAL3L, INC., a non-profit
corporation incorporated under the laws of the State of Mim�esota, dlb/a SAINT PALTL
NEIGHBORHOOD NETWORK, hereinafter referred to as "SP1VN."
WHEREAS THE CITY has a need for service of the playback of live and taped
programming on the cable subscriber system for the City Channel 18; and
WHEREAS SPNN wanants that they have staff, expertise, equipment and other resources
as needed to provide this service; and
WF�REAS it is deemed in the best interests of THE CITY to contract for this service;
NOW THEREFORE, IT IS MLJTUALLY AGREED by and between TF� CITY and SPNN as
follows:
l. That services provided by SPNN will include the foliowing:
a. Conducting live and taped playback of all City programming on Channel 18 at a
schedule established by TF� CITY and in formats established by THE CITY;
b. Printing, or anange for printing, and distribute monthly schedules of programs
cablecast on Chaiviel 18. At least 2,000 schedules will be distributed each month.
c. Providing to the City's Cable Communications Officer written monthly program
log reports due ten (10) days afer month end, stating the following;
i, Total hows of Channel 18 playback for the month.
ri. Hours of supervised playback,
iii. Hours of unsupervised playback.
iv. Piayback problems and resolutions.
v. Equipment maintenance performed, routine and other.

2. That TF� CITY reserves the right to inspect, at any time, the condition of equipment
being used to playback Channel 18;
3. That SPNN shall not proceed with any unscheduled programs without specific direction
from the Video Production Coordinator or the Cable Communications Officer with TFIE
CTTY;
4. That SPNN will notify the Office of Cable Communications of any playback problem upon
discovery or as soon thereafter as possible;
5. That THE CITY witl provide in a timely manner playback schedules and tapes to SPNN,
and w'sll exercise reasonable caze in the prepazation of tapes for playback;
6. That total monies paid to SPNN under this contract shall not exceed $8,500 annually to be
billed in quarterly installments with the first installment being payabie upon the approvai of
this contract and quarterly thereaRer;

7. That TF� CITY and SPNN agree that the total monies paid to SPNN include all expenses
incuned by SPNN for performing the seroices specified in this contract;

9. That nothing in this agreement shal] be construed as limiting the right of SPNN or TSE
CITY for the affiliation or contracting with other institution, agency, or person for like
work or services while this agreement is in effect;
10. That SPNN will hold TI� CITY har�xiless from any claim arising out of the playback of a
live or taped program;
1 I. That this agreement may be terrninated by THE CITY with or without cause upon thirty
(30) days written notice. Charges wluch have accrued for senrices rendered shall survive
any temunarion of the agreement; and
12. That any alterations, variations, modifications, waivers, or provisions ofthis agreement
shall be valid only when they have been reduced to writing, fully signed, and attached to
the original of this ageement.

CABLE ACCESS - ST. PAUL, INC.

and the

THIS AGREEMENT, is made and entered into this ��day of ��'E, Z� by and
between CITY OF SAINT PAiTL, a municipal corporation of the Sate ofMinnesota, hereinafter
referred to as "TI-� CITY," and CABLE ACCESS - SAINT PAUL, INC., a non-profit
corporation incorporated under the laws of the State of Minnesota, d(b/a SAINT PAIJL
NEIGHBORHOOD NETWORK, hereinafter referred to as "SPNN."
WF�REAS THE CITY has a need for service of the playback of live and taped
programuiing on the cable subscriber system for the City Channel 18; and
WHEREAS SPNN warrarns that they have staff, expertise, equipment and other resources
as needed to provide this service; and
WHEREAS it is deemed in the best interests of THE CTTY to contract far this service;
NOW THEREFORE, IT TS MLTTUALLY AGREED by and between THE CITY and SPNN as
follows:
1. That services provided by SPNN will include the following:
a. Conducting live and taped playback of all City programming on Channel 18 at a
schedule established by THE CITY and in formats established by THE CITY;
b. Printing, or arrange for printing, and distribute monthly schedules of programs
cablecast on Channel 18. At least 2,000 schedules will be distributed each month.
c. Providing to the City's Cable Communications Officer written monthly program
1og reports due ten (10) days afer month end, stating the following;
Total hours of Channel 18 playback for the month.
ii. Hours of supervised playback.
iii. Hours of unsupervised playback.
iv. Playback problems and resolutions.
Equipment maintenance performed, routine and other.

That Tf� CITY reserves the right to inspect, at any time, the condition of equipment
being used to playback Channel i S;
3. That SPI�]N shall not proceed with any unscheduled programs without specific direction
from the Video Production Coordinator or the Cable Communications Officer with TI�
CITY;
4. That SPNN will notify the Office of Cable Communications of any piayback problem upon
discovery or as soon thereafter as possible;
ThaC THE CITY will provide in a timely manner playback schedules and Yapes to SPNN,
and will exercise reasonable caze in the preparation of tapes for playhack;
6. That total monies paid to SPNN under this contract shall not exceed $8,500 annually to be
billed in quarterly installments with the first installment being payable upon the approval of
this contract and quarterly thereafter;

That THE CITY and SPNN agree that the total monies paid to SPNN include all expenses
incurred by SPNN for perForming the services specified in this contract;

9. That nothing in this agreement shall be construed as limiting the right of SPNN or THE
CITY for the affiliation or contracting with other institution, agency, or person for like
work or services while this agreement is in effect;
10. That SPNN will hoid THE CITY harmiess from any claim arising out of the playback of a
live or taped progam;
11. That this agreement may be terminated by THE CITY with or without cause upon tlurty
(30) days written notice. Charges which have accrued for services rendered shali survive
any temunation of the agreement; and
12. That any alterations, variations, modifications, waivers, or provisions of this agreement
shal] be valid only when they have been reduced to writing, fizlly signed, and attached to
the originai of this agreement.
