River Corridor Critical Area Plan - Amendments Since the EQB's directive of February 21 , 1980 to St. Pau1 to modify the recommend�tions for barge fleeting in the city's Critical Area Planfthe City Planning Commission anc� City Council have been diligently meeting a�ith various interest.groups and government agencies to address the concerns raised by the EQ6. I�has been a particularly difficult task, given the complexities of issues and cast of characte�s that are evident: Nlany times the recommendations were reconsidered, redrafted and reanalyzed. As you are aware, the Planning Commission's July 1980 recommEndations for amendments to the Plan were not felt to be adequate by EQB officials. In the interim period, city staff have met with EQB officials in efforts to clarifi . the EQB.'s concerns, feelings and particular positions regarding ho�v to appropriate�y �' - address this issue. I am hopeful that a solution that is satisfactory to a71 ' "�� _ concerned can be forged from these very productive exchanges. Consequently, I am reconvnending an alternative set of amendments to the River Corridor Plan. I feel these will directly and adequately address the concerns o the EQB. In presenting alternative amendments, I would like to emphasize a number af points for your consideration: �, I strongly believe that the city's and the EQB's overall intentions for fleeting proposals in St. Paul are the same. That is, whatever fleetin� takes plac:e _ should be under�Caken only after a complete environmental analysis and a total understanding of and commitment to whatever is necessary to mitigate adverse impacts identified by the environmental analysis. I would add that this approach applies to all recommendations in the River Corridor Plan, and not simply to fleeting proposals. However, we all recogni�e the sensitive nature of the Piq's Eye area in general , and the fTeeting propo�al at river mile 834.0 in particular. Consequently, we should be making special efforts to insure that all environmental concerns of this particular basin proposal and site are adequately addressed. ' 2, The city recognizes that the preparation of a camplete Environmental Impact - Statement on a fleeting basin at mile 834.0 is the only way to analyze envirorimenta'! : impacts to the satisfaction of numerous state a:�d federal requlations and ' local concerns. While it appears that the ultimate responsi6ility for this effort lies with the city as the project proposer, we would arelcome efforts by any responsible agency to coordinate a complete environmental assessment program. We sho�ld, therefore, ask the EQB to exercise its authority to designate such a responsible agency to prepare the EIS. � ,;., . ,r , . . _2_ .. � - - , Consequently, I am suggesting that we forthrightly state this request in our River Corridor Plan (see paragraph 3 of the attached appendix). This should make it clear that the city intends that all environmental concerns be studied. If adverse impacts cannot be mitigated, the basin proposal should not and ari11 not be pursued. 3. The EQB also appeared concerned that St. Paul had not evaluated alternatives to this fieeting basin prior to recommending it. A review of alternatives to this proposal is obviously necessary, but in St. Paul we are limited by _ the functional scope of the River Corridor Plan and by our geographic jurisdictions. Consequently, the only a'iternatives we can evaluate are other barge flee.ting sites within the city limits. This we have done. Please note that the EQB, the Metropolitan Council , and the Upper hlississippi River Basin Commission are all in the process of analyzing fleeting pressures in the Twin Cities and the entire reach of the Upper Mississippi River. Consistent with our stated �iver corridor policies, city staff and citizens are actively participating in these needed studies. I am hopeful that they will lead to identification of acceptable fleeting sites and fleeting alternatives throughout the region. In the meantim�, we have identified where fleeting is appropriate in St. Paul . aJe feel there can be additional� fleeting at a few, unobtrusive locations �n the city. By no means would these locations "replace" the proposed basin at mile 834.0. Nowever, they can help somewhat to alleviate a fleeting demand that has been identified, and wou1d exhaust all viable fleeting alternatives to this basin that exist within the City of St: Paul. Therefore, I ar� recor.�nendi ng that i n the Ri ver Corri dor �Pl an ��e speci fy exactly where fleeting is appropriate, in what configuration, and under rrhat conditions the city vrould encourage it. By doing so, the EQB should understand that we have thoroughly analyzed the appropriateness of fleeting at all potential sites in the city. I believe that the language I recommend in paragraphs .4 and 5 of the attached appendix will do this. . 4. I also recognize that the EQB is anxious to review, comment and participate in the determination of the environmental implications of the fleeting proposal as it is developed. There are many va�id opportunities that exist in the stuc#y and implementation process for the EQB to interject itself into the revie�r and approval of the proposal : � - Minnesota Statutes, Chapter 116C.14, Subdivision 2, granting EQB authority to review programs of state agencies that significantly affect the environment; to coordinate those it determines are interdepartmental in nature; to insure agency compliance ►�vith state environmental policy; and to review enviranmental regulations and criteria for granting and denying permits by state agencies. - Minnesota Statutes, Chapter 116D.04, Subdivision 9, granting EQB authority! to delay, revise or modify implementation of an action or �roject tvhere. it finds that the action or project is inconsistent with State Environmen�al � Policy. . �. . \ � � � , . , • . .. • y - . . . . _�_ . ' . � . � - Minnesota Rules 6 MCAR Section 3.029, granting EQB authority ta review any fi nal E S to eterm�ne whet er the procedures and policies of the Minnesota Environmental Policy Act have been adequately complied with and to identify. improvements or additions necessary for EQB acceptance of the final EIS: "The EQB sha11 make a final decision on the adequacy of the final EIS prior to any governmental approval of the action." - Finally, note that the Governor's Executive Order designating the River Corridor Critical Area requires that "Two years after (EQS's) initial approval of the plans and regulations, local units of government. . .sha11 ' resubmit their plans and regulations with any recorrriended changes th�reto, � for review and approval by the EQB." (Standards and Guidelines for Preparinq � Plans and Regulations, g E.2) It, therefore, appears to us that the EQB will have ample opportunity to review, corr�nent and determine the appropriateness of the fleeting proposal and the River Corridor Plan's recorr�nendation for it. Consequently, we do not see the ne�d nor advisability of encumbering the EQB �rith yet another review of our plan to amend it after environmental ir�pacts have been assessed. L•lith these points in mind, I recoi*mjend that we respond to the EQ8 directive by adopting the attached amendments ta the August 1979 version of the St. Paul Mississippi_ River Corridor Plan. City Planning staff will be available to review and discuss these recommendations with you at any time. It also includes an explanation of the issues involved in the acquisition and proposed use of Pig's Eye as a passive park. Part I of the report gives the background information describing how the Mississippi River was designated a critical area. Part II of the report gives the positions of the parties involved in the Pig's Eye area acquisition and discusses the proposed additional barge fleeting at the peninsula. Part III outlines the various governmental reviews of the St. Paul Mississippi River Corridor Plan and, specifically, the Pig's Eye section of the plan. Part IV contains conclusions stating where the negotiations are as of this date, and offers recommendations for a solution to the impasse. � The appendixes present maps of the area, a chart showing the break- down of ownership of the land, and an in-depth analysis prepared by the Ramsey Soil and ldater Conservation District. Ramsey Soil and Water Conservation District - Analysis of dredging at peninsula. . . . . . . . 13 • i ' 111 • INTRODUCTION Pig's Eye is a 1 ,268 acre regional park site situated in the heart of an industrial area near downtown St. Paul in the south central section of Ramsey County. The site is bounded on the north by Highway 61 , on the east by Red Rock Industrial District, and on the west by the Metropolitan Waste Control Commission Sewage Plant (See Appendix B) . The proposed site of Pig's Eye Park serves as a natural habitat for wading birds, waterfowl , songbirds and sma11 mammals. It is the site for the upper Midwest's largest and most important metropolitan heron and egret rookery. The colony consists of over 2,000 great blue herons, great egrets, black-crowned night herons, yellow-crowned night herons, and little blue herons. According to the St. Paul Audubon Society and the Department of Natural Resources, the Pig's Eye site is the only one in Minnesota with this species composition. In 1970, Ramsey County disclosed their interest in this site by including it in their Open Space Master Plan. The Metropolitan Council supported Ramsey County's plan and designated Pig's Eye as a . possible site for a regional park. Pig's Eye Lake, situated within the site, is classified by the State of P�innesota as a public water, making it public property. The • land, however, remains the private property of the St. Paul Port Authority. � This site became affected by action taken by Governor Wendell Anderson in 1975, when he declared the Mississippi River corridor a critical area from Anoka to Hastings. Each corrvnunity along the river was directed to develop a plan to balance residential , commercial , industrial and recreational uses of the river. The Critical Areas Act specifically stipulated that plans for the Pig's Eye area must balance these multiple uses. In response to the Critical Areas Act, the St. Paul Planning and Economic Development Commission appointed a citizens' task force to work on the St. Paul Mississippi River Corridor Plan. They worked for two years on the plan. In the planning stages, the Port Authority's suggestion for 100 off-channel fleeting of barges at the Pig's Eye peninsula was rejected; however, once the river plan came before the Planning Commission, the plan was amended to include the barge fleeting project. The Planning Commission and the St. Paul Cit� Council voted in favor of the amended plan, and it was sent on to the Metropolitan Council for review. The Metropolitan Council 's role was to advise the Environmental Quality Board on recommended changes in the St. Paul Mississippi River Corridor Plan, but they had no authority to approve or reject the plan. � The plan was then studied by the Environmental • � iv • Quality Board which is a State agency composed of the heads of seven State agencies, four citizens and a Governor's representative. The Environmental Quality Board had the authority to make changes in the plan, and they requested that the Pig's Eye section be returned to the City for modifications regarding the development of barge basins. The City is presently reviewing the plan through the Planning Commission. Even if this review ultimately calls for additional barge fleeting at Pig's Eye, before construction of barge fleeting basins can begin, an Environmental Impact Statement will be required. After than, permits must be secured from the Army Corps of Enaineers, the Environmental Protection Agency, the Minnesota Department of Natural Resources, and the Minnesota Pollution Control Agency. The objective of this report is to document the history of the Pig's Eye area so as to clarify and evaluate the options available for negotiation to the City, namely the option to preserve the area as a passive regional park and the option to dredge a portion of the area for additional barge fleeting which will also allow for development of Red Rock Industrial Park (See Appendix A) . • • ' 1 • PART I - ST. PAUL MISSISSIPPI RIVER CORRIDOR PLAN In response to the Critical Areas Act of 1975, Governor Anderson declared the Mississippi River from Anoka to Hastings as a critical area. The Mississippi River was said to possess important historic, cultural , aesthetic values or natural systems which performed functions of greater than local significance. Because of its status, the river was protected fran the kind of development that could result in irreversible damage to its resources , could decrease its value and utility for public purposes, or could unreasonably endanger life and property. The St. Pa�l Mississippi River Corridor Plan was to plan for a multi-purpose resource, was to resolve conflicts of use of land and water, was to preserve and enhance the river's public use and was to protect its environmentally sensitive areas. Because of this mandate, the Governor requested that the City of St. Paul prepare plans and regulations that would balance open space use with industrial and commerical de�elopment for the Pig's Eye area. The original plan, developed in September, 1978, by a task force, did this by proposing a park for the entire peninsula south of the Metropolitan Waste Water Treatment Plan. But, since that time, the plan has been modified to include 100 barge fleeting basins at River Mile 834 near the peninsula (See Appendix A) . • PART II ' - POSITION ANALYSIS A. PIG'S EYE COALITION'S POSITION The Pig's Eye Coaltion is a group of over 30 citizen, environ- mental and sportsmen organizations which are dedicated to the preservation and enhancement of the unique natural resources of the Pig's Eye area. They feel that Pig's Eye offers great opportunities to the citizens of the metropolitan region to observe and learn about the fascinating features of the Mississippi River's cultural and natural history. The Coalition wants Pig 's Eye acquired by Ramsey County as a regional park and preserved as a scientific and natural area. The area could be used as a natural laboratory f or study and research. The lake and adjoining lands have the potential to become the showcase for all other river park and open space lands. The rookery on Pig's Eye island should be managed as a seasonal scientific and natural area to assure protection for nesting herons and egrets. The Coalition opposes the plan for dredging of additional barge fleeting at Pig's Eye (River Mile 834) because it would destroy important wildlife habitat and open space lands, threaten the heron rookery, degrade water quality, and conflict with open space use. The Coalition is not asking that the number be reduced, but request that 2,600 feet of natural shoreline at the Pig's Eye peninsula be allowed for park use. A river park totally encircled by barge fleeting significantly impairs recreational and aesthetic values and limits river access by the public. B. THE PORT AUTHORITY'S POSI7ION • . The Port Authority contends that the proposed off-channel barge fleeting sites on the Pig's Eye peninsula are necessary to replace the 99 fleeting sites which are projected to be lost in the next five years due to industrial expansion. Dredging for barge fleeting at the peninsula (R.M. 834) would create 100 parking spaces for barges and allow for the expansion of Red Rock Industrial Park. The Port Authority intends to pipe the dredge spoils from the barge fleeting project to the Red Rock Industrial Park area to fill the water body there. The filled area would then be used for development of a non-river related commercial and industrial use. It's important for the Port Authority to use the dredge fill instead of hauling it in from the outside because it would save about $7 million, and, thus, make the development of the project feasible. The costs for dredging would be financed by the Port Authority using Industrial Revenue Bonds or financed by State or Federal revenue collected from the public in the form of taxes. Future tax revenues will come from the development of Red Rock thereby enhancing the Port Authority's policy to develop land (See Appendixes C & D) . Because of this, there is enormous pressure to use environmentally sensitive lands for fleeting instead of land which can be developed for future tax purposes . • � 3 , In 1967, the Port Authority dredged a substantial amount of this environmentally sensitive land next to the heron rookery, close to where the proposed dredging location is . The dredging continued sporadically until September 22, 1969 when the dredging was completed irr�nediately adjacent to the rookery. Considerable construction activity took place on the peninsula and within the rookery during the 1967 and 1968 nesting periods. This included the use of the area as a spoil dumping area and as a transfer area to carry the fill to the Red Rock Industrial Park from the dredging area. Dredge pipelines were laid across the rookery to transport the fill to the Industrial Park. This activity went on during the critical nesting and fledgling period of the herons. The Port Authority contends that there is no evidence that this activity impaired the growth of the rookery. To the contrary, they say, there is evidence that the rookery is now larger than it was in 1967 and 1968. In addition, the yellow-crowned heron which had not previously nested in this area has maved into the rookery since that date. C. TWIN CITY BARGE & TOWING COMPANY'S POSITION (Supported by the Upper Mississippi Waterway Assoc.) Twin City Barge & Towing Canpany is the laraest St. Paul based river carrier and fleeting operator. Since 1959, barge tonnage in the St. Paul district has increased from 7 million to 18 million tons in 1977, or an increase of approximately 149q but fleeting space has increased by only 11% to 15%. Of the above stated tonnage, 64q • had its origin or destination in the City of St. Paul . The City and the Port Authority have been working closely with Twin City Barge & Towing Company to try and find suitable fieeting spaces for barges because of the projected 99 spaces which will be lost to industrial development. The Port Authority and the City would benefit if the additional spaces could be dredged at the Pig's Eye peninsula because the fill would be piped over to nearby land and used to develop the Red Rock Industrial Park. This, in turn, helps the industrial development goal of the Port Authority and builds the tax base for the City of St. Paul . The cost of the dredging would be applied against the development of the light industry area and not against the barge fleeting company. The Company states that in 1978 alone, 2,000 barge loads of grain were loaded in the City of St. Paul and shipped south to New Orleans for export. The U.S. Department of Agriculture expects our exports to be up by 20% next year. In 1978, nearly half of the grain shipped by barge from the Twin City area was loaded in St. Paul . A spokesman for Twin City Barge & Towing said, "What appears to be a local barge fleeting matter in reality is a very important spoke in the wheel of efficient transportation of Minnesota's agricultural production for domestic, as we11 as for foreign markets." Because 40% of Pqinnesota's income is derived from agriculture, that statement appears to be accurate. • � 4 • D. RAMSEY SOIL AND WATER CONSERUATION DISTRICT'S POSITION On November 21 , 1979, the Ramsey Soil and t,later Conservation District wrote a report on the proposed barge slip dredging on Pig's Eye Peninsula. Their report discussed the potential impact of the proposed dredging (See Appendix E) . The position of the Ramsey Soil and Water Conservation District stated there would be a negative effect on the heron rookery, floodplain, pollutant levels, aesthetics, and future development in the Pig's Eye area. PART III - REVIEW BY GOVERNMENTAL UNITS A. RAMSEY COUNTY In May of 1979, the Ramsey County Board of Canmissioners was contacted by the Pig's Eye Coalition and requested to pursue the acquisition of Pig's Eye for a park reserve. The County was previously designated by the Metropolitan Council to be the imple- menting agency if and when the area was acquired and developed. The County proceeded to review and study the request and on November 27, 1979, the Board of Commissioners passed a resolution which recommended that no dredging for barge slips take place on • the Pig's Eye peninsula. B. METROPOLITAPJ COUPdCIL The Metropolitan Council , composed of 17 representatives of the seven county metro area, has review authority over the St. Paul Mississippi River Corridor Plan which contains the issue of barge fleeting at Pig's Eye. In December, 1979 and January, 1980, meetings were held with the Metropolitan Council 's Parks and Open Space Corrbnission and the Physical Development Corranittee. As a result, on January 10, 1980, the Metropolitan Council recorrmended to the Environmental Quality Board that the Army Corps of Engineers prepare a full Environmental Impact Statement to evaluate the impact from the barge fleeting proposal . The Metropolitan Council also recorr�nended that Ramsey County be requested to change its Pig's Eye Regional Park boundaries to accommodate the proposed off-channel fleeting of 100 barges. To date, Ramsey County has not complied with the Metropolitan Council 's request to review the proposed park boundaries. C. MI�dNESOTA ENVIRONMENTAL QUALITY BOARD The Environmental Quality Board (EQB) is composed of the • directors of seven state agencies , a Governor's representative, and four citizen members. It is their responsibility to determine whether or not the St. Paul Mississippi River Corridor Plan meets the regulations of the Critical Areas Act. - 5 • On February 21, 1980, the EQB rejected that portion of the plan uihich addressed industrial and recreational development of the Pig's Eye peninsula and sent that portion back to the St. Paul City Council for revision. The EQB approved the plan except for that portion of the proposal which plans to dredge a 35 acre site along the Mississippi River for development of a barge fleeting basin. Because of State law, the EQB is required to approve the plan, or reject it and request modifications. The EQB requested the City, through the City Planning Corrnnission, to not recommend any development of the barge basin until a detailed Environmental Impact Statement analyzing that site and others is completed. D. THE MAYOR AND CITY COUNCIL Mayor George Latimer and the City Council are on record support- ing regional open space, barge fleeting and the light industrial develop- ment in the Red Rock area. They feel the St. Paul Mississippi River Corridor Plan is consistent with the City and State policy for the critical area; and that it meets the Governor' s directive for St. Paul to provide a mixture of open space and industry in Pig's Eye. They recognize that there is potential for an adverse impact on the eco- systems and open space management by dredging the basins; however, they intend to see that a detailed Environmental Impact Study is done. This study will determine exactly what the impact will be and determine if it is environmentally feasible to develop the basins. The EIS could take • from one year to 18 months to complete and would be conducted by the Army Corps of Engineers. E. ST. PAUL PLANNING COMMISSION The St. Paul Planning Corrnnission consists of Z1 citizens who are appointed by the Mayor. Their recorr�nendations regarding planning for St. Paul are acted upon by the City Council . The Planning Commission received the Environmental Quality Board's recommendations to review qnd possibly revise the St. Paul Mississippi River Corridor Plan. Because of the EQB's action, a public hearing was conducted on June 13, 1980, by the Planning Corr�nission re- garding this section of the St. Paul Mississippi River Corridor Plan. A sub-corr�nittee of the Planning Commission, the Small Areas Correnittee, recommended that the plan provide 175 fleeting spaces in the City but no more fleeting at Pig's Eye. After hearing testimony from the Pig's Eye Coalition, Twin City Barge & Towing, Port Authority, Ramsey County, City staff, and various citizens, the Planning Commission tabled the matter until the first meeting in July. After the Planning Corr�nission makes a decision in July on how to proceed with the Pig' s Eye section of the St. Paul Mississiopi River Corridor Plan, the subject will be sent to the St. Paul City Council for approval . From there it goes back to the Metropolitan Council and • the EQB for final approval . ' 6 • PART IV - HISTORY OF PAST NEGOTIATIONS City staff attempted negotiation sessions in March, 1980, which involved the Port Authority, P�g's Eye Coalition, Twin City Barge & Towing Company, and the Upper Mississippi Waterway Association. They met on March 26, April 7, 11, 18 and 23. These sessions discussed the issues of the need for and dredging of additional barge slips, the protection of the heron rookery and environment, and the use of the fill from the dredging for the development of the Red Rock Industrial Park. During negotiations the following facts about barge fleeting in St. Paul were identified: 1. The total existing fleeting spaces in St. Paul is 480. 2. Fleeting sites that might be lost to industrial development total 66 and not 99. 3. Possible new fleeting sites within the City totals 185. Negotiation efforts failed because the parties involved were unable to reach an agreement which might be acceptable to all parties. • There are several impasses: 1. The Pig' s Eye Coalition opposes the additional fleeting of 100 barges at River Mile 834. The Coalition's opposition is due to the dredging which will be necessary to create the additional slips. How- ever, the Coalition is willing to compromise on the temporary fleeting at River Mile 835.5 to allour permanent fleeting there for an additional 18-27 barges. 2. The Port Authority and Ramsey County have not begun negotia- tions for acquisition of the Pig's Eye area for a regional park. The Port Authority would like to secure the necessary dredge and fill per- mits for Red Rock Industrial Park before they proceed with deeding over the land at Pig's Eye to Ramsey County. 3. The Upoer Mississippi Waterway Association and Twin City Barge & Towing Company authorized its counsel , Briggs and Morgan, to proceed with a dual course of legal action against the enforcement of the February 21, 1980, order of the Minnesota Environmental Quality Board on the basis of alleged errors of its findings and conclusions, the validity of the Order itself, the EQB's authority in the matter, and a constitutional test of the limitations of the local police power relative to interstate commerce. The lawsuit was filed in Ramsey County District Court on June 11, 1980. The current impasse will cause the matter to go back to the Minnesota Environmental Quality Board in one way or another. • . - � -., .,�J �` ' 7 • PART V - RECOMMENDATIONS FOR COMPROMISE I , Warren W. Schaber, the Ramsey County Commissioner whose Commissioner's district boundaries encompass this area, propose to act as mediator to negotiate a compromise in this dispute. I feel strongly that the environment need be protected and that the industrial development at Red Rock should proceed to allow for light industrial development. My recortanendations are based upon the premise that an Environmental Impact Study will be conducted and that dredging will be contingent upon the results of that study. I offer the following recommended compromise: 1. After an Environmental Impact Study is conducted and if the results show dredging should be permitted, the process should proceed at River Mile 834 so that the fill can be piped over to Red Rock Industrial Park for development of a light industrial area. 2. Move the access to the proposed park up to River Mile 835, where no fleeting would be allowed (fleeting exists there now; see Appendix A) . One of the objections to the fleeting at River Mile 834 was that the park would be encircled with barge fleeting; however, if the other parties would give up fleeting space at River Mile 835, an access from the river to the park could be created. � The staff of Ramsey County's Open Space Program have stated it's possible that the dredging and fleeting at River Mile 834 would not threaten the heron rookery because fleeting already exists closer to the rookery, and the proposed expansion of River Mile 834 is farther upstream from the rookery. THE COMPROMISE WOULD ACCOMPLISH THE FOLLOWING: 1. With the close proximity of River Mile 834 to the Red Rock Industrial Park, the Port Authority would be able to pipe the dredging spoils to this site and save approximately $7 million by not having to haul fill in another way. The Port Authority has stated that this would make the development of Red Rock Industrial Park feasible. 2. The City of St. Paul has indicated that it would benefit from taxes derived from the above development, and the St. Paul Mississippi River Corridor Plan could ultimately be approved by the EQB if all parties agree to the compromise, provided that an EIS is conducted. 3. Twin City Barge & Towing Company and the Upper Mississippi Waterway Association could get the additional barge fleeting spaces they need in St. Paul . • . 8 • 4. Ramsey County would be able to proceed with acquisition of the Pig' s Eye area for their Open Space Program. The land should be deeded over to Ramsey County by the Port Authority as soon as the Environmental Impact Study is completed. 5. The Pig's Eye Coalition would accomplish their goal of having the area turned over to Ramsey County for use as a natural , passive park reserve, and even though they oppose fleeting at River Mile 834, they would gain by eliminating fleeting in another area near the park at River Mile 835. This would still allow public access by water to the park plus a view of the Mississippi River. Realizing that the Coalition's main concern is the impact of the dredging on the environment, this compromise is contingent upon the results of the Environmental Impact Study. Because of the official Ramsey County position taken on November 27, 1979, opposing the additional dredging and barge fleeting at Pig's Eye, it will be necessary for me to bring this issue to the Ramsey County Board of Cornrnissioners before proceed- ing with the negotiations. I intend to make a verbal report to the Ramsey County Board on July 14, 1980, and present them with copies of this report. • • - -- — -. i ��� . . Birkholz, Conservation Specialist R��j SUBJECT: Review of proposed barge �?lip dredging on Pig ' s Eye Peninsula The following remarks pertain to the project labeled as "Proposed Barge Fleeting Basins" on the attached map provided by the Pig ' s Eye C^alition . No detailed plans for the proposal were available so comments will be general in nature . The St . Paul Mississippi Ri �er Corridor Plan excludes from open space and regional park designation that portio� the peninsula • proposed for additional barge fleeting. Ramsey County ' s Master Plan for Pig ' s Eye Regional Park submitted to the Metropolitan Council in 1975 includes in open space and regional park desig- nation that area proposed for additional barge fleeting . POTENTIAL IMPACT OF PROPOSED DREDGING 1 . Impact on Floodplain The proposed dredging of three additional barge fleeting basins may have an adverse influence on the floodplain of the P�Iississippi River. If dredged material rem�ved from belo�v the water line is used to provide building sites with- in the floodplain of the river, a slight reduction in the ca- pacity of the floodplain would result . This action would be inconsistent with the District ' s position statement on floodplains which says : "That neither the flood way nor the flood fringe should contain permanent buildings that require protection during floods, nor should filling be carried outon the floodway or flood fringe that will decrease the water capacity of the flood plain durin? floods ; that when the District is asked for help planning development on a floodplain , the Board will evaluate the request or. the • AN E�UAL OPPORTUNITY EMPLOYER �,�;:.�O � APPENDIX E P. 15 2 • basis of these criteria, and will not endorse develop- ment that does not meet them. " Additionally, dredged spoil should not be disposed o° in floodplain wetland areas. This method of disposal has proven to be damaging to river systems by decreasing the capacity c�f the floodplain and the biologic diversity af the system, as will as having many other damaging sic?e effects . Disposal in a wetland area �vould be diametrically opposed to the District ' s position statement on wetlands ( see attachMent ) . 2. Impact on Heron Rookery ihe proposal would have negative effects on the existing heron rookery. The rookery is presently under pressure from existing industrial and barge fleeting activities . The addition of more f�eeting basins would effF�ctively cut off the rookery from uninterrupted access to the river. The pinching effect caused by increased activity in the area may be enough to in- fluence t:ne herons and egrets to leave . During and after cor_���•�.etior, , tre :i;ed;r,�; t�reas of the birds would be reduced . Herons and egrets presently feed along gently sloping shore- line� of the Mississippi River and not in areas which have been dredged or riprapped. This is reflective of their diets which are primarily shallow water fauna. The greatest impact of the proposed change would be to reduce feeding areas near • to the rookery , which would increase the distance the birds must cover to obtain food. While the birds do normally cover great distances to feed, the loss of nearby feeding areas would impact on young birds and during times of stress. 3. Impact on Pollutant Levels The proposed dredging would affect the project area in two major ways . First, the physical suspension of additional sediment in the river would adversely affect river biota in- cluding that which the herons and egrets presently feed upon. Secondly, the proposed dredge area lies immediately downstream from the outlet to the N[WCC Pig ' s Eye Sewage Treatment Plant . Since the soils along the river at this location are of a11u- vial origin, they may contain high levels of potentially dangerous contaminents in the form of heavy metals , PCB ' s and other organic and inorganic toxicants . This hazard should be investigated. Both the dredge site and the disposal area would be potential problem areas . [,, Impact on the Aesthetics of the Area If the Pig' s Eye area is to be used as a regional park , the effect of the dredging would be negative . It would remove a significant portion of tne river shoreline from public access . It would also remove an existing buffer area . A buffer would be any area which would serve to isolate recreational activity • from the existing industrial land uses . The recreational . r � , . Precedent for Further Development in the Area The proposed dredging would represent further encroachment into one of St . Paul ' s truly unique natural areas . The earliest park planning efforts in St . Paul recognized the aesthetic/ � biotic value of the bluffs along the Mississippi and the . floodplain forest and backwaters of the Pig ' s Eye area. Althaugh this area is presently less of an amenity :han it could be, it nevertheless represents a vast open space area within the city. Its proximity to users , and the potential for its im- provement point towards using the whole area for the greatest public good. Continue�? encroachment will lessen the area ' s value to the public as a recreational amenity and perhaps further delay funding which would ensure public access and use for the Pig ' s Eye area. SUMMARY Based on criteria which the Ramsey Soil and Water Conservation District uses to review proposals of this nature, the following statements may be made : 1. The dredging of additional barge slips is not compatible with • regional park plans for the Pig ' s Eye area. Any further en- croachment on t'r.e proposed park site by other than appropriate recreational land uses will severely curtail the attractive- ness of the area for recreational purposes . 2 . There may be a greater than normal danger of excessive pollutant release from alluvial sediments if dredging occurs . This should be investigated. 3 . The proposed spoil disposal area is not acceptable under the District ' s position statements on floodplains or wetlands . 4 . The fragile nature of the biotic community in the Pig ' s Eye area demands that high intensity land use encroachments cease . Just as industrial expansion can further damage the area, so could high intensity recreational uses . The area is best suited to primarily low intensity-open space use . The amendments are in the form of a new text in the section on Water Use, pages 65-70 of the .�ugust, 1979 version of the River Corridor Plan. This is the section of the plan that addresses the fleeting controversy that has been the subject of so much debate over the past several months. In February, 1980, the Minnesota Environmental Quality Board refusec to approve the River Corridor Plan until this section was amended to the EQB's satistaction. Since then, a number of complicated and interrelated activities have taken place, all focused on the advisability of recommending fleeting basins along the Pig's Eye Peninsula at river mile 834.0. The Planning Commission has spent a great deal of time as a whole, in committee, and as individuals debating and considering �he implications of a variety of alternatives that would address the concerns of the EQB, environmental interests and navigational interests. The Commission's recom- mendation to the Mayor and City Council represents an attempt to br;dge the gap between extremely divergent and emotional arguments and attitudes on all sides of the issue. - A key recommendation in the Planning Commission resolution is found in the last paragraph, where the Commission recommends that the City Council request a formal meeting between the City and EQB to review the city's proposed amendments and to clarify the EQB's feelings about them prior to final city action adopting them. This would prevent another potential ten month delay in the approval process. Such a meeting is provided for in the State Critical Areas Act. Given the complex nature of the issue, such a meetinq would be very beneficial to the City. I will be available at any time to review the Commission's recommendation with you. The National Audubon Society has entered testimony in the past before the Metropolitan Council and the Minnesota Environmental Quality Board, recording our support for the preservation of the Pig's Eye area as a passive park and wild- life sanctuary. We are concerned that uncontrolled ex�ansion of barge facilities in the Pig' s Eye area will threaten the unique heron rookery and wildlife habitat there. Recently the National Audubon Society established our 1981-82 Action Priority Goals. One of our top goals is to con- serve wildlife and the life support systems of the natural en- vironment by involving our local chapters in a program to . provide protection of wildlife habitats, especially nesting sites of colonial birds all across the na.tion. The local Minnesota Audubon chapters have spearheaded this program in their efforts to protect the Pig' s Eye heron colony, which is recognized nationally as a valuable and unique rookery. We urge you to provide this important resource with the protection it deserves by prohibiting barge expansion in the Pig' s Eye area. In view of the possible adverse effects on the heron rookery and the hazardous effects e�zvironmentally to the Pig's Eye - wildlife habitation, we would urge your opposition to the proposal to accomodate an addit�onal 217 barges on the river corridor. In addition, the filling of 100 acres of wetlands and dredging of 60 acres downstream from sewage out put would be a detriment to this unique wild area within the city. The rookeries, we understand are 200 years old, and are surely worth being protected from over-clevelopement and barge expansion. , Also, we stongly urge opposition to the amendments which would call for 99 additional barge sites and are in direct contracliction to the Critical Area Act that multiple uses of the river be balanced. PAUL MISSISSIPPI RIVER CORRIDOR PLAN The St. Paul League of Women Voters supports the Pig' s Eye Coalition amendments to the St. Paul Mississippi River Corridor Plan (MRCP) . The League has been involved in planning for the River for many years, - and was involved during the original planning stage when the River was declared a Critical Area . The League believes the development of the barge fleeting basins at R.M. 834 encompasses many issues ; among which are citizen participation; land use; and designation of a Critical Area itself. CITIZEN PARTICIPATION � The League participated in the planning process and representati�es of the League served on the Task Force which drew up the original Rover Corridor Plan. The river transportation industries did not participate on the Task Force level, because they did not feel it was necessary. They stated (Ietters in Planning Dept.) they would make their impact felt later on. While the Task Force met flver a two year period, and considered and rejected the development of barge fleeting basins , the river industries appealed to the Planning Commission at two meetings in November, 1978, and the Plannino - Commission amended the MRCP to include the fleeting basins . After the Environmental Quality Board (EQB) rejected the St. Paul MRCP in February, 1980, the PEC was asked by the Administrator of the Planning Department to participate in negotiated sessions with the Port Authority and representatives of the riv�r industries to look for alternatives for the basins . The City hired a negotiator for these sessions . The PEC entered into these negotiations in good faith and did find alternatives for the fleeting basins . The Port Authority and the river industries thanked us and said they wanted our alternatives , plus the fleeting basins . And that is what the Mayor' s proposed amendments include. �\ St. Paul League of Women Voters, 26 E. We did not spend hundreds of hours to be considered window dressing for this project, or to have our effort turned against our purpose. LAND USE The Pig's Eye area has been designated a regional park by both Ramsey County and the Metro Council since the early 1970' s . The Ramsey County Board reaffirmed their position in 1979, and recommended that the barge fleeting basins be eliminated from the MRCP, The Pig's Eye area is a unique wildlife area in an urban setting, The Pig's Eye Island has been recommended as a Scientific and ' Natural Area by a citizens committee of the Department of Natural Resources. Thomas Abercrombie found the area unique enough to include it in his article, Tale of Twin Cities , National Geographic , November, 1980, when he described the amenities of living in St. Paul. CRITICAL AREA DESIGNATION . The Critical Area designation determined that the Mississippi River possesses important historic, cultural, or esthetic values, or natural systems which perform functions of greater than local significance. It also determined that the River was an area where development could result in irreversible damage to its resources, decreasing its value and, utility for public purposes , o� unreasonably endangering life and property. St. Paul was also the only community mentioned specifically by Gov. Wendell Anderson in this designation. He directed St. Paul to make a �alanced plan for the Pi�' s Eye _area. The recommendations for Critical Area designation was proposed to ful£ill and accomplish the following purposes : l. TO PROTECT AND PRESERVE �A UNIQUE AND VALUABLE STATE AND REGIONAL RESOURCE TO THE BENEFIT OF THE HEALTH, SA�ETY AND WELFARE OF THE CITIZENS OF THE STATE AND REGION. The Pig' s Eye Lake and adjoining land areas have been designated as Urban Open Space (which allows no new barge slips) under Critical Area Act Regulations . The Pig' s Eye Lake is a unique urban ecosystem in this country, due to its wide variety of plant and animal life. It is the northern-most floodplain march on the Mississippi River and is St. Paul' s largest lake. , , St. Paul League of Women Voters, 26 E. TO PRESERVE AND ENHANCE ITS NATURAL, AESTHETIC, CULTURAL, AND HISTORICAL VALUE FOR THE PUBLIC USE. Returning this area proposed for dredging to the regional park boundaries is the only way the area can be preserved for the public use. . In view of the energy crisis , the League points out another concern. It is also necessary to preserve open space areas in areas of dense population so that parks may be easily accessible to citizens . � 4. TO PROTECT AFrD PRESERVE THE RIVER AS AN ESSENTIAL ELEMEN'� IN THE NATIONAL, STATE AND REGIONAL TRANSPORTATION, SEWER AND WATER RECREATIONAL SYSTEMS. The barge owners complain that barge fleeting in St. Paul has not kept pace with the increase in barge tonnage in the St. Paul district. They are comparing tonnage shipment in the St. Paul District (Guttenberg, Iowa to the Minnesota River) . with barge parking within the city limits of St. Paul. With the exception of the crosby Lak� area, all of the fleeting areas lost in St. Paul over the last twenty years have been lost because of industrial and commercial development. The PA policy is to develop the land and displace fleeting areas . - Industrial land development is their stated priority. We are not making a judgment as to hether this is good or bad for St. Paul; but because o£ this fact, enormous pressure is put on environmentally sensitive lands for development as fleeting sites. Accepting the Mayor' s amendments increases barge parking within the City limits to 705 sites . The use of the river corridor in St. Paul will be excusively for commercial navigation,` making the area too dangerous for any recreational use. St. Paul should not have to bear this burden for the entire region. S. TO PROTECT �1ND PRESERVE THE BIOLOGICAL AND ECOLOGICAL FUNCTIONS OF THE CORRIDOR. � T o allow this additional dredgin near Pig' s Eye Lake would absolutely destroy a unique and fragile environmental area. . . . At. that time the plan called for 118 barge sites - 18 at RI�1 835.5 (pig' s Eye Island �1) in an on-channel (or shoreline) fleeting proposal and 100 barges at RM 834.0 on the Pig's Eye peninsula in off-channel barge basins. In 1978 representatives from the St. Paul Leagve of tJomen Voters and MECCA, along wiii� three or four other citizens, spoke against the basin plan. 'I�ao months later in reb. 1979, the Pig's Eye Coalition was formed. We have worked to educate the public and government agencies about the unique historical, cultural and natural values cf the Pig' s Eye area and how the barge basin plan threatened the resources there. Fourteen months after the City Council action, in reb. 1980, the EQB rejected the �iver Corridor Plan because of opposition to the basin plan and returned it to th e Ci ty for revi sions. The National Audubon Society has entered testimony in the past before the Metropolitan Council and the Minnesota Environmental Quality Board, recording our support for the preservation of the Pig' s Eye area as a passive park and wild- life sanctuary. We are concerned that uncontrolled expansion of barge facilities in the Pig' s Eye area will threaten the unique heron rookery and wildlife habitat there. Recently the National Audubon Society established our 1981-82 Action Priority Goals. One of our top goals is to con- serve wildlife and the life support systems of the natural en- vironment by involving our local chapters in a program to provide protection of wildlife habitats, especially nesting sites of �colonial birds all across the nation. Having followed the lengthy proceedings since December 1978, we strongly feel that the Council should adopt the amendments to the Mississippi River Corridor Flan proposed by the Pig's Eye Coalition on June 21, 1981. To allo� extensive dredging throughout the years for the construction and continuous maintenance of a terminal in this most polluted sector o€ the Upper Mississippi River is unreasonable. There is statist�.cally reLiable data proving that commercial traffic is detrimental to the water qLality, and an increase in tow traffic will cause these prob- lems to become more acute. It is inconceivabLe that anyone should provoke additional excess traffic and the consequent turbidity in an area �here the river's sediment is classified as highly contaminated. The content of the sediment in Lake Pepin is evidence that industrial wastes such as heavy metals, PCB ' s and other tox�.c substances are carried downstream from the metro area. The gravity of this situation will be intensified by the increased dredging and traffic in the� • areas you are considering for a terminal. These activities will not be in the best interests of the River or the populace doc�nstream. We are aware of the grojected increase in toW traffic in the future, but those estimates may not become a reality if a plan is evolved that will balance tha economic usage of the =ovin atheiconstruction multiple usea. R-20 , undertook to develop a pedestrian skyway system within the Doamto�•m Central Business District, hereinafter referred to as the "System" ; and _ , �tiTHEREAS, the City, pursuant to Chap�er 764 , Laws of Minnesota 1973, is authorized to operate the System; and WHEREAS, P�idwest is the owner of certain improvements located 1 � generally on the north-westerly portion of that Block bounded by P�iinnesota, Cedar, Fourth and Fifth Streets, more particularly described as Lots 3 and 4 , and the northerly I25 feet of Lots 5 and 6, Block 19, City of St. Paul (St. Paul Proper) , which improve- ments are hereinafter referred to as the "riidwest Federal Building" ; and WHEREAS, an extension of the System through the Midwest Fec�eral Buildinq from the St. Paul P.thletic Club Building on the south, to the Northwestern National Bank Building on the north, has been i _ . . __ _ , -_. ..__.. ,:.,..--..._._.___. . _ :_ ,.�___;. . _ _._ _. , _ e � � �� � 7 ���� - -2- approved as part of trie Seventh Place Redevelopment Project Plan which plan was approved by the Council of the City of Saint Paul on December 5 , 1978 in Council File No. 272155, and has been filed with the City Clerk of the City af Saint Paul; and WHEREAS, a skyway bridge over Fifth Street connecting the P�idwest Federal Building and the Northwestern National Bank Building, together with vertical access facilities and stairway within the Midwest Federal Building, has heretofore been con- structed; and WHEREAS, a pedestrian concourse passageway through the second floor of the Mid�vest Federal Building has heretofore been constru- cted and has been in use, linking the St. Paul Athletic Club with the skyway bridge over Fifth Street; and WHER£AS, the existing passageway and vertical access facilities and stair�aay are in the priva�e ownership of Pdidwest and the parties are desirous of providing a �ublic pedestrian easement through them as hereinafter provided; � NOW THEREFORE, BE IT RESOLVED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: • DEFINITION 1. The words "pedestrian concourse, " "easement area, " "taedestrian easement, " and "puhlic easement, " wherever used in this Agreement, shall mean and include the second floor corridor or concourse within the Pdidwest Federal Building, the vertical access facilities and stazrway within said Building, and the ground level access within and without said Building leading to the public side- walk on Fifth Street, all of which are as shown and describe� on Exhibit A attached here�o. � . . � � ��-'`�j�' -3- EASEMENTS AND HOURS 2 . Midwest hereby agrees to grant to the City a public easement for the pedestrian skyway system through the AZidwest Federal Building, all as described and in accordance with Exr�ibit A attached hereto. Said easement to be granted by Mid�,aest shall be in the form attached hereto as Exhi.bit A and shall grant to 3 the public the right of use of said pedestrian skyway syste�n through the Midwest Federal Building for puzposes of pedestrian ingress, egress and transit, except for such reasonable police measures regarding open hours and closing all or part of the concourse to public use through said Building as the City may, by ordinance, from time to time deter:nine, or regardir_g public conduct therein as may be prohibited by sky�oay ordinance, as it may be amended from time to time. It is agreed by the parties that the new pedestrian easement orovided for in the Midwest � Federal Building shall be open for public ingress , egress and transit from 6 :00 a.r.1. to 1 : 30 a .m. , Monday through Saturday, including until 1: 30 a.m. Sunday mornings; and, at the oPtion of St. Pau1 Joint Venture (as owner of the Radisson St. Paul Hotel) , for such additional hours between 6 : 00 a.m. on Sundays and 1: 30 a.m. Mondays, as may be designated on tcao weeks prior written natice by St. Paul Joint Venture to City, HR�1, and I�iid- urest, but only in the event similzr designa�cions a-re concurrently made for the sections of the skyway system within the Northwestern National Bank Building, the St. Paul Athletic Club, the Minnesota � I _ . .. _. . _ _ . _ ,. _ .. _.. __._.__�.�._..,. ... . _g_ Mutual Life Insurance Building, the Degree of Honor Building and the St. Paul Title Company Building. All such hours of operation are subject to the general power of the City to prescribe System hours by ordinance. Upon request of Midwest, and ��here necessary in the reasonable discretion of the City to protect public health and safety, in- cluding both personal and/or property safety and security, the City shall take appropriate action to further limit the hours during which said easement areas must be open for public use. The City shall consider, as a factor in forming its discretion, the claimed or actual breach of security agreements benefitting the_ easement areas within the Nlidwest Federal Building . 3 . The public easement through the Midwest Federal Building shall be in accordance with Exhibit A herein and shall commence at the southerly property line of the Midwest Federal Building where it connects to the St. Paul Athletic Club and shall extend in a northerly direction to the existing skyway bridge over Fifth ' Street. 4 . The HRA and City hereby waive any right they may have to share in an award of damages in the event that a public body acquires all or any part of the aforesaid Midwest Federal Building by condemnation or under the threat of condemn�.tion, but said �vaiver does not apply to the skyway bridge. 5. It is agreed by and bet���een the parties hereto that the skyway bridge shall at all times be owned by the City and/or HRA, and said skyway bridge shall not constitute property leased, loaned _ , _ ' __ , s.... �,_... ._._,...: _5_ or otherwise made available to second parties, or any one of them (within the meaning of Chapter 272 .01 (2) of P4innesota Statutes) , it being understood that said skyway bridge is intended to benefit the public generally. OPERATION, r1AINTENANCE AND REPAIR b. Midwest hereby agrees to provide alI repairs and mainten- � ance to maintain the pedestrian concourse in or on the 2�Zidwest � Federal Building to a reasonable standard of safety and cleanlin�ss and to provide operatinq costs for said pedestrian concourse. HRA and City shall be furnished with plans and specifications for all additions, alterations or repairs and renlacements to the pedestrian concourse, which plans and specifications shall be subject to their reasonable and timely approval or disapproval before commencement of the work contemplated therein. Lack of action to apprave or disapprove caithin 14 days shall be deemed approval . 7. If Mid���est shall fail to undertake reasonable maintenance, operat�on or repair of the pedestrian concourse areas through the Midwest Federal Building within 30 days after receipt by them of written demand from the City, the City may undertake said reason- able and necessary maintenance, repair and operating tasks, and the ' costs incurred by City for said maintenance, repair and operation shall be assessed to and shall be paid forthwith by Midwest or its surety as applicable; provided, ho;aever, that the City retains the right to assess such c,osts against TMlidwest as a local improvement in the manner provided by law. The pedestrian concourse which is the subject of this Agreement shal.l not be operated for the purpose of advertising the name of any product or business or any other commercial purposes other than for or on store fronts in the pedestrian concourse. Any ne�a store front signage shall not project out from the wall� into the easement area except as subject to the � reasonable approval of HRA and/or City before installation. Nothing herein contained shall prevent the installation and main- tenance of skyway directional sign (s) . Al1 new signage shall be subject to review and approval by the City prior to sign con- struction and installation. All signage existing and/or in place at the time of execution of this Agreement is hereby approved and may remain in place . , SURETY BONDS AND INSURANCE -� 9 . Insurance required hereunder for hazard and liability for the areas designated as easements for the pedestrian concourse shall be a maintenance cost to be assumed by Midwest. 10. Midwest shall furnish and maintain public liability ir�surance coverage for the pedestrian concourse with a duly licensed insurance company, wherein the City and HRA shall be designated as additional insureds , said insurance containing the following minimum coverages: for property damage to the extent of $200, 000 . 00 in any single accident; for personal injuries, including death, $500, 000.00 for each occurrence. Such minimum anounts shall be subject, upon 60 days notice, to reasonable ,. � � � ��-�, 9 -�- � , change by official action of the Council of the City of Saint Paul, in the event statutory municipal liability limits are altered by legislation or judicial decision at any time after the date hereof. CHAi.�IGE IN LOCATION 11 . P�idwest has the right hereunder to change the location ; of the public easement or any portion thereof, conditioned upon the grant of a new public easement and the construction of Niidwest of a new pedestrian concourse which replaces that portion changed, and permits and provides for the continuity of the System. All the costs and expenses entailed by such change of location shall be borne by Midwest. Such right to change location is further conditioned that no change shall be made without approval of �he HRA, sucn approval not to be unreasonably withheld; and that said new easement a.rea shall be surveyed and described by a registered land surveyor at the expense of blidwest. The grant of nece easement shall be in the form as provided in Exhibit A. The HRA shall not be required to approv� -the change unless the new pedestrian concourse and corresponding public easement contain at least the same area and dimensions as the existing easement; and will be of the same character, quality and functionaZ characteristics of the existing concourse . BINDING OBLIGATIONS 12 . The parties agree that in the construction, maintenance, r�epair and operation of the pedestrian concourse, they shall be bound by all City codes and ordinances governing the System insofar as applicabl.e. -8- 13. The respective rights and obligations of the �arties set forth in this Agreement shall �e binding upon and inure to the benefit of the respective parties , their successors and assigns, and shall continue in force and run with the land until such time as said System or that part herein is vacated or abandoned in the manner permitted by law, or terminated in accordanc� with the i Grant of Easement. ' 14 . This Agreement shall survive conveyance and 3eliver1: o� the Grant of Easement provided for herein and shall not be co:�sidered merged therein. 15 . P�iidwest reserves unto itself, its successors and assigns , the unconditional right and privilege of selling, conveying and transferring its abutting and/or encumbered or involT�ed real estate herein and assigning and transferring this Agreement. In the event of transfer oi its interest in the property, Mid�aest, its successors and assigns, shall be freed and relieved, from and after the date af such transfer, of all lia�ility as respects the performance oi any covenants or obligations on the part of Midwest contained in this Agreement thereafter to be performed provided that the transferee fully and without limitation assumes in writing all duties, respon- sibilities and covenants of P�idwest, its successors and assigns, under this Agreement. 16 .
