RESOLVED, that the proper city officials are hereby authorized
to execute an agreement with the Saint Paul - Ramsey Medical Center
whereby the City provides staffing services to said Center in the
furtherance of the Center carrying out a nutrition services program
for Southeast Asian refugees; a copy of said aqreement to be kept
on file and of record in the Department of Finance and Management
Services .

AGREEMENT
AN AGREEMENT, made and entered into fihis day of
, 1982, by and between the City of Saint Paul, a municipa{
corporation of the State of Minnesota, hereinafter referred to as the "City", acting
through its Public Health Nutrition Program in its Division of Public Healfih; and the
Saint Paul-Ramsey Medical Center Commission,. Saint Paul, Minnesota, hereinafter
referred to as the "Commission";
WITNESSETH: �
WHEREAS, the Commission is adm�inistering a gran� from fihe U.S. Department
of Health and Human Services, Public Health Service, to provide nufirition services to
Southeast Asian refugees; and
�! WHEREAS, the Commission is permitted to contract for the performance of
said service or any portion thereof; and
WHEREAS, Paula Henry, R.D., M.S., Nuiritionist I1, is qualified to perform
those services specified in the Public Health Service grant; and
WHEREAS, it is deemed in the best interest of the Commission and fihe City
to controct for the professional services of Ms. Henry;
NOW, THEREFORE, IT !S MUTUALLY AGREED by and between fihe City
and the Commission as follows:
i . 7hat the City shal) assign Ms. Henry fuli time to provide nutrition
services to Southeast Asian refugees in accordance with the requirements of the Public
Health Service grant, ris. Henry shall remain an employee of the City
of Saint Paul for all purposes and shall not be an employee of the

2. That the Commission will reimburse 'the City �2,384.23 per monfih for
the salary, fringe benefits and mileage costs for Ms. Henry and an adminisfirafiive
charge. Reimbursement for the period of this Agreemenfi shall not exceed �23,842.30.
No other compensation shall be paid,
3. That the City will submit a monthly invoice to the Commission. The
Commission will reimburse the City on a mon#hly basis within thirty dcays affier receipt
of said invoice.
4. That the City agrees to maintain and furnish the Commission with a
monthly report of services provided by Ms. Henry regarding the responsibilities noted
in Paragraph One.
5. That the City declares Katherine Cairns to be the person responsible
for compliance with the terms of this Agreement.
6. That the City shall not enter into subcontracts for any of the work com- _
pleted under this Agreemenfi wifihout writ�en approval of th�s Commission.
7. That the City agrees to save harmless, indemnify and defend the Commis-
sion up to the limits of 5100,000 per person or 5300,000 per occurrence from any and
all liabilifiy claims ar demands arising out of the performance by the City or Ms. Henry
of its duties ond services under this Agreement.
8. That nothing in this Agreement sha{I be construed as limiting the righfi
of independent operatior of either the Commission or the City or the affiliotion or
contract with any other institution or agency while this Agreement is in effect:
9. That any alterations, variations, modifications or waivers of provisions
of this Agreement shall be valid only when they ha�•ie been reduced to writing,
fully signed, and attached to the original of this Agreement. J��a�

10. Thot this Agreemer►t may be terminated by either party with or without
cause upon thirty days' written notice. Charges which have accrued for services
rendered shail survive any fiermination of fihis Agreement.
11 . That the term of this Agreement shall be from March i , 1982 through •
December 31 , 1982.
