WHEREAS , the Council of the City of Saint Paul on October 28 ,
1982 passed a Resolution, Council File No. 279412 , adopting a
Request for Proposals for a Cable Communication System; and
WHEREAS , the aforementioned Request for Proposals provides ,
in relevant part, as follows :
Section 2 . 1 "The City of St. Paul reserves the
right to extend the deadline for all applications
or reject any and all applications, if necessary" ;
and
WHEREAS, by letter Group W, a potential applicant for the
cable communications franchise for the City of St. Paul, has
requested, in writing, an extension for the filing of applications
for such franchise; and
WHEREAS, Group W states the following reasons for its request
to extend the filing date from February 1, 1983 to March l, 1983:
1. The desire to further explore ownership and
financing operations as encouraged by the
Request for Proposals;
2 . The lengthy internal decision making process
which dictates the need for an additional four
weeks to adequately explore, develop and choose
the most desirable option;
and

WHEREAS, a four week extension for the filing of applications
does not materially or substantially prejudice any of the potential
applicants; and
WHEREA5, such extension may, in fact, operate to benefit all
applicants; now, therefore, be it
RESOLVED, that the City Council for the City of St. Paul
deems that such four week extension is in the best interests of
the City; and be it
FURTHER RESOLVED, that the Request for Proposals adopted by
Council File No. 279412 is hereby amended to change the due date
for cable companies ' proposals from February 1, 1983 to March l,
1983 and to extend all time table dates subsequent to February l,
1983 for four weeks .

Recommendations for the Energy, Utilities and Environment Committee

The Association for Community and Institutional Cable Access has
studied the working paper prepared by Linda Camp and submitted to
you on November 19. As a result of our review, we make the following
� recommendations :
- 1- A single group of incorporators should be selected. This group
should include representatives from both institutions and the .
community (the "single incorporators group model") .
2- This group of incorporators should be afforded staff support
f rom the City.
3- There should be between five and seven representatives serving
as incorporators for each corporation. The total number of
incorporators should not exceed fifteen.
4- The incorporators should be selected through the open appointments
process.
5- The most important criteria for selection of incorporators must
be the creation of an effective working group which is sensitive
and responsive to the needs of St Paul. We believe it is mors
important that the people selecte3 be knowledoeable and capable
of respondin� to t;�e concerns of the many special interest „rouas
rather than composed of representatives of those groups.
With the following exceptions we believe the possible list of
criteria for incorporators, (page 2 III of the Nov. 19 working paper)
is appropria�e:
- While it may be helpful to have a majority of incorporators
who are residents of St Paul, there is no need for an
absolute residency requirement. Such a restriction may
exclude the participation of people and institutions witit
valuable knowledge and experience.
- Neither age nor geogranhic distribution within the city
are relevant criteria for incor orators. tde believe the
incorpotators may subsequently determine that these factors
• are important for the selection of the members of the Board
of Directors.
6- The appointments process should be opened on Feb. 1, 1983;
screening should begin on Apri1 1, 1983.
7- The incorporators should be appointed after the intial designation
of the franchisee, preferably within two weeks of that selection�
but at least 60 days before the franchise ordinance is passed.
This protects the incorporation process from the pressures involved
in selecting a franchisee, but permits effective participation in
the development of the franchise itself.
8- We will be prepared to submit specific recommendations defining the
duties of the incorporators on �Jan. 14, 1933.
