279520 . - �( . . , . . � � • 2'7952Q � Member Knutson introduced the following resolution and moved its adoption: RESOLUTION APPROVING JOINT POWERS AGREEMENT WHEREAS, pursuant to Minn. Stat. 471. 59, as amended, two or more governmental units, by agreements entered into through action of their governing bodies, may jointly or cooperatively exercise powers, services or functions; WHEREAS, the Governing Board of Special Intermediate School District No. 916 desires to enter into a joint powers agreement with the City of Saint Paul for the joint advertising and soli- citing bids for contracts for the purchase of equipment, material and supplies as needed; WHEREAS, a proposed Joint Powers Agreement has been nego- tiated and drafted regarding such joint advertising and soli- citing bids for contracts for purchasing; WHERFAS, a copy of the proposed draft is attached and incor- porated by reference. NOW, THEREFORE, BE IT RESOLVED by the Governing Board of Special Intermediate School District No. 916, as follows: 1. That the attached Joint Powers Agreement be and hereby is approved; 2. That the Chairman and Clerk are hereby authorized to execute the attached Joint Powers Agreement; 3. That a copy of the Joint Powers Agreement shall be kept on file and record in the office of the Director of Administrative -1- •A P � � ��. • � � Services; and 4. That this resolution shall be effective only upon the adoption of a similar resolution by the City Council of the City of Saint Paul, Minnesota. The motion for the adoption of the foregoing resolution was duly seconded by Member Stenstrom and upon vote being taken thereon, the following voted in favor thereof: Hendricks, Stenstrom, Hyllested, Hansen, Nicholson, Knutson, Zak, Zacho and Rygg and the following voted against the same: None whereupon said resolution was declared duly passed and adopted. -2- � � ��952� JOINT PURCHASING AGREEMENT This Joint Powers Agreement is made pursuant to Minnesota Statutes, Section 471 .59, as amended, between Special Intermediate School District No. 916 and the City of Saint Paul . The Parties agree as follows: 1 . The City of Saint Paul shall , pursuant to the procedures set forth in the Saint Paul City Charter and all applicable State Statutes re,lating to oracedures for advertising for �ncl soliciting bids for contracts for Cities and School Districts, including specifically Minnesota Statutes, Sec- tion 123.37, act for both Special Intermediate School District No. 916 and the City of Saint Paul to advertise for and solicit bids for contracts of whatever same or similar equipment, materials and supplies are specifically authorized and requested by both parties hereto. The City of Saint Paul shall provide �c�ti�s of all required performance bonds to Special Intermediate School District 916. 2. After bids have been received by the purchasing department of the City of Saint Paul and contracts awarded, each party shall enter into its own contract or agreement with the vendor. 3. Each party shall make payment directly to the vendor according to its established procedures. 4. Each party shall be separately accountable for its own expenditures of public funds made hereunder. 5. Neither party shall assume any responsibility for the accountability of funds expended by the other or the issuance of a purchase order by the other party. Neither party shall be liable on any contract separately entered into by the other party or be liable to any vendor with which the other party has contracted. -3- . . . . . , . 6. Nothing within the provisions of this agreement shall be construed to prevent Special Intermediate School District No. 916 from exercising its statutory authority to prepare specifications, advertise and solicit for bids, and award contracts for equipment, materials or supplies without utilizing the services made available by the City of Saint Paul under this agreement. 7. Special Intermediate School Distric± No. 916 ma� ratify the orocess of preparation of specifications, advertisement for and solicitation of bids and awarding of a contract to a vendor by the City of Saint Paul which predates this agreement. If the contract procedures utilized met the requirements of Minnesota Statutes, Section 123.37, if the initial specifications were drawn in a broad enough manner that they could have or did include the District at the time, and if the initial specifications would have authorized the District to do so, the District may enter into a separate contract with that vendor. 8. This agreement shall continue in full force in effect until terminated by either party upon 90 days written notice. Also attached is a copy of the Joint Pur- chasing Agreement which has been executed by the Board Chairman and Clerk on October 5th. Please note the last sentence of the lst paragraph of the Joint Purchasing Agreement which states, "the City of Saint Paul shall provide copies of all required performance bonds to Special Intermediate School District 916". This sentence was inserted at the direction of the Board of Education. If you have questions concerning the motion or the Joint Purchasing Agreement, please feel free to call. When the agreement has been executed by the City of Saint Paul, please return a copy for our records. We are planning to have a Purchasing Technician employed by November 2, 1982, which would provide us with the capability for closely coordinating and imple- menting the provisions of the Joint Purchasing Agreement.
