RESOLUTION AUTHORIZING RIGHT OF ENTRY
TO DEMOLISH STEM HALL BUILDING
WHEREAS,
A. Since the 1980 closing of Stem Hall, the Civic Center
theater building Saint Paul has been without a downtown facility
for the performing arts and, lacking adequate public resources
to replace Stem Hall has sought the assistance of the United
Arts Fund and of Ordway Music Theatre, a Minnesota non-profit
corporation formed for this purpose.
B. Ordway Music Theatre (Ordway) desires to induce a group
of private investors to form a limited partnership (Developer)
to undertake the acquisition and construction of a performing
arts theatre and related parking facilities on the site of
Stem Hall and adjacent private property.
C. Ordway has represented that such undertaking is not
feasible unless certain public redevelopment costs to be
incurred are financed or paid for from tax increments to be
generated by the theater development and accordingly has re�-
quested that the Housing and Redevelopment Authority of the
City of Saint Paul, Minnesota (HRA) undertake a redevelopment
project pursuant to Minnesota Statutes, Chapter 462 and form
a tax increment district pursuant to Minnesota Statutes,
Sections 273. 71 to 273. 86 (collectively referred to as the
Act) .

D. Redevelopment and Tax Increment Plans have been
prepared in proposed form for consideration by the HRA,
the City Council and other appropriate public bodies and
hearings thereon will be scheduled in due course.
E. In order to assure that the theater development
can be undertaken in a timely manner if the Redevelopment
Project and Tax Increment District Plans are approved pursuant
to the Act, Ordway has agreed to acquire right of immediate
entry to the Stem Hall property for the purpose of demolishing
the building at its expense and without recourse against the
City in the event the Project and Plans are not approved and
to acquire title to said property for a price equal to the
cost of said demolition in the event the Project and Plans
are approved pursuant to the Act and a contract for sale and
purchase of land and for development of the theater facilities
is concluded between City, HRA and Ordway.
F. The Civic Center Authority, pursuant to Section 4 ,
Article 25, Chapter 523, Laws of Minnesota 1982, has given
its approval to demolition of Stem Hall and to the prospec-
tive sale of this property for private development of a
performing arts theater.
G. Stem Hall is infeasible of repair and its removal
is desireable whether the Project and Plans are approved or
not and consequently its demolition without expenditure of
City funds after removal of certain fixtures and materials

279189 adopted September 7, 1982, in in the public interest.
NOW THEREFORE BE IT RESOLVED by the Council of the
City of Saint Paul that upon execution of an Agreement in
form satisfactory to the City Architect and City Attorney
assuring protection of the Civic Center Arcade, Auditorium
and Exposition Buildings, making provision for the defense,
indemnity and insuring of the City against loss or claim,
and providing requirements for removal of debris, for site
restoration and other demolition specifications, and upon
obtaining necessary permits, Ordway may enter upon the Stem
Hall property (described in Exhibit A) for the purpose of
removing, razing and demolishing the existing structure and
other improvements.
