Date sy _ _ B r � � UBLi ED �1�.N _",�H 82 . • ����r�,��A A G R E E M E N T AN AGREEMENT, Da.ted this day of , 1982 by and between the City of Saint Paul, Minnesota, hereinafter referred to as "City", and Center for Education for Non-Traditional Students, hereinafter referred to as "CENTS"; It is mutually agreed by and between the City and CENTS as follows: l. That for the consideration hereinafter stated, CENTS will, in conjunction with the Innovation Grant for Handicapped Programming awarded to the City by the United States Department of the Interior, consult with City staff and other interested parties, schedule within twenty-one (21) days after City noti- fication of a sufficient number of participants, not to exceed twenty (20) , and present, without cost to the participants, Disability Awareness Workshops and act as a respository for participant evaluations of those workshops. 2. That CENTS will act as program consultant to City staff in planning, developing and implementing Technical Assistance Workshops and Training and will, upon request by the City, present Technical Assistance Workshops at a cost to the City of Two Thousand Sixty and No/100 Dollars ($2,060.00) for each workshop. . ��,���� 3. That this Agreement shall commence the date first above written and terminate December 31, 1982, but ma.y be termi- nated prior to the latter date without cause by either party upon fifteen (15) days ' written notice. 4. That at all times hereunder, CENTS is an independent contractor and not an employee of the City and accordingly, is not entitled to any of the rights, privileges and benefits granted to regular City employees. 5. That CENTS will save and hold harmless the City from any and all claims arising out of demands by employees for non-payment of wages or claims arising out of their employment. 6. That CENTS agrees to ma.nage and supervise its employees and warrants their ability to perform in a suitable and established ma.nner. 7. That for CENTS' faithful performance of the tasks set forth herein, the City shall pay to CENTS One Thousand and No/100 Dollars ($1,000.00) per Disability Awareness Workshop presented up to a maximum of eight (8) workshops, or Eight Thousand and No/100 Dollars ($8,000.00) . 8. That CENTS will, upon request by the �ity, develop at a cost to the City of Three Hundred and No/100 Dollars ($300.00) , a ma.nual which ma.y be used by the City in presenting disability awareness workshops. 2. � � � � � � ������ 9. That CENTS will, upon request by the City, tabulate at a cost to the City of Three Hundred and No/100 Dollars ($300.00) , the participant evaluations of the Disability Awareness Workshops presented by CENTS. 10.
