vacation of certain Air Rights in West Fourth Street
between Ma.rket and St. Peter Streets.

The Port Authority of the City of Sa.int Pa.ul, the prime petitioner, and
others request this vacation for development of the abutting property, by the
construction of a parkin� ramp (the "Ramp") over which will be constructed an
office building (the "Amhoist TvHrer"), and over which will be constructed
residential units (the "Pa.rk Towers") (the Ramp, the Amhoist Tvwer and the Park
Tuwers, collectively knawn as the "Building") . Upon substantial completion of
the Building, all parties having an interest in ar�y paxt thereof will mutual�y
join in the execution of appropriate declarations submitting the Ramp, the
Amhoist Tower and the Pa.rk Towers to Chapter 515A of Minnesota Statutes, the
Uniform Condominium A ct, as a ma.ster condominium, the units of which shall be
flzrther subdivided into the Ramp Condominium, the Amhoist TaHrer Condominium and
the Park Towers Condominium.
The petitioners and the pa.rties which awn or will own an interest in the real
esta.te comprising the Ramp are Port Authority of the City of Saint Paul, a body
corporate and politic (the ,"Port Authority") ; St. Paul Hotel Development Compar�y,
a Minnesota corporation ("Hotel Development") ; Yorktown Investment Co. Inc., a
Minnesota corporation ("Yorktown Investment") ; Sa.int Paul Parking Ramp Limited
Pa.rtnership, a Minnesota Limited Partnership (the "Ramp partnership") ; American
Hoist and Derrick Co., a Delaware corporation ("Amhoist") ; and Park Towers
Pa.rtnership, a Minnesota general partnership (the "Park Towers Pa.rtnership") .
Total area to be va.cated will be 3,002 square feet and the abutting properties are
zoned B-4. Ground eleva.tion in this area is appr�imate�y 94.40 feet City of St.
Pa.ul Datum.
The Department of Public Works has reviewed the request for the proposed va.cation
and has no objection to the vacation, but request that if the petition is granted,
a condition be included to the effect that should the building be removed, and
prior to construction of a new building, the City would have the opportunity to
determine if it would desire to widen Fourth Stree�, and if sc, that the air rights
would revert to the City. The Department of Public W orks also request conditions
requiring the petitioners at their cost and expense, to submit a plat of survey
sho�+ring and describing the limits of the intended air rights vacation limits
tied to City I3atum, and reouiring the petitioners to agree to pa.y all costs incurred
in the removal of the existing lighting and installation and maintenance of the

new lighting system. Thase conditions w ould be flilfilled to the satisfaction
of the Director of the Dep�.rtment of Public Works.
The staff of Plaruzing and Economic Development has no objection to the pro-
posed vacation.
There were no objeCtions from ar�y other public or private agencies involved,
includin� the District Community Council No. 17.
In view of the foregoin�, I recommend the vacation be approved, subject to the
following terms and conditions:
1. Tha.t the description of the va.cation read as follaws:
Tltiat part of West Fourth Street described as follows :
Beginning at the southwesterly corner of Lot 2, Block
1, ST. PAUL HOTEL ADDITION, according to the recorded
plat thereof; thence easterly 193.00 feet along the
south line of said Zot 2; thence sauther]y, at right
angles 5.00 feet; thence westerly, parallel with said
south line, to a point of the southerly extension of
the westerl,y line of said Lot 2, said point herein-
after referred to as Point .A; thence northerly alor�
said extension to the point of beginning; and l,ying
above elevation 10e.00 feet, St. Pa.ul City Datum.
And that part of West Fourth Street described as
follc�ws• Beginning at said Point A; thence easterly

thereof; thence easterly 193.� feet along the sauth
line of said Lot 2, to the point of beginning; thence
easterl�r along last described line 75.00 feet; thence
svutherly at right angles 5.00 feet; thence westerly,
parallel with said south line 7;.00 feet; thence
northerly, at right angles 5.00 feet to the point of
beginning; and ��ing above elevation 310.00 feet, St.
Paul City Datum.

Chapter 13�, c�ified March 1, 1981 of the St. Pau1. Legislative
��e, as amended, including the retention of all public utilities
easements.

2�! That in the event the structure built within the portions
of West Fourth Street described herein shall be removed or
in the event of abandonment of the said structure, the va-
cation of those portions of West Fourth Street described
herein shall become null and void and the property interest
therein sha11 revert autom�.tical],y to the City of St. Paul,
3-�+� That the petitioners, their successors or assigns (hereinafter
referred to as petitioners), at their vwn cost and expense,
submit a plat of survey showing and describing the limits of
the intended air rights vacation tied to City Da.tum, all to the
satisfaction of the Director of the Deps.rtment of Public Works.
�X That the petitioners agree to pay all costs incurred in the
removal of the existing lighting and i.n the installation and
maintenance of the new lighting system, all to the satisfaction
of the Director of the Depe.rtment of Public Works.
�iE� That the use of the air rights by the petitioners, shall not
impair the use and sa.fety of that portion of West Fourth Street
and the use of the air rights by the petitioners, sha.11 not
otherwise interfere with the free flow of traffic on that portion
of West Fourth Street.
(�� That the design of all structures over Fourth Street described
herein shall be such that routine mai.ntena.nce and repair operations
may be performed without obstructing the travelled way.
�� That during the period that the proposed building is under con-
struction, the petitioners, at their own cost and expense, shall
procure and maintain public liability insurance coverage, policies
of such insurance to be approved by the City Attorney whereunder
and whereby the City of St. Paul as an insured sh�e.11 be protected,
held harr�less and flzl]y indemnified by the insurer from and against
all liability on account of claims and damages for injuries to
persons or property occurring within, under or contiguous to said
va.cated air rights, such insurance coverage to be in the following
minimum amounts:
s) Bodily in3uries insurance (including death) in an
amount not less than $500,000 for all dama.ges arising
out of bodi]�y injuries to or death of one person
and subject to the same limit for each person in a
total amount of not less ti�a.n $1,000,000 on account
of aqy one accident.
b) Property dama.ge insurance in an amount of not less
than $500,000 for all dama.ges to or destruction of
property in ar�y one accident and sub�ect to that limit
per accident, f�rther subject to a total of not less
than $1,000,000 for all dama.ges to or destruction of
property durin� the policy period; and shall furnish
a copy of the policy or policies to the City.

g sy. That the petitioners agree tha.t the air rights being �-
cated over Fourth Street, as described herein, will be
sub�ect to fliture assessments for local improvements and
that the vacated areas will be treated in the same manner
as other adjacent groperties.
q�. That the petitioners shall indemnify, hold harmless, protect
and defend the City of St. Paul from ar�y and all damages,
claims, judgments, or suits tba.t arise or may arise out of the
use of the air rights va.cated herein. The petitioners shall,
during the life of the structure contained within the said
vacated air rights, maintain public liability insurance in
amounts not less than: For personal injur ies, including
death, Two Hundred Thousand Dollars ($200,000.00) for ea.ch
person, Five Hunclred Thousa.nd Dollars ($5�,��0.00) for each
� occurence; property dam9,ge to the extent of One Hundred and
Fifty Thousand Dollars ($150,000.00) in a�y single accident;
provided hawever, in no event shall the scope of coverage or
minimum coverage required herein be less than the ma.ximiun
liability provided in Minnesota Statutes �+6Fa04•. Said public
liability insurance shall contain contractual liability en-
dorsement so as to protect the City of St. Paul and sh�ll further
contai.n provisions that it me.y not be cancelled except upon 30
days written notice thereof to the City of St. Paul. Copies of
such insurance policies shall be kept on file in the Department
of Finance and Management Services.
�b .�. That the pri.me petitioner, being the Port Authority of the City
of Saint P�ul shall not be required to flxrnish compensation
or bond for the vacation, and that in lieu of a bond the
petitioners, by accepta.nce of the terms and conditions of this
vacation, agree to and shall flzlly indemnif�, defend and save
harmless the City of Saint Paul, its officers, agents, employ�es,
and servants f�om ar�y and all damages, claims for damages, costs,
charges, jud�ments and expenses of ever,y kind and na.ture arising
or growing out of this air rights va.cation.
