THIS AGREEMENT made and entered into by and between the State of Minnesota, Department of Transportation, hereinafter referred to as the "State" , and the City of St. Paul , hereinafter referred to as the "City" , WITNESSETH: WHEREAS, the City has determined that a compelling need exists to improve traffic signal control at approximately 103 intersections within the city. A listing of said intersections is attached hereto, marked Schedule "B" and made a part hereof; and WHEREAS, the City has determined that there is justification . and it is in the public' s best interest to construct a computerized traffic control system in the city; and WHEREAS, the City is proposing said construction to be done in several phases; and WHEREAS, one phase of this construction provides interconnect work for the intersections listed on Schedule "A" , certain of which are located in whole or in part on the State Trunk Highway System within the corporate limits of the city; and WHEREAS, it is anticipated that said work is eligible for seventy-six and seventy-four hundredths percent (76. 74$) Federal-aid Funds; and WHEREAS, it is mutually agreeable that said work shall be performed by the City with the State paying a portion of the costs thereof; NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 60978 -1- � .�_ � , ' �Sr����! 1. This agreement will cover only the City force account work for the phase involving primarily purchase and installation of cable. Future phases of City force account work for the computerized traffic control system will be covered by separate agreement( s) . 2. The City shall prepare the necessary plans and specifications required to complete the items of work hereinafter set forth. Said plans and specifications shall be approved by the State, and no change in plan shall be made unless first concurred in and consented to by the State' s District Engineer or his duly authorized representative. 3. The City force account work and estimated costs eligible for federal and state participation are listed on the attachment marked Schedule "A" and made a part hereof. Such costs shall constitute the actual "Construction Cost" and shall be so referred to hereinafter . 4. The State' s share of the Construction Cost shall hereinafter be referred to as "State' s Share" . 5. The City with its own forces and equipment and by , materials purchasing contract shall provide interconnect work in accordance with the plan and specifications for City Project No. T-1085 B3 also identified as State Project No. 164-070-03 anc7 - F�der-al -Praject -Nv. When the City advertises for bids for a portion of the work in paragraph 5 hereof, the City shall submit to the State a certified copy of the low bids received and an abstract of all bids received by the City, together with the City' s request for concurrence by the State in the award of a construction contract. Award of the contract shall not be made until the State advises the City in writing of its concurrence. 7. The State' s share of the construction cost shall include its proportionate share of the costs of any supplemental const�uetion agreements which may be necessary to complete said � construction, and its proportionate share of the costs of any settlements of claims made with a contractor in connection with said construction. The State' s share of the said construction cost shall be computed in the following manner : A x 23.26$ x B/C = State' s Share A = Final Construction Cost B = Final Number of State Legs Under Computer Control C = Total Number of Legs Under Computer Control For estimating purposes , the State' s share of said construction cost is five and one-half percent (5 .5$) , of the final construction cost for work completed and computed at the unit prices contained in the City' s construction contract. Attached hereto is a preliminary construction cost estimate identified as S�edule "A" . It is understood and agreed that any and all 6097$ -3- _ . � _ , . �Gr d J�V / s, . -. supplemental construction agreements , changes in plans or character of the work and/or settlements with the contractor must b� approved in advance by the State in order for the State to be obligated to share in the cost of any such supplemental agreements and/or settlements as set forth above. 8. The total estimated amount to be encumbered for payment to the City from Trunk Highway Funds for work performed under this Agreement is $10, 273 . 18. In the event that at any time it appears that such reimbursement will exceed said sum, the City shall promptly notify the State' s District Engineer at Oakd ale or his duly authorized representative in writing of the reason for the � increase in cost and the amount of additional fund s necessary to complete the project. If approved by the State ' s District Engineer at Oakdale or his duly authorized representative, additional funds shall be encumbered by the State and notice by the State' s District Engineer at Oakdale or his duly authorized representative to the City of that additional encumbrance will permit the City to perform that additional work. 9. Partial payments will be made to the City not more than once each thirty ( 30) days , and shall be for eligible force account work that is furnished by the City for this project during one (1 ) or more calend ar months. The City shall submit itemized invoices, in quintuplicate , claiming state reimbursement for City furnished force account work that has been used in the project. Supporting documentation shall be 60978 =4- �� � � . � ��y2��`7 included for labor , equipment and materials charges. A statement shall be inc�uded , signed by the City' s Project Engineer , certifying that said labor equipment and materials , have been used on the project. Said invoices , certification and supporting documentation shall be submitted to the District State Aid Engineer for his review, concurrence and further processing . After review and approval payment will be made to the City by the Commissioner . 10. The City shall maintain accurate records as to all costs incurred in connection with the subject of this agreement and shall produce or cause to be produced for examination bills, invoices , vouchers , and other reports and information at such reasonable time and place as may be designated by the Federal Highway Administration, or by the Commissioner or his duly authorized representatives , and shall permit extracts and copies to be made thereof. 11 . The Commissioner or his agents shall , at all times during the performance of this agreement, and for three ( 3 ) years from the date of final payment of Federal funds to the State with respect to the project, be accorded proper facilities for inspection of the work hereunder and shall at all times have access to the premises, to all books , records, correspondence, instruction , receipts, vouchers , memoranda of every description pertaining to the work hereunder . The Federal Highway Administration shall have the same right of inspection as accorded the Commissoner herein . 60978 -5- L)"- - � . ��y2�7 12. Any and all persons engaged in the aforesaid work to be perfbrmed by the City shall not be considered employees of the State and any and all claims that may or might arise under the Worker ' s Compensation Act of this State on behalf of said employees while so engaged , and any and all claims made by any third party as a consequence of any act or omission on the part of said employees while so engaged on any of the work contemplated herein shall not be the obligation and responsibility of the State . 13.
