RESOLUTION APPROVING TRANSFER OF SURPLUS
FIXTURES TO THE UNITED ARTS FUND
WHEREAS, by Ordinance No. 16793 St. Paul City Council amended
Chapter 5.05 of the St. Paul Administrative Code to permit transfer
of surplus or obsolete fixtures or materials to a bonafide charit-
able or non-profit organization; and
�1HEREAS, the City of St. Paul , Minnesota has received a written
request from The United Arts Fund ("Fund") for transfer to the Fund
of certain fixtures and materials within or affixed to the Stem-
Hall Theatre; and
WHEREAS, transfer of said materials will expedite conveyance
of the Stem-Hall Theatre�and construction of a new theatre at the
site of the 5tem-Hall Theatre;
NOW THEREFORE, BE IT RESOLVED by the City Council of the
City of St. Paul, as follows: �
1. The City Council hereby recognizes The United Arts
Fund as a bonafide charitable organization under the terms
of Chapter 5 .05 of the St. Paul Administrative Code, as
amended, for the purposes of this Resolution.
2 . The City Council acknowledges the written request
of the Fund, dated August 11, 1982, for transfer of an
organ, theatre rigging, theatre seats and other miscellan-
eous fixtures and materials as a part of the conveyance of
the Stem-Hall Theatre real estate.

3. The City Council hereby finds that the transfer
of such materials and fixtures will serve the public
purpose and benefit the community as a whole in the
development of downtown St. Paul and encouragement of
theatre arts in general.
4. The transfer of said materials is not directed
by any other applicable law.
5 . The City Council hereby approves the transfer
of certain surplus fixtures and materials from the Stem-
Hall Theatre to The United Arts Fund.

Dear Steve:
This is in reference to the contemplated transfer of the Stem Hall-
Theatre property to the Arts and Science Council or Ordway Music
Theatre for the construction of the new theatre.
As you are aware, the Stem Hall-Theatre property includes many fix�ures
which would normally be included as part of the real estate. These
include such things as the organ, rigging in the theatre, the seats in
the theatre, various toilet facilities, mirrors, etc. The purpose of
this letter is to confirm our past discussions that these items will
pass to us as part of the real estate and c3n be disposed of by us.
it is certainly agreeable to us that the Civic Center Authority should
take those items for which it has use. I have been advised that the Civic
� Center Authority has no need for, no:r does it wish to have, the organ,
... the rigging and most of the seats i� the theatre.
We are writing �his letter so that disposal of these items which will
pass to us can be expedited. As you know, time is of the essence and
we want to be in a position to demolish the property without delay
once the transfer takes place. Therefore, if you would confirm the
understandi::g whzch. we have expressed in this letter we can proceed
acc�rdingly. �
